2013-09-17 SA MinutesMINUTES OF THE SPECIAL SUCCESSOR AGENCY TO THE REDEVELOPMENT AGENCY OF THE CITY OF VERNON MEETING HELD SEPTEMBER 17, 2013, IN THE COUNCIL CHAMBER OF THE CITY HALL LOCATED AT 4305 SANTA FE AVENUE VERNON, CALIFORNIA ________________________________________________ MEMBERS PRESENT: McCormick, Davis, Maisano, Ybarra, Martinez MEMBERS ABSENT: None The meeting was called to order at 11:12 a.m. by Chairperson McCormick. Interim City Clerk Dana Reed announced that there are no changes to the agenda. Reed announced that this was the time allotted for public comment. Chairperson McCormick inquired whether anyone in the audience wished to address the Agency. No one responded. ACTION ITEMS 1. Minutes of the Regular Successor Agency to the Redevelopment Agency Meeting held August 6, 2013, to be received and filed. It was moved by Maisano and seconded by Davis to approve the August 6, 2013, Minutes. 2. Resolution No. SA-15 - A Resolution of the City Council of the City of Vernon acting as the Successor Agency of the Redevelopment Agency of the City of Vernon ceasing membership activity of the former Vernon Redevelopment Agency in the Vernon Economic Development Authority and Vernon Natural Gas Financing Authority, setting October 1, 2013, or as soon thereafter, as the public hearing for termination of the Vernon Economic Development Authority and Vernon Natural Gas Financing Authority, and authorizing the Executive Director of the Successor Agency of the Redevelopment Agency of the City of Vernon, or his assignee, to take all necessary, appropriate, and ancillary actions to implement the cessation of membership and setting of public hearing for termination of the Vernon Economic Development Authority and Vernon Natural Gas Financing Authority in furtherance and pursuant to Successor Agency to the Redevelopment Agency Special Meeting Minutes September 17, 2013 Page 2 of 4 California Health & Safety Code Sections 34177(h) and 34177.3. Recommendations: (1) Find that approval of the cessation of membership activities in the Vernon Economic Development Agency (“VEDA”) and the Vernon Natural Gas Financing Authority is except under the California Environmental Quality Act (“CEQA”) in accordance with Section 15061(b)(3), the general rule that CEQA only applies to projects that may have an effect on the environment; and (2) Approve the Resolution for the cessation of membership activity and participation in VEDA and VNGFA; and (3) Set October 1, 2013, or as soon thereafter, as the public hearing to consider formal termination of VEDA and VNGFA; and (4) Authorize the Executive Director of the Successor Agency or his assignee to take all necessary, appropriate, and ancillary actions to implement the desires of the Successor Agency and Oversight Board to cease membership activity in the joint powers authorities and terminate VEDA and VNGFA. Agency Staff Alex Kung reported on the continued efforts to unwind the affairs of the former Redevelopment Agency and its partnerships; VEDA and VNGFA. It was moved by Ybarra and seconded by Martinez to approve Resolution No. SA-15. Motion carried, 5-0. 3. Resolution No. SA-16 - A Resolution of the City Council of the City of Vernon acting as the Successor Agency of the Redevelopment Agency of the City of Vernon authorizing the Successor Agency’s action to enter into a Listing Extension Agreement with Cushman & Wakefield to continue the Listings Bearing Numbers 1249841 and 1239842 concerning the former Angelus Can Site 4900 Pacific Boulevard which is in Escrow with GBD Properties, Inc. Recommendations: (1) Find that approval to amend the Cushman & Wakefield listing agreement is except under the California Environmental Quality Act (“CEQA”) in accordance with Section 15061(b)(3), the general rule that CEQA only Successor Agency to the Redevelopment Agency Special Meeting Minutes September 17, 2013 Page 3 of 4 applies to projects that may have an effect on the environment; and (2) Approve the Resolution authorizing the Successor Agency to enter into a listing extension prepared by Cushman & Wakefield and approved by special counsel Kane, Ballmer & Berkman, allowing the extension of the listings for the subject property through August 23, 2014. This authorization includes a specific authorization to permit the Executive Director or his assignee to take all necessary, appropriate, and ancillary actions to implement the extension. Agency Staff Alex Kung explained that Cushman & Wakefield is the broker for the Angelus Can listing. The recommendation is a precaution in the event that the sale of the property is not successful. Cushman & Wakefield will continue representing the Agency and listing the property. It was moved by Maisano and seconded by Davis to approve Resolution No. SA-16. Motion carried, 5-0. 4. Resolution No. SA-17 - A Resolution of the City Council of the City of Vernon acting as the Successor Agency of the Redevelopment Agency of the City of Vernon adopting, approving, and ratifying the Recognized Obligation Payment Schedule for the period January 1, 2014 through June 30, 2014, and approving certain related actions pursuant to California Health & Safety Code Sections 34177(l), 34177(m) and 34180(g) Recommendations: (1) Find that adoption, approval, and ratification of the Recognized Obligation Payment Schedule (“ROPS”) 5 is except under the California Environmental Quality Act (“CEQA”) in accordance with Section 15061(b)(3), the general rule that CEQA only applies to projects that may have an effect on the environment; and (2) Approve a Resolution to adopt, approve, and ratify ROPS 5, and authorize the Successor Agency Executive Director or his assignee to make revisions and modifications as necessary, and transmit on or before October 1, 2013 to Finance the final ROPS 5 in substantially the same form as Exhibit A to the resolution. If there are any material changes to ROPS 5, Successor Agency staff may return to the Oversight Board following the ROPS 5 transmittal for ratification of the action. Agency Staff Alex Kung reported that the Oversight Board approved the ROPS 5 with changes. Said changes are reflected in the proposed ROPS. It was moved by Davis and seconded by Ybarra to approve Resolution No. SA-17. Motion carried, 5-0. ORAL REPORTS 1. Progress on Disposition of Angelus Can, 4900 Pacific Blvd, Vernon California. Agency Staff Alex Kung advised that approval from the state is pending. 2. Los Angeles County prior payments email. Agency Staff Alex Kung advised that the County had follow-up questions. Staff is addressing this appropriately and will report back to the Agency if there are any issues. 3. Brief reports on activities, other brief announcements, and directives to staff. With no further business, at 11:17 a.m., it was moved by Maisano and seconded by Martinez to adjourn the meeting in honor of the victims of the naval yard shooting that occurred on September 16, 2013.
