AN ORDINANCE OF THE CITY OF VERNON APPROPRIATING FROM THE GENERAL
FUND OF SAID CITY THE SUM OF FIFTEEN THOUSAND DOLLARS ($15,000.00)
PER ANNUM FOR A PERIOD OF FIVE YEARS FROM January 1, 1943, FOR
TEE PURPOSE OF PROVIDING A FUND TO BE USED FOR PUBLICITY AND
ADVERTISING OF SAID CITY, AND PROVIDING THE MANNER AND PURPOSES
IN AND FOR WHICH SAID APPROPRIATION SHALL BE USED AND EXPENDED
AND AUTHORIZING THE MAYOR AND CITY CLERK OF SAID CITY TO ENTER
INTO A CONTRACT WITH THE VERNON INDUSTRIAL DEVELOPMENT ASSOCIA-
TION PROVIDING FOR THE USE AND EXPENDITURE OF SUCH FUNDS FOR SUCH
PURPOSES.

THE CITY COUNCIL OF THE CITY OF VERNON DOES ORDAIN AS FOLLOWS:

WHEREAS, in the opinion of the City Council of the
10 City of Vernon the public interest, convenience, necessity and
11
general welfare of said city and of its citizens and inhabitants
12
require that a portion of the revenue of said city be appropriated
and expended for the purpose of advertising and giving publicity
to the commercial, industrial and other advantages of said city,
to the end that its present substantial growth and development
along all lines may be encouraged and augmented and its general
desirability as a place in which to work and engage in a business
be more effectively brought to the attention of the public gener-
ally; and

WHEREAS, there has been incorporated under the laws
of the State of California and is now functioning in said city,
a non-profit organization known as the Vernon Industrial Deve1-

opment Association, whose purposes are to promote the advantages
of the land situated therein an~ generally to promote the wel-
fare of said city, and whose personnel, organization and facil-
ities have been carefully investigated by said Council, and said
Council is of the opinion that said Vernon Industrial Develop-
ment Association has the personnel, organization and facilities
to render more economical, effective and efficient advertising
and publicity services than now exists, or could ever be devel-
oped by the city itself; and

WHEREAS, the City Council of the City of Vernon did
enter into a contract with the Vernon Industrial Development
Association for a period of five years from January, 1, 1938,

WHEREAS, in the opinion of the City Council, the
general welfare of the City of Vernon will best be served and
the judicious expenditure of the annual advertising and publicity
appropriations of said city most effectively accomplished by
the execution of another contract for a period of five years
from January 1, 1943 by and between said City of Vernon and
said Vernon Industrial Development Association for publicity
and advertising for said City:
NOW, THEREFORE, pursuant to the provisions of an Act
of the Legislature of the State of California, entitled "An Act
Authorizing Municipal Corporations to expend money for Adver-
tising or Publicity Purposes," approved April 5, 1927, and the
powers vested in it under the General Laws of the State of
California, the City Council of the City of Vernon does ordain

Section 1:
That the City Treasurer be and he is

hereby authorized and instructed to appropriate from the General
Fund the sum of Seven Thousand Five Hundred ($7500.00) Dollars
for the purpose of carrying into execution this contract for

the fiscal year 1942-43.
Section 2:
That said funds shall be used for the

following purposes: "To promote, advertise and give publicity
to the industrial development of the City of Vernon, the ad-
vantages of the land situated therein, the general welfare of
said city, the commercial, industrial and other advantages of
said city, the general desirability of such city as a place
in which to work and engage in business and for all other

1 matters and things set forth in the contract hereinafterre-
2 ferred to," and shall be expended in the following manner: Upon

the rendition of the Vernon Industrial' Development Association
of satisfactory publicity and advertising service for the City
of Vernon, and other services that may be rendered to the City
of Vernon as requested by the City Council, Twelve Hundred
Fifty Dollars ($1250.00) shall be paid to said Vernon Indus-
trial Development Association at the end of each month, all in

accordance with the terms and provisions of that certain con~
tract referred to in the preceding section.

Section 3.
That the Mayor and City Clerk of said

City of Vernon be, and they are hereby authorized, empowered
and directed to execute on behalf of said City that certain

contract of concurrent date with the adoption of this ordinance
whereby the City of Vernon does agree to hire the said Vernon
Industrial Development Association as advertisi~g a~d pub11city
agent and said Vernon Industrial Development Association agrees
to render for a period of five (5) years from January 1, 1943,
all publicity and advertising services for the City of Vernon
at the price of Fifteen Thousand Dollars per annum, payable in
installments of One Thousand Two Hundred and Fifty Dollars

THIS AGREE~mNT, made and entered into this 23rd day
of February, 1943 by and between the CITY 01" VERNOlJ, a munici-
pal corporation of the Sixth Class, organized under and by
virtue of the laws of the State of California, acting under and
pursuant to the terms and provisions of Ordinance No. 560, duly
adopted by the City Council of said City, hereinafter called
"FIRST PARTY, rr and the VERNO],,} INDUSTRIAL DEVELOPI'.lENT ASSOCIA-
TION, a non-profit corporation, organized under the laws of
the Ste.te of California, hereinafter called trSECOED PARTy.tr

THAT, WHEREAS, the parties hereto have heretofore
entered into an agreement dated January 18, 1938 under the
terms of which said agreement said FIRST PARTY did employ
SECOND PARTY for a period of four (4) years ending on the 31st
day of December, 1942 under the terms and conditions set forth
in said agreement, and
WHEREAS it is the desire of both parties to enter into
a further agreement for a period of five (5) years from January
1, 1943 and ending December 31, 1947:
NOW, THEREFORE, I'F IS L1UTUALLY AGREED that tt,e FIEST
PARTY hires and employs SECOND PARTY to render and the SECOND
PARTY agrees to render FIRST PARTY the services heroin des-
cribed, upon the following terms hereby agreed u.pon:
1. First party agrees as follows:
(a) That it hereby engages second party to act
in the capacity of advertising and publicity agent for first
party;
(b) So that the party of the second part may be

able to carry out its duties as advertising and publicity agent
for the City of Vernon, it shall act in an advi:so1':'Y capacity

general welfare of the City;
(c) Said second party shall also act in an

Company, in that certain Leas('1 Agreement between the Oi ty and
the Socthern California E(Uson Company, wherein said 01 t"JT leases
its power plant and distributing system to said Southern Callf-
ornia Edison Company;
(d) And the party of the second paa-t shall have
present, when required by the City, at its regular City Council
meetings or meetings of the Water & Power Conmlit 0, or other
conh~ittees of the City Council, representatives of the Asso-
eiation to so act in an advisory capacity on matters that :may
corne before the City Councilor said Con~1ittee, affecting the
general welfare of the City, whether same affects the power
plant and distributing system of the City, the water plant or
its distributing system, or any other civic project;
(e) To pay second party as such advertising and

per year, payable in installments of Two Thousand Five Hund:r>ed

department, copies of all such official maps and other data
as may be required by second party effectively to perform
said services required of it.
(g) That its officers, employees and official
departments will furnish to second party on request, with.out

2. Second party agrees as follows:
(a) That it will act in the capacity as adver-
tising and publicity agent for first party.
(b) That, to better enable the second party to
act in the capacity of advertising and publicity agent, when
required to do so, it will act in an advisory capacity on all
matters affecting the general welfare of the (;ity; that it
will, when requested to do so, have its board of directors or
other representatives of second party attend meetings of the
legislative body of the City, and of the Water & Power Committee,
or any other committee of the City CounCil, and will give ad-
vice, counsel and suggestions, and will make reco~nendations

successful carrying out of the Lease Agreement
between the City a.nd the Southern California. Edison Company,
the water department and other civic projects, and the exten-
sion, development and building up of the business thereof;
that It will utilize its personnel, organization and facilities

ieers and owners thereof; to keep a complete list of all a-

vailable industrial lands in said City, with the name of the

record owner thereof;
to keep a full and complete record of

all prospective industrIes and of all inquiries for industrial
14
locations in said City; to assist in the protecting and con-
15
serving the interests of industries now existing, or that may
16
hereafter be established in said City, and to assist said in-
17
dustries or prospective industries in all matters pertaining to
18
their welfar'e;
to assist the City, its property owners and
19
prospective industries in handling and closing of any trans-
20
action or matter that may be of interest or importance to them

or to the City;
to advance and promote the extension, deve10p-
ment and bui1dihg up of the business of the Water Department
or other civic projects, and to cooperate with the City offi-
:cia1s of said City in any matter pertaining to public improve-
ment and the public welfare of said City.
(c) That to better perform the services required
of it, it shall maintain its office in the Cit:r of Vernon.
(d) That during the term of this Agreement it
will not perform, engage in, sponsor or encourage any adver-

tising or publicity for any other municipal corporation or any
advertising or publicity whIch, in the opinion of the majority

1 of the legislative body of the first party is inimical or
2 detrimental to first party.

(e) To render to first party, semi-annually,
4 a full and complete report of its activities, and of the moneys
5 paid by the first party, and to employ a competent and nation-
6 ally knovm firm of accountants to compile such reports.

First and second parties mutually tmderstand,
9 promise and agree:
10 (a) The terms of this agreement shall be for a
11 period of five (5) years beginning January 1, 1943 and ending
12 December 31, 1947.

(b) That the servicesro be rendered hereunder
14
shall be to the satisfaction of the first party, and the first
party shall be the sole judge of such satisfaction.

(c)
That in no event shall first party be
17
obliged or called upon to pay any installment of money hereuluer
until the services for which such installment is to be paid
shall have been fully rendered and performed by second party.
(d)
This agreement shall bind and shall inure
to the benefit of the respective successors or assigns of the
parties hereto, but that no assignment thereof shall be ef-
fective unless expressly consented to by the other party.
IN WITNESS WHEREOF, the Mayor and City Clerk of the
City of Vernon, pursuant to tr~ authorization and direction
contained in Ordinance No. 560 of said City, have executed this
agreement on behalf of said City of Vernon and the Vernon In-
dustrial Deve'lopment Association has caused this agreement to
