ExxonMobil recently entered into a Sale and Purchase Agreement with PBF Holding Company LLC (Buyer) to purchase the pipeline assets covered by this License. The pipeline asset will be transferred into the name of Torrance Pipeline Company LLC (Torrance Pipeline). Please be advised that for the period extending from the date the sale is finalized to the date the subject license is assigned to Torrance Pipeline, the license will remain in ExxonMobil's name, Torrance Pipeline will be the owner, and Torrance Logistics Company LLC (Torrance Logistics)will be the operator of said facilities. LICENSE "2. THIS AGREEMENT, made and entered into this 2 .th day of i September , 1963, by and between CITY OF VERNON, a municipal corporation of the State of California, LICENSOR, and SOCONY MOBIL OIL COMPANY, INC., a New York Corporation, LICENSEE, whose address is 3700 W. 190th Street, Torrance, California, Witnesseth: For and in consideration of an annual license fee of Ten and no/100 Dollars ($1(1.00), payable annually in advance, on the arc day ofsepte-iter of each year, commencing on the 3rd day of September , 1963, andof the keeping and performing by licensee of the terms and conditions hereof on its part to be kept or performed, the City of Vernon hereby gives per. mission to Licensee to construct and maintain three private eight-inch (8") diameter steel pipe lines to conduct oil across 37th Street, 115 feet wide, in the City of Vernon, said oil lines to be enclosed in twelve-inch (12") diameter steel casings, at the elevations hereinafter stated and along a center line which shall intersect the north property line of 37th Street at an angle of ninety (90) degrees thereto, at distances of 96.73, 98.83 and 101.00 feet re-. spectively east of the center line of A. T. & S. F. RR R/W. The elevations of the top of said twelve-inch (12") diameter steel casings shall be 195.E at the northerly line of 37th Street and 195.95 at the southerly line of 37th Street and shall be on a straight grade between these said two points. Said elevations shall be in feet above the City of Vernon 1963 datum plane. Location and elevations of said steel casing are shown on drawing attached hereto marked "Exhibit A" and hereby referred to and by reference incorporated herein. 1. It is understood and agreed that the foregoing permission is given upon and subject to the following terms and conditions: No greater right or permission is hereby given than the right which the City of Vernon has or by these presents can legally give. (2) Licensee hereby acknowledges title of the City of Vernon, a municipal corporation of the State of California, to the premises above described and agrees never to assail or resist the same, and agrees that Licensees use and occupancy of said premises shall be referable solely to the permission herein given, (3) Regardless of the manner or duration of use or occupancy of said premises by Licensee, and regardless of the permanent character of any work or structures constructed or installed therein or thereon by Licensee, this license may be revoked by the City of Vernon at any time by the giving of ninety (90) days notice of revocation to Licensee, and, in the event of any failure or refusal on the part of the Licensee to keep or perform any of the agreements on its part to be kept or performed here- under, may be revoked at any time at the option of the City of Vernon by the giving of notice of revocation to Licensee, Any notice hereunder to Licensee may be given by delivering the same to Licensee personally, or by mailing the same addressed to Licensee at the address above given, or to such other address as the Licensee may, in writing, from time to time, direct, and the giving of notice by mail shall be complete at the time of mailing. (5) In exercising the permission herein given, Licensee shall, at all times, observe and comply with all laws and lawful regii1ntions applicable in the premises, and the direction, rules and regulations as prescribed by the City of Vernon. (6) Licensee hereby undertakes and agrees to release, hold harmless and indemnify the City of Vernon and all officers and employees thereof, from and against any and all claims, loss, demands, expense, damage and/or liability whatsoever, for injuries to persons or damage to property, in any manner arising by reason of the exercise or enjoyment 3. by Licensee of any right or permission herein given, or by reason of any failure on the part of Licensee to keep or perform any of the terms, con- ditions or agreements hereof which on the part of the Licensee hereunder, are to be kept or performed. T. & S. F. Railway Right-of-Way to the north boundary line of the Los Angeles County Island north of Vernon Avenue. Location of said steel pipe line is shown on drawing attached hereto marked "Exhibit A"and hereby referred to and by reference incorporated herein. Plans and specifications for said steel pipe line shall be submitted for approval by the City of Vernon. It is understood and agreed that the foregoing permission is given upon and subject to the following terms and conditions: (1) No greater right or permission is hereby given than the right which the City of Vernon has or by these presents can legally give. (2) Licensee hereby acknowledges title of the City of Vernon, a muni- cipal corporation of the State of California, to the premises above described and agrees never to assail or resist the same, and agrees that Licensee's use and occupancy of said premises shall be referable solely to the permission herein given. 1. dx .a (3) Regardless of the manner or duration of use or occupancy of said premises by Licensee, and regardless of the permanent character of any work or structures constructed or installed therein or thereon by Licensee, this license may be revoked by the City of Vernon at any time by the giving of ninety (90) days' notice of revocation to Licensee, and, in event of any failure or refusal on the part of the Licensee to keep or perform any of the agreements on its part to be kept or performed hereunder, may be revoked at any time at the option of the City of Vernon by the giving of notice of revocation to Licensee. T. & S. F. RR R/W. The elevations of the top of said twelve-inch (12") diameter steel casing shall be 195.95 at the northerly line of 37th Street and 195.95 at the southerly line of 37th Street and shall be on a straight grade between these said two points. Said elevations shall be in feet above the City of Vernon datum plane. Location and elevations of said steel casing are shown on drawing attached hereto marked "Exhibit A"and hereby referred to and by reference incorporated herein. 1. It is understood and agreed that the foregoing permission is given upon and subject to the following terms and conditions: (1) No greater right or permission is hereby given than the right which the City of Vernon has or by these presents can legally give. (2) Licensee hereby acknowledges title of the City of Vernon, a municipal corporation of the State of California, to the premises above described and agrees never to assail or resist the same, and agrees that Licensee's use and occupancy of said premises shall be referable solely to the permission herein given. (3) Regardless of the manner or duration of use or occupancy of said premises by Licensee, and regardless of the permanent character of any work or structures constructed or installed therein or thereon by Licensee, this license may be revoked by the City of Vernon at any time by the giving of ninety (90) days' notice o! revocation to Licensee, and, in the event of any failure or refusal on the part of the Licensee to keep or perform any of the agreements on its part to be kept or performed here- under, may be revoked at any time at the option of the City of Vernon by the giving of notice of revocation to Licensee. Any notice hereunder to Licensee may be given by delivering the same to Licensee personally, or bymailing the same addressed to Licensee at the address above given, or to such other address as the Licensee may, in writing, from time to time, direct, and the giving of notice by mail shall be complete at the time of mailing. Upon any revocation of this license, the permission herein given, and all rights and interests of the Licensee hereunder shall cease and terminate and Licensee shall promptly remove from the premises any 2. and all structures, material, works, equipment and apparatus placed thereon by Licensee, and in the event of Licensee's failure so to do, the City of Vernon may remove the same entirely at the risk and expense of Licensee, severing and disconnecting the same from any adjacent works or properties to which they may be connected, as may be necessary or convenient to effect such removal, and Licensee shall promptly pay to the City of Vernon on demand the amount of any and all reasonable charges, costs and expenses in that connection made or incurred by the City of Vernon. (4) In the event the improvement, development, maintenance or operation on any works or properties of the City of Vernon necessitates the removal or relocation of any of the works or structures of the Licensee upon said premises, solely as may be determined by the City of Vernon, Licensee, at its own risk and expense, shall promptly remove or relocate the same, at the option of the City of Vernon, upon receipt of notice from the City of Vernon requiring it so to do. (5) In exercising the permission herein given, Licensee shall, at all times, observe and comply with all laws and lawful regulations applicable in the premises, and the direction, rules and regulations as prescribed by the City of Vernon. (6) Licensee hereby undertakes and agrees to release, hold harmless and indemnify the City of Vernon and all officers and employees thereof, from and against any and all claims, loss, demands, expense, damage and/or liability whatsoever, for injuries to persons or damage to property, in any manner arising by reason of the exercise or enjoyment 3. r by Licensee of any right or permission herein given, or by reason of any failure on the part of Licensee to keep or perform any of the terms, con- ditions or agreements hereof which on the part of the Licensee hereunder, are to be kept or performed. (7) Licensee will pay for all materials placed upon, joined or affixed to said premises by or at the expense of the Licensee, and will pay in full all persons who performed labor upon said premises at the instance of Licensee, and will not suffer or permit any liens of any kind or nature to be levied against said premises for any work done or material furnished thereon at the instance or request of Licensee. (8) Licensee will at all times exercise the permission herein given in such manner as will not injure or interfere with the full use of the premises by the City of Vernon. For the period extending from the date the sale is finalized to the date the subject Licenses are assigned to Torrance Pipeline Company LLC (Torrance Pipeline), the Licenses will remain in ExxonMobil's name, Torrance Pipeline will be the owner, and Torrance Logistics Company LLC (Torrance Logistics) will be the operator of said facilities. As owner of said facilities, Torrance Pipeline will secure all Insurance documents as required, and will name ExxonMobil as an additional insured.
