A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VER.NC)N
AUTHOR.IZING THE EXECUTION OF A CONTRACT WITH PACIFIC
FLEET SYSTEMS DATED JANUARY 4.. 1955.

THE CITY COUNCIL OF THE CITY OF VERNON RESOLVES AS FOLLOWS:
WHEREAS, the City of Vernon.. on or about the 16th day of

June,. 1953.. entered into a car rental agreement with the Pacific Fleet
9
Systems; and
WHEREAS, by mutual agreement of the parties the contract
of June 16, 1953 is cancelled as to all equipment secured under said
contract as of the date the equipment is returned to Pacific Fleet
Systems; and
WHEREAS.. the Lessor under said contract consents to said
cancellation of the .agreement of June 16, 1953 and entering into a new
agreement, copy of which is attached to this Resolution and incorporated
herein as though fully set forth herein;

SECTION 1:
That the attached Lease Agreement.. together
19 with Supplements Nos. 1 and 2 attached thereto, of the Pacific Fleet
20 Systems.. is hereby approved.. and the Mayor and City Clerk are hereby
21 directed to execute the same.. for and on behalf of the City of Vernon.

The City Clerk of the City of Vernon shall
certify to the passage of this Resolution and thereupon and thereafter the
same shall be in full force and effect.

2. Lessee shall pay to Lessor tor each motor vehlcle leased hereunder

5. Lessor agrees, at ita own expense, to provide State license plate.

vehicles leased hereunder at the time and in the p1e.ees required by la'W' ot
the state in which Lessee noti.fies said motor vehicles are to be used.
MAINTENANCE
6. Less.or agrees to prOVide and pay tor:
(1) Lubrieationand oil chan~..
(2) Repair and replacement of detective or stolen tires.
(3) Such preventive maintenance inspection a. may be
reasonably required byL$ssee.
(4) Nec.ssar)' equipment and aceessories sucha. but not
limited to jack and tire tools.
(5) Road repair.
(6) Maintaining motor vehicles leased hereunder in good

(10) A ~~5, 000 Surety Bond by a Surety Company acceptable to Leasee
conditioned on the faithfUl performance of' this contract by
Lessor.

7. Lessee agrees to provide and pay .for;
(1) Gasoline.
(2) Up to $25.00 colli8iondamage in anyone accident.
REPLACEMENT OF t'40WR VEHICLES
8. Lessor shall rep1ace 8.11'1 motor vehicle which shall be stolen or
WhiCh, in the opinion of' both parties, shall become mechanically unsatis-
factory from normal operation or accidents. Replacements 01" any motor
vehieles hereunder shall be made pJlOmptly at Lesaee's place or bUllineas,
where said motor vehicles were a.signed, and shall be in good operating
conal tion and of'uuba.tantlally the same type aa the motor vehicle being
replaced. It such replac~t camot be promptly made, Leasee shall be
entitled toa proportionate abatement or rent tor the time that such re-
placement is not made. Lessor may recall an,. leaaed motor vehicle at any
time and provide a substitute of the same make, model amI style or some
other. make, mo~el and style accepta.ble to the tessee.

to property caused by the operation of each motor vehicle leasedbereunder,

must have a 10 day cancellation clause.
Should any action be col:'lt11enced or claim be made againatLesaee tor

Lessor against all claims and liabilities arising out 01: the operation ot
the m.otor vehicles by i.e$see under this .agreement.
USES
12. teasee will at all timea use reasonable care and diligence in the
.election ot legally licensed and competent drivers to operate all motor

IS. All notices required to be given under the terms of this lease

All notices to Le8sor snall be addressed to Lessor at )003 Leonis Boulevard,

agents of' the Leasof', no!" engaged with. the Lessor 1n any joint venture or
enterprise and netting herein shall he construed to create such relationship.

party may, at his option, elect to immediately termin.ate the agreement.
