A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON
EXERCISING ITS OPTION TO EXTEND FOR AN ADDITIONAL PERIOD
OF TEN (10) YEARS A LEASE WITH SOUTHERN CALIFORNIA EDISON
COMPANY.. LTD~.. DATED FEBRUARY 2a~ 1937.. AS AMENDED BY
SUPPLEMENTAL AGREEMENT DATED JULY 6~ 1937.. LEASING TO
SOUTHERN CALIFORNIA EDISON COMPANY.. LTD... AN ELECTRIC
GENERATING PLANT AND AN INTERCONNECTED ELECTRIC TRANS-
MISSION AND DISTRffiUTION SYSTEM.. THE PROpERTY OF THE CITY
OF VERNON.
THE CITY COUNCIL OF THE CITY OF VERNON RESOLVES AS FOLLOWS:
WHER,EAS-s the City of Vernon as Lessor and Southern California
Edison Company~ Ltd. ~ as Lessee did heretofore enter into and execute a
certain agreement of lease.. dated the 23rd day of February~ 1937~ as
amended by supplemental agreement dated July 6.. 1937.. wherein and whereby
the City of Vernon leased to said Southern California Edison Company~ Ltd...
certain real and pergonal property of the City of Vernon.. consIsting of an
electric generating plant and interconnected electric transmission and
distribution system.. more particularly get forth and described in a.aid lease
agreement; and
WHEREAS.. by said supplemental agreement by and between the
parties thereto" dated July 6~ 1937.. the term of said lease'was fixed as a
period of ten (10) years commencing on the 30th day of May~ 1937 and ending
on the 29th day of May.. 1947.. subject to an option in said lease agreement
granting to the City of Vernon the right and option to ext~nd said tease for an
additional period of ten (10) years with a similar right and option to extend
the same for additional ten (10) year periods; and
WHEREAS~ the City of Vernon did.. by Resolution No. 1319.. duly
adopted and approved the 1st day of October.. 1946~ exercise its option to
extend the term of said lease for an additional t.en (1Q) year period com-
mencing on the 30th day of May.. 1947 and ending on the 29th day of May..
1957.. with a simila.r right and option to extend the same for additional
ten (10) year periods; and
WHEREAS~ the City of Vernon desires to exercise it s s:aid option

1 to extend said lease for an additional ten (10) year period commencing on
2 the 30th day of May" 1957 and ending on the 29th day of May.. 1967.. subject
3 to the terma and conditions contained in said lease agreement.. with a similar
4 right and option to extend the same for additional ten (lO) year periods;
5 NOW.. THEREFORE.. BE IT RESOLVED:

SECTION 1:
That the City of Vernon does hereby exercise
7 the right and option granted and reserved to it in that certain lease agree....
8 ment by and between the City of Vernon as Lessor.. and Southern California
9 Edison Com.pany~Ltd.. as Lessee.. dated February 23.. 1937.. as amended
10 by supplemental agreement dated July 6~ 1937.. wherein and whereby the
11 City of Vernon as Lessor leased to Southern California Edison Company..
12 Ltd... aa Lesgee~ certain real and personal property generally des:c.ribed
13 as an electric generating plant and an interconnected electric tranamission
14 and distribution system and more specific.alIy described in said lease agree-
15 ment.. and does hereby elect to extend the term of s:aid lease for an additional
16 period of ten (10) years commencing immediately upon the expiration of the
17 present term of said lease~ to wit.. on the 30th day of May~ 1957.. and ending
18 on the 29th day ofMay~ 1967" upon and subject to the terms and conditions
19 of said lease agreement.. including the option of the City of Vernon to extend
20 the same for additional ten (10) year periods.

The City Clerk of the City of Vernon is hereby

The City Clerkof the City of Vernon shan
certify to the pass.age of this Resolution and thereupon and thereafter the
same shall be in full force and effect.
