A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON
AUTHORIZING THE EXECUTION OF A CONTRACT WITH MICHIE
CITY PUBLICATIONS COMPANY OF LOS ANG-ELESa A CORPORATION~
FOR THE CODIFICATION OF CITY ORDINANCES.
THE CITY COUNCIL OF THE CITY OF VERNON RESOLVES AS FOLLOWS:
WHEREAS.. the Michie City Publications Company of Los
Angeles.. a corporation. has presented a contract for thecodifieation of
Vernon City ordinances; and
WHEREAS,. the City Council of theGityof Vernon deems it
advisable that the ordinances he codified,. and that the contract presented
be executed;
NOW ~ THEREFORE~ BE IT RESOLVED:
SECTION 1:
That the Mayor of the City of Vernon be,.
and he is hereby.authorized to. enter into a contract with Michie City
Publications Company of Los Angeles,. a corporation~upon the terms and
conditions of the contract presented by.said Company. for the codification
of Vernon City ordinances.
SECTION 2:
The City Clerk of the City of Vernon
shan certify to the passage of this Resolution and thereupon and thereafter
the same s.haIl be in full force and effect.
ADOPTED and APPROVED this 4th da.y of February.. 1958.

THIS AGREEMENT ~ made and entered into this 7 day of
J~, 1958, by and between MICHIE CITY PUBLICATIONS COMPANY OF
LOS ANGELES, a corporation duly organized, created and existing
under the laws of the State of California, party of the first part,
and the CITY OF VERNON, a municipal corporation in the State of
California, party of t he second part,
WITNESSETH: That, in consideration of the sums of money here-
inafter agreed to be paid to the party of the first part by the
party of the second part, the said .Michie City Publications Company
of Los Angeles, party of the first part, agrees to and with the
said City of Vernon, party of the second part, and its successors
and assigns, that it will do the following work and render and per-
form the following services under the direction of the City Attor-
ney in connection with the preparation of the new City Code for
Vernon, California, viz.:
1. Codify and print the ordinances of a general and perma-
nent nature, but excluding any technical codes, such as
the Building Code, Plumbing Code, etc., which have been
adopted by reference, with the exception of the Fire
Prevention Code, which is to be included. Such technical
codes will be incorporated into the new Code by reference.
2. Each amendatory ordinance will be accorded its proper
place and repealed or outmoded provisions shall be elimi-
nated to the end that each ordinance as retained in the
Code manuscript shall reflect the last word of the City
Council on that particular subject.
3. The ordinances shall be classified according to related
subject matter so that each chapter in the new Code will
be complete within itself.

4. The ordinances will be checked against the corresponding
provisions of the State Law to the end of eliminating
conflicts and inconsistencies and any discrepancies be-
tween the ordinances and such State Law shall be pointed
out to the City Attorney and changes made as he shall
direct. References to the cognate State Law shall be
carried in appropriate places in the footnotes.
5. The decisions of the District Courts of Appeal and the
Supreme Court of California specifically involving the
ordinances of the City of Vernon shall be examined by
the Editors. Discrepancies shall be brought to the
attention of the City Attorney for his reconciliation
in order to insure the validity of the provisions of the
new Code. Decisions bearing upon the validity of an
ordinance shall be cited in numbered footnotes falling
from such ordinance provision together with the holding
of the court.
6. Long ordinances will be split into smaller section con-
taining one central thought.
7. Catchlines shall be prepared fo!t the individual sections
of the Code. Such catchlines shall be carried in bold-
face type at the beginning of each section.
8. Each chapter will be preceded by a f!tontal analysis con-
taining a numerical listing of the catchlines to the
individual sections in the particular chapter.
9. Each section will be followed with an historical citation
showing the ordinance or ordinances from which derived.

10. The Company's Editors shall be charged with the duty of
re-editing the ordinances carried in the Code where this
is needed in order to improve or modernize the legal
phraseology of such existing ordinances. New ordinances
will be recommended for passage where, in the opinion of
the editors, such new ordinances are needed to provide
adequate coverage of local conditions needing regulation.
All such changes or recommended changes shall be brought
to the attention of the City Attorney together with the
reasons for such suggested changes and recommendations.
11. Any obsolete ordinances shall be brought to the attention
of the City Attorney for deletion from the manuscript.
Any conflicting ordinances Shall be pointed out for
reconciliation so that the present intent of the City
Council shall prevail.
12. When the editorial manuscript is completed, it shall be
brought to Vernon and the Company representative will
review the entire manuscript with the City Attorney at
which time the Company representative Shall point out
exactly what was found in the ordinances, how each situa-
tion was handled and how and where each ordinance was

codified or classified. At the same time, the Company
shall submit to the City Attorney the editorial recom-
mendations that have been prepared by the Editorial
Staff. The City Attorney shall be free to make any and
all desired changes in the manuscript, shall make all
legal decisions and determine all legal questions and
may accept or reject any or all of the recommendations

submitted by the staff.
13. . Following the inspection and approval of the manuscript
by the City Attorney. it shall be prepared for typeset-
ting and cross references between related parts of the
Code shall be made an~ carried in the footnotes.
14. Mter presentation by the City Attorney; and approval and
adoption of the galley proofs of the Code by the C1ty
Council~ a complete and comprehensive general index of
the entire Code shall be prepared.
Following the completion of the editorial work and the approval
of the Code manuscript by the City Attorney,. the Company will print and
bind the Code in the following manner:
1. Print the text of the ordinances in ten point roman type"
with boldface catchlines.
2. Print the frontal analyses, the footnotes and the g~~ral
index in eight point type, with fu~in,indexheadings. in

boldface type.
3. The Code will be printed on English Fini$h Book paper"
fifty pound substance.
4. Print and bind ane hundred (100) copies or'the Code. The
one hundred (100) copies .shall be bound in the rof.~h~13end.er
Binder" with gold foil lettering on the backs; pro'vided~ -how-
ever, that the City may" prior to the final printing of the Code~
order up to four hundred (400) additional \rolutnes at a cost of
four dollars ($4.00) per volume.
5. The Company agrees to prepare annual page for page substi-
tutian supplements for two years~ working into the Code

all general and permanent ordinances passed since the
last ordinance included in the Code or last supplement,
for seven dollars and fifty cents (~.50) per original
page. This figure includes all editing and printing
costs.
The City of Vernon, California, contracts and agrees as
follows:
1. To furnish the Company with copies of each ordinance of
a general and permanent nature. The copies may be either
typewritten or carbon copies, newspaper clippings, or
printed pamphlets. In the event that any of these copies
have typed, written or printed matter on both the front
and back sides, at least two copies and preferably three,
shall be furnished.
2. To pay Michie City Publications Company of Los Angeles
for the work herein contracted for the sum of seven thou-
sand five hundred dollars ($7,500.00), which sum shall be
due and payable as follows: The sum of two thousand five
hundred dollars ($2,500.00) at the time of the execution
of this agreement;" the second installment in the amount
of two thousand five hundred dollars ($2,500.001 shall
be due an.d payable at the time of the inspection of the
editorial manuscript, exclusive of the general index and
cross references, and approval of the same by the City
Attorney; the balance, namely, two thousand five hundred
dollars ($2,500.00> shall be due and payable at the time
of the completion of all work herein contracted for and
delivery of the one hundred volumes to the City. The sum
