B~~~~~Y t::k -2- .....! v" 1 CONSULTloNG AGREEMENT FOR FINANCIAL SERVICES 2 ,! .i: iI' J ~ .~ 3 ., THIS CONSULTING AGREEMENT is made, entered into and (' .~, 4 executed in duplica~f .;OrDJinai~ ,'ei the:!? eopy of which may be 5 considered and used as the original hereof for all purposes, as 6 of the Id- day .of May, 1978, in the city of Vernon, County of 7 Los Angeles, California. 8 9 BY AND BETWEEN CITY OF VERNON, A MUNICIPAL CORPORATION (hereinafter referred to as "City") 10 11 AND EUGENE HELSLEY, A FINANCIAL CONSULTANT (hereinafter referre to as "Consultant II) 12 13 14 RECITALS 15 16 WHEREAS, the City is in need of additional financial 17 services to assist in the preparation of the City's annual 18 budget for the fiscal year 1918-1979 because of the need to pre- 19 pare alternative budgets relating to Proposition 8 [BEHR] and 20 Proposition 13 [JARVIS-GANN]. 21 NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS 22 AND AGREEMENTS HEREIN CONTAINED THE PARTIES HERETO AGREE AS 23 FOLLOWS: 24 1. The City hereby retains the Consultant to serve as 25 the City's Financial Consultant for the preparation of the budget 26 and to assist the Finance Director in the. preparation of other 27 financial studies and/or reports on the terms and conditions 28 specified herein and the Consultant hereby agrees so to serve. EXHIBIT "An -, 1 2. This Agreement shall be effective as of May 3, 1978 2 I ,.: and shall expire on June 30, ,197tL 3 3. The City shall pay the Consultant for the performance 4 .-. ',.,~ ., . . c. ~ '-'- of the services herein requited a fe~ equal to $14.00 per hour for 5 all hours expended upon said services wherein said services have 6 been specifically requested by the Finance Director. Further, 7 Consultant shall submit to the Finance Director a detailed itemiza- 8 tion of all hours worked for all projects to the Finance Director 9 on the close of business every Friday wherein said Director must 10 approve said work sheet report before payment is made. 11 4. Consultant represents that he is an independent 12 contractor and is not an employee of the City. Consultant further 13 represents and agrees that he will not make any claim for any 14 empl.oyeebenefi ts including but not limited to vacation" sick leave, 15 retirementibut that his compensation will be based solely on the 16 services he performed for an hourly service fee. 17 5. It is the intent of this contract to secure the 18 personal services of the Consultant and failure of the Consultant 19 for any reason to make the personal service available to the City 20 to the extent necessary to perform the services required skillfully 21 and promptly shall be cause for termination of said contract. 22 6. The City shall provide the Consultant with an office 23 which he may utilize for the performance of said services. 24 7. The Consultant shall not assign, transfer, convey, 25 26 pledge, sublet, or .otherwise assign this contract without the prior written consent of the City Council. 27 8. The Consultant shall be'liable to and hereby agrees 9 10 11 12 to indemnify and hold harmless the City of Vernon, each officer, agent andemplovee of saidCitv against all claims arisinq out of the neqligentperformance of professional services caused by any error, omission or negligent act of the Consultant. 13 14 15 16 17 11.
