1 2 3 4 S 6, 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 4755 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING THE EXECUTION OF Ai CONTRKCT BY AND BETWEEN THE COUNTY OF LOS ANGELES AND THE CITY OF VERNON MODIFYING THE TRAFFIC SIGNAL CONTROL SYSTEM AT THE IN- 'TERSECTION OF DOWNEY ROAD AND FRUITLAND AVENUE WHEREAS, the City of Vernon and the County of Los Angeles are jointly responsible for the traffic signal andequipmen:t. at the intersection of Downey Road and Fruitland Avenue; and WHEREAS, said traffic signal and equipment are in. need of modi:ficationand repair; and WHEREAS, the City of Vernon and the County of Los Angeles are willing to equally share in the cost of said project. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF · THE CITY OF VERNON AS FOLLOWS: SECTION 1: That the City Council of the City of Vernon hereby finds 'and determines that the recitals contained herein- above are true and correct. SECTION 2: That the City Council of the City of Vernon hereby approves the execution 0:1: the Agreement which is attached hereto as Exhibit "A" and incorporated herein as though fully set forth at length and authorizes the Mayor and the City Clerk to execute said Agreement for and on behalf of the City Council of the City of Vernon. SECTION 3: That the City Clerk of the City of Vernon shall certify to the passage of this Resolution and thereupon and thereafter the same shall be in full force and effect. A G R E E MEN T THIS AGREEMENT, made and entered into by and betwee~.the CITY OF VERNON, a municipal corporation in the County of Los Angeles, hereinafter referred to as "CITY", and the COUNTY OF LOS ANGELES, a. political subdivision of the State of California, hereinafter referred to as "COUNTY": WIT N E SSE T H WHEREAS, Downey Road and Fruitland Avenue are on CITY'S Select System of Streets and on COUNTY'S Master Pla.n of Highways: and WHEREAS, CITY and COUNTY propose to modify traffic signals and equipment at the intersection of Downey Road and Fruitland Avenue, which work is hereinafter referred to as "PROJECT": and WHEREAS, PROJECT is withi,n, the jurisdictional limits of CITY and COUNTY: and WHEREAS, PROJECT is in the general interest of CITY and COUNTY: and WHEREAS, CITY and COUNTY are willing to share in the cost of PROJECT: and WHEREAS, suchc3. proposal is authorized and provided. for by the provisions of Title I, Division 7, Chapter 5, Article I, of the Government Code and Section 1710 of the Streets and Highways Code. NOW, THEREFORE, in consideration of the mutual benefits to be derived by both CITY and COUNTY and of the premises herein contained, it is hereby agreed as follows: (1) CITY AGREES: a. To prepare plans, specifications and cost estimates for PROJECT, all at no cost to COUNTY. b. To obtain approval from COUNTY of plans for PROJECT prior to advertising for construction bids. ... c.. To advertise PROJECT for construction bids, to award and administer the construction contract, to do all things necessary and proper to complete PROJECT and to act in behalf 6f COUNTY in all negotiations pertaining thereto. . d. To furnish COUNTY, within 120 days after completion of PROJECT, a .final accounting itemizing actual unit costs and actual quantities for PROJECT. (2) COUNTY AGREES: a. To pay one-half of the participating cost of PROJECT. b. To deposit with CITY, after PROJECT is advertised for construction bids and upon demand, $16,000 which is COUNTY'S estimated share of the participating cost of PROJECT. c. To issue CiTY a no fee permit under which work in the unincorporated area shall be performed. , on rr..,,",[l., "-:3- . . . (3) IT IS MUTUALLY UNDERSTOOD AND AGREED AS FOLLOWS: a. Upon completion of PROJECT, all improvements constructed as part of PROJECT will be maintained under the terms and conditions as set forth in Traffic Signal Maintenance Agreement No. 3121 between COUNTY and CITY. b. The participating cost of PROJECT, as referred to in this Agreement, shall consist of the costs of required materials, construction, signing and striping, construc- tion engineering, administration 'an~ all other work necessary to construct PROJECT in accordance with approved plans and shall include currently effective percentages added to total salaries, wages and equipment costs to cover overhead, administration and depreciation in connection with any or all of the aforementiohed items. Nonparti,.cipating PROJECT costs include the cost of preparing plans, specifications and cost estimates. c. If'COUNTY'S share of the participating cost of PROJECT, based upon,the final accounting, exceeds the amount deposited with CITY by COUNTY, COUNTY shall pay CITY the additional amount upon demand. Conversely, if said COUNTY'S share of PROJECT costs is less than COUNTY'S deposit, CITY shall return the difference to COUNTY. d. It is also understood and agreed that, pursuant to Government Code Section 895.4, CITY 'shall fully indemnify, defend and hold COUNTY harm- less from any liability imposed for injury (as defined by Government Code Section 810.8) occurring by reason of anything ~one or omitted to be done by CITY under or in connection with any work, authority or juris- diction delegated to CITY undert-his Agreement. e. NCW TIiER~'FCRE, it is agreed as follows: 1. County will furnish service for and. perform auoh maintenance work as shown in Appendix "A". The percentage of cost. to be borr~eby each agency shall be in the ratio that the number of approaches under ~urisdiotion • of City and County, respectively, bears to the total number of approaches entering each intersection. 2. Routine maintenance work to be performed. includes patrolling, relamping, furnishing of electrical energy, painting of standards and heads, and the necessary rningr repairs or replacements as required to insure satisfactory service. Installation of additional facilities is not a maintenance function under the provisions of this paragraph. 3. Extraordinary maintenance includes replacement and/or addition of majgr equipment due to obsolescence, wear, or inadequacy, repair due to extensive damage from any Cause, or replacement of parts in connection with highway safety lighting. Extraordinary maintenance shall be assessed. directly against the installation involved.: 1~. A flat monthly rate per intersection for routine maintenance of signals shall be established by County. The .first bill for maintenance and operation in the fiscal year shall show an itemization of the rate by salaries and wages, material, equipment and operation. Materials eha].1 include miscellaneous items of service and expense. Bille+ for extra- ordinary maintenance shall show the itemization speoified above. 6. On bills for routine and extraordinary maintenance (paragraph 5) ourront percentages may be added to salaries snd wages only far departmental administration and overhead, and to equipment costs for depreciation of equipment.. These percentages, if added,.shall be shown as.eeparate items in the rates for maintenance and operation, and on the .bill for extraordinary maintenance. 7. zt'ia agreed that additi.onal~signal installation andfor highxa`y safety lighting installations may bo included under the terms of_this Agreement by . written notice .to County by City or by so stipulating,in construction agreements.
