RESOLUTION NO. 4759
A RESOLUTION OF THE. CITY COUNCIL OF THE CITY
OF VERNON APPROVING THE EXECUTION OF THE
N~ENDMENT AND RENEWAL OF A CONTRACT BETWEEN
THE CITY OF VERNON AND MEDEVAC, INC., FOR
INTERIM PARAMEDIC SERVICES AND DETERMINING
THAT THE EXECUTION AND IMPLEMENTATION OF
SAID AGREEMENT WILL NOT HAVE ANY ADVERSE
AFFECT UPON THE WAGES, HOURS, OR WORKING
CONDITIONS OF EMPLOYEES IN THE FIRE DEPARTtillNT
OF THE CITY OF VERNON
9 WHEREAS, the City Council of the City of Vernon author-
10 ized Bruce V. Malkenhorst, City AdministratorlCity Clerk to
11 negotiate an amendment and renewal of the temporary agreement wit
12 Medevac, Inc. for paramedic services; and
14 previously authorized a change in the monthly service fee to
13 WHEREAS, the City Clerk of the City of Vernon has
15 Thirteen Thousand Two Hundred Eighty-Seven Dollars ($13,287.00)
16 by Resolution No. 4659 adopted on July 17, 1979; and
17 WHEREAS, the City Council of the City of Vernon has
18 authorized an increase in the monthly minimum fee to Eighteen
19 Thousand Seven Hundred Fifty-Three Dollars ($18,753.00) less
20 billings collected on behalf of the City of Vernon by Medevac,
21 Inc. which covers their budgeted expenses and management fee
22 totaling Two Hundred Twenty-Five Thousand Three Hundred Thirty-
23 Seven Dollars ($225,337) by Resolution No. 4749 adopted on
24 August 5, 1980; and
25 WHEREAS, the City Council of the City of Vernon has
26 adopted a Vernon Minimum Fee Schedule for paramedic services by
27 Minute Order on September 16, 1980.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF VERNON AS FOLLOWS:
SECTION 1: That the recitals contained hereinabove are
true and correct.
SECTION 2: That the City Council of the City of Vernon
does hereby determine that the implementation of the amendment
and renewal of the temporary agreement attached hereto ~s
Exhibit "A" and incorporated herein by this reference as though
fully set forth at length, will not have any adverse affect upon
the wages, hours, or working conditions of employees in the Fire
Department of the City of Vernon.
SECTION 3: That the City Council of the City of Vernon
does hereby determine that any effect of said amended and renewed
agreement, either its approval or implementation, is either of a
beneficial nature or so minimal in character that it does not
justify any increase in the compensation of any City personnel.
SECTION 4: That the City Council of the City of
Vernon does hereby determine that the recitals contained in said
agreement, Exhibit "Afl herein, are hereby found and determined
to be true and factual and are made a part of this Resolution in
their entirety.
SECTION 5: That the amendment and renewal of the
temporary paramedic agreement, Exhibit "A" herein, is approved
and the Mayor and City Clerk are hereby authorized to execute
said agreement for and on behalf of the City of Vernon.
SECTION 6: That the City Clerk of the City of Vernon
shall certify to the passage of this Resolution and thereupon
and thereafter the same shall be in full force and effect.

THIS AMENDI-1ENT AND RENE1vAL AGREE!1ENT is made and entered
into on this
day of NOVember, 1980, by and between the CITY
6 OF VERNON, (hereinafter referred to as "CITY"), and HEDEVAC, INC.,
7 (hereinafter referred to' as "l'.1EDEVAC"), to be effective. upon
8 date of execution.

12 HHEREAS, r1EDEVAC and the CITY are parties to that certain
13 Agreement entitled "Agreement For Nobile Intensive Care Unit (1-1ICU
14 Paramedic Services and Use of Vehicle Equipment and Facilities
15 made and entered into on February 21, 1978; and
16 WHEREAS, said Section V of said Agreement provides as
17 follows:
18 ". . .In the event said agreement is
19 not terminated, it shall continue on
20 a month to month basis and all charges
21 and fees shall be applicable on the
22 same basis ~s provided for herein~"
23 and
24 HHEREAS, said Agreement has not been terminated by either
25 party in accordance with said Agreement; and
26 WIEREAS, it is the intent of the parties to continue
27 this Agreement on a month-to-month basis in accordance with the
28 terms of the previous Agreement as amended herein; and

1 WHEREAS, Section XXI of said Agreement provided that the
2 CITY agreed to pay MEDEVAC a monthly service fee in advance in
3 the amount of Ten Thousand Four Hundred Twenty-Two Dollars
4 ( $10 , 422 .00); and
5 WHEREAS, the parties have heretofore agreed to increase
6 said monthly service fee to Thirteen Thousand Two Hundred Eighty-
7 Seven Dollars ($13,287.00) per month and said increased.monthly
8 service fee was approved by the City Council by Resolution No.
9 4659 on July 17, 1979; and
10 ~VHEREASt the parties have heretofore agreed to increase
11 said monthly service fee to Eighteen Thousand Seven Hundred Fifty-
12 Three Dollars ($18,753.00) per month less billings collected on
13 behalf of the CITY by MEDEVAC which covers their budgeted
14 expenses and management fee totaling Two Hundred Twenty-Five

16 solution No. 4749 adopted on August 5, 1980; and
17 WHEREAS, Section XVIII of said Agreement provides as

21 same rates as reflected in Los Angeles
22 County rate Ordinance 5860 as amended for
23 standard ambulance transportation and
24 related charges. In addition, a $25.00
25 fee shall be charged for the use of
26 Telemetry Service."

28 WHEREAS, the CITY has adopted a new fee schedule which

1 is attached hereto as Exhibit "A" and incorporated herein as
2 though fully set forth at length; and
3 WHEREAS, the parties hereto agree to amend the existing
4 Agreement to provide that MEDEVAC shall provide services under
S the terms of this amended and renewed Agreement at the same rates
6 as reflected in the rate schedule adopted by the CITY on
7 September 16, 1980.

9 NOW, THEREFORE, IN CONSIDERATION OF THESE MUTUAL
10 COVENANTS, THE PARTIES HERETO AGREE AS FOLLOWS:

12 CITY agrees to renew the Agreement for Mobile Intensive
13 Care Unit (MICU) Paramedic Services And Use of Vehicle Equipment
14 And Facilities in conformance with the amendments provided for
15 herein.

17 MEDEVAC agrees to renew the Agreement For Mobile In-
18 tensive Care Unit (l1ICU) Paramedic Services And Use of Vehicle
19 Equipment And Facilities in conformance with the amendments pro-
20 vided for herein.
21 III
22 MEDEVAC agrees to provide service under the terms of
23 this Agreement at the same rates as reflected in the Vernon Fee
24 Schedule adopted by the City Council of the CITY on September 16,
25 1980 and attached hereto as Exhibit "A".

In support of said paramedic service, CITY agrees to pay I
