RESOLUTION NO. 4805
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF VERNON APPROVING THE EXECUTION OF A CONTRACT
FOR CITY HALL JANITORIAL SERVICES, CONTRACT
NO. 004, BY AND BETWEEN THE CITY OF VERNON AND
KOREAN MAINTENANCE CO.
WHEREAS, the City of Vernon is in need of a janitorial
service to provide janitorial services for the Vernon City Hall;
and
WHEREAS, Korean Maintenance Co. has provided said
janitorial service for the Vernon City Hall for 1980-1981
pursuant to Resolution No. 4738 adopted on June 17, 1980; and
WHEREAS, the City of Vernon and Korean Maintenance Co.
desire to enter into an agreement wherein Korean Maintenance Co.
shall provide janitorial service for the Vernon City Hall from
July 1, 1981 to June 30, 1982.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF VERNON AS FOLLOWS:
SECTION 1: That the City Council of the City of
Vernon hereby finds and determines that the recitals contained
hereinabove are true and correct.
SECTION 2: That the Contract for City Hall Janitorial
Services, a copy of which is attached hereto as Exhibit "A"
and incorporated herein as though fully set forth at length
is hereby approved and the Mayor of the City of Vernon is
hereby authorized to execute said contract on behalf of the
City of Vernon.
SECTION 3: The City Clerk of the City of Vernon
shall certify to the passage of this Resolution thereupon and
thereafter the same shall be in full force and effect.

THIS AGREEMENT is made, entered into and executed in duplicate
originals, either copy of which may be considered and used as the
original hereof for all purposes, as of the 16th day of June ,

HEREINAFTER SET FORTH, THE PARTIES DO HEREBY AGREE AS FOLLOWS:
Section 1. Scope of Work
Contractor will furnish all labor, equipment, and materials, and
will perform all work necessary in order to provide janitorial service
for the Vernon City Hallas indicated in the proposal attached hereto
as Exhibit "Afl and incorporated herein as though fully set forth at
length and a.s more particularly described in the special provisions
attached hereto and hereby incorporated by this reference.
Section 2. Consideration
City shall pay Contractor the sums set forth in said proposal
(Exhibit " A")
Section 3. Payments
On or before the. 15th day of each month next following the
commencement of this Agreement, City shall pay the Contractor 1/12th
of the total consideration payable hereunder for the work performed
by the Contractor during the prior month.

Section 4. Contract Documents
The complete contract includes all of the contract documents
set forth herein, to wit: This Agreement, Contractor's Proposal,
special provisions, surety bonds, certificate of insurance and
workers' compensation certificate all attached hereto.
Section 5. Compliance with Provisions of Law
The City is a public agency of the state of California and is
sUbject to the provisions of the Government Code and the Labor Code
of the State. It is stipulqted and agreed that all provisions of
law applicable to public contracts are part of this contract to the
same extent as though set forth fully herein, and will accordingly
be complied with by the Contractor.
Section 6. Attorney's Fees
The court shall award reasonable costs and expenses, including
attorney's fees, to the prevailing party in any action or prpceeding
brought to enforce the provisions of this Agreement.
Section 7. Notices
Any notice required or permitted under this contract shall be
given by personal delivery or by First Class Mail, postage prepaid,
to the City in care of the City Clerk, 4305 Santa Fe Avenue, Vernon,
CA90058, and to the Contractor, care of George C. H. Kim, 541
South Spring Street, Suite 510, Los Angeles, CA 90013.
Section 8. Discrimination
The Contractor shall not refuse to employ or promote any person,
and shall not discriminate against any person with respect to
compensation received or terms and conditions of employment, and
shall not discipline or discharge any person employed by him because
of said person's race, religion, creed, color, national origin,
ancestry, or sex; nor shall the Contractor refuse to accept otherwise
qualified employees as indentured apprentices solely on the ground
of race, religion, creed, color, national origin, ancestry, or sex.
Section 9. Character of Workmen
Only competent workmen shall be employed on the work. Any person
employed, who is found to be incompetent, intemperate, troublesome,
disorderly or otherwise objectionable, or who fails or refuses to
perform his work properly and acceptably, shall be immediately
removed from the work by the Contractor and not be re-employed on
the work.

SectionlQ. Insurance
Prior to commencing work hereunder, Contractor shall. provide
City with a properly executed Certifi.cate of Insurance, naming City
as an additional insured on a policy or policies of Insurance
providing and maintaining the coverages set forth in the insurance
certificate attached hereto as Exhibit "B" and incorporated herein
as though fully set forth at length. Said certificate shall also
provide that said policy or policies shall not be amended or
cancelled without giving at least thirty (30) days prior written
notice to the City.
Section 11. Indemnification
Contractor shall indemnify and save the City, its officers,
agents, and employees, free and harmless from any and all costs,
damages, or liability, including attorney's fees, arising out of any
act or omission to act including any negligent act or omission to
act by Contractor, his officers, agents, and employees with respect
to the performance of any work or of.. any of the Contractor's obli-
gation under this contract.
Section 12. Workers' Compensation
Contractor shall secure payment of compensation to his employees
pursuant to Labor Code S3700. Contractor shall submit a 'Worker's
Compensation Certificate. on the form attached hereto as Exhibit "C"
and incorporated herein as though fully set forth at length.
Section 13. Surety Bond
Contractor shall execute and deliver to the City for its
approval and acceptance a Corporate Surety Bond attached hereto as
Exhibit 11011 (Performance Bond) and incorporated herein as. though
fully set forth at length conditioned upon the faithful performance
of his duties, in the total amount of Five Thousand Dollars
($5,000.00) .
Section 14. Term
This Agreement shall commence ~uly 1, 1981, and shall terminate
twelve (12) months thereafter, to wit: June 30, 1982.

Agreement, or caused it to be executed as of the day, month and year
first above written.

SPECIAL PROVISIONS
Examination of Site:
The Contractor must examine the site of the proposed work and
judge at their own responsibility the location, physical conditions,
and surroundings of the proposed work.
Work Scheduling:
All work, except the window cleaning and City Clerk's vault area
cleaning, shall be performed at night. The hours during which
cleaning shall be performed shall be approved by the Purchasing
Agent and shall be those which he determines to be the most convenient
and appropriate to provide adequate cleaning service. The Purchasing
Agent has the authority to change the schedule from time to time in
order to meet the needs of the City for an adequate cleaning program.
The Contract shall submit to the Purchasing Agent for approval,
his proposed cleaning schedule and submit a report for each change
from this schedule.
Suspension of Contract:
If at any time in the opinion of the Purchasing Agent the Contractor
has failed to supply an adequate working force, or equipment, or
proper quality, or has failed in any other respect to prosecute the
work with diligence and force specified and intended in and by the
terms of the contract, notice thereof, in writing, will be served
upon him. Should he neglect or refuse to provide means for a
satisfactory compliance with the contract, as directed by the Purchasing
Agent, within the time specified in such notice, the City Council
shall have the right to cancel the contract and relet the work. Any
excess of cost arising there form over and above the contract price
will be charged against the Contractor and his sureties, who will
be liable therefore. In the event of such suspension, all money
due the Contractor or retained under the terms of this contract shall
be forfeited to the City. The Contractor and his sureties will be
credited with the amount of money so forfeited toward any excess of
cost over and above the contract price, arising from the suspension
of the operations of the contract and the completion of work by the
City as above provided, and the Contractor will be so credited with
any surplus remaining after all just claims for such completion
have been paid.
In the determination of the question whether there has been any
such noncompliance with the contract as to warrant the suspension,
the decision of the City Council shall be binding on all parties to
the contract.

Standards of Service:
The standards of performance which the Contractor is obligated
to perform hereunder are the standards which are considered to be
good janitorial service practices and shall be subject to the
approval of the Purchasing Agent.
Equipment and Labor:
The Contractor shall furnish at his expense all labor, equipment,
and materials necessary for the satisfactory performance of the
cleaning operation only. All other expendable supplies used in
the various restrooms, kitchens, and laboratories will be supplied
by the City and it is the contractor's responsibility to p1ac.e same
in the appropriate dispensers.
AssiC]nment:
The Contractor shall not assign, sublet, or lease any part or
portion of this Agreement without prior approval of the City Council.
Term of Contract:
This contract shall be for a period of twelve (12) months,
starting July 1, 1981 and terminating June 30, 1982.
Cleaning Schedule:
Janitorial service shall be provided five (5) days per week:
Monday night through Friday night.
Areas marked to be cleaned once a week can be cleaned any day.
Areas marked to be cleaned six nights a week do not have to be
cleaned Saturday night. The Contractor shall spend a minimum of
seve.nteen (17) man hours Monday night through Friday night performing
cleaning operations as outlined under "Nightly Office and Jail
Service, and Nightly Restroom Service".
Total area to be cleaned is :t33,710 square feet.
If any area is eliminated or added to the cleaning area as shown
on the floor plans, the contractor shall credit the City or receive
additional compensation per proposal No.4.
Nightly Office and Jail Service:
1) Thoroughly sweep all floors, entrances, steps, porches and
stairs using sanitary dust control system (chemically treated mops);

2) Vacuum all carpets and spot clean as required;
3) Remove dirt spots, fingerprints, etc., from inside walls;
4) Dust desks, chairs, files, furniture, and accessories
(Dust desks if clear of paper only);
5) Dust telephones and damp wipe as needed;
6) Clean ashtrays and sand urns. Refill sand as needed;
7) Empty waste baskets and damp wipe as needed;
8) Clean and polish all drinking fountains, laboratory, kitchen
and dispensary sinks;
9) Spot clean only City Council Chambers;
10) Properly reposition furniture;
11) Keep janitor's closet clean and orderly;
12) Secure doors and lights after completion of work;
13) Refill soap and towel dispensers where provided.
Nightly Restroom Service:
1) Clean lavatory fixtures, toilets and urinals;
2) Pumice toilets and urinals as needed to remove scale;
3) Clean a11to~let seat tops and undersides;
4) Clean walls around sinks, towel dispensers and urinals;
5) Clean doors and partition walls;
6) Clean mirrors and polish hardware;
7) Damp mop floors;
8) Spot clean walls;
9) Empty and clean sanitary napkin containers;
10) Empty and clean waste receptacles and dispose of tr~sh;
11) Refill soap, towel, tissue and seat cover dispensers. Replace
bowl and urinal deodorant cakes as needed;
12) Notify management of any supplies running low.

Weekly.. Services:
1) Perform low dusting of sillS, ledges, shelves, rungs,
etc., (under 6 feet in height):
2) Dust picture frames, hangings, and wall ornaments;
3) Damp wipe desk tops and counter tops (damp wipe if clear
of papers on1y~;
4) Damp mop, wax, and polish all tile floors and vinyl floors.
All stairs and concrete floors to be damp mopped only;
5) Clean floor and open shelf spaces and ledges of City Clerk's
vault, when so determined by the Purchasing Department;
6) Each Monday night clean City Council Chamber:
a) Vacuum carpets;
b) Clean and dust ledges;
c) Wash table top;
d) Perform low dusting, including chairs and
auditorium seats:
e) Empty and clean ash trays and waste baskets.
Monthly Service:
1) Perform all high dusting, i.e., over 6 feet;
2) Brush or Vacuum all vents and areas around vents;
3) Wash all building windows and glass areas inside and
outside;
4) Wash all glass partition walls.
Quarterly Service:
1) Vacuum all drapes;
2) Vacuum all upholstered furniture;
3) Damp wipe all plastic furniture;
4) Damp wipe all metal furniture.
Carpet Shampoo Service:
All carpets or any portion of carpets shall be thoroughly cle.aned
in accordance with proposals #2 or 3 when so determined by the
Purchasing Agent. All costs for this work shall be paid as extra
work at the rate provided for in said Agreement.

Section 8. Discrimination
The Contractor shall not refuse to employ or promote any person,
and shall not discriminate against any person with respect to
compensation received or terms and conditions of employment, and
shall not discipline or discharge any person employed by him because
of said person's race, religion, creed, color, national origin,
ancestry, or sex; nor shall the Contractor refuse to accept otherwise
qualified employees as indentured apprentices solely on the ground
of race, religion, creed, color, national origin, ancestry, or sex.
Section 9. Character of Workmen
Only competent workmen shall be employed on the work. Any person
employed, who is found to be incompetent, intemperate, troublesome,
disorderly or otherwise objectionable, or who fails or refuses to
perform his work properly and acceptably, shall be immediately
removed from the work by the Contractor and not be re-employed on
the work.

Section 10. Insurance
Prior to commencing work hereunder, Contractor shall provide
City with a properly executed Certificate of Insurance, naming City
as an additional insured on a policy or policies of Insurance
providing and maintaining the coverages set forth in the insurance
certificate attached hereto as Exhibit "B" and incorporated herein
as though fully set forth at length. Said certificate shall also
provide that said policy or policies shall not be amended or
cancelled without giving at least thirty (30) days prior written
notice to the City.
Section 11. Indemnification
Contractor shall indemnify and save the City, its officers,
agents, and employees, free and harmless from any and all costs,
damages, or liability, including attorney's fees, arising out of any
act or omission to act including any negligent act or omission to
act by Contractor, his officers, agents, and employees with respect
to the performance of any work or of any of the Contractor's obli-
gation under this contract.
Section 12. Workers' Compensation
Contractor shall secure payment of compensation to his employees
pursuant to Labor Code ~3700. Contractor shall submit a Worker's
Compensation Certificate on the form attached hereto as Exhibit "C"
and incorporated herein as though fully set forth at length.
Section 13. Surety Bond
Contractor shall execute and deliver to the City for its
approval and acceptance a Corporate Surety Bond attached hereto as
Exhibit "0" (Performance Bond) and incorporated herein as though
fully set forth at length conditioned upon the faithful performance
of his duties, in the total amount of Five Thousand Dollars
($5,000.00) .
Section 14. Term
This Agreement shall commence July 1, 1981, and shall terminate
twelve (12) months thereafter, to wit: June 30, 1982.

Agreement, or caused it to be executed as of the day, month and year

SPECIAL PROVISIONS
Examination of Site:
The Contractor must examine the site of the proposed work and
judge at their own responsibility the location, physical conditions,
and surroundings of the proposed work.
Work Scheduling:
All work, except the window cleaning and City Clerk's vault area
cleaning, shall be performed at night. The hours during which
cleaning shall be performed shall be approved by the Purchasing
Agent and shall be those which he determines to be the most convenient
and appropriate to provide adequate cleaning service. The Purchasing
Agent has the authority to change the schedule from time to time in
order to meet the needs of the City for an adequate cleaning program.
The Contract shall submit to the Purchasing Agent for approval,
his proposed cleaning schedule and submit a report for each change
from this schedule.
Suspension of Contract:
If at any time in the opinion of the Purchasing Agent the Contractor
has failed to supply an adequate working force, or equipment, or
proper quality, or has failed in any other respect to prosecute the
work with diligence and force specified and intended in and by the
terms of the contract, notice thereof, in writing, will be served
upon him. Should he neglect or refuse to provide means for a
satisfactory compliance with the contract, as directed by the Purchasing
Agent, within the time specified in such notice, the City Council
shall have the right to cancel the contract and relet the work. Any
excess of cost arising there form over and above the contract price
will be charged against the Contractor and his sureties, who will
be liable therefore. In the event of such suspension, all money
due the Contractor or retained under the terms of this contract shall
be forfeited to the City. The Contractor and his sureties will be
credited with the amount of money so forfeited toward any excess of
cost over and above the contract price, arising from the suspension
of the operations of the contract and the completion of work by the
City as above provided, and the Contractor will be so credited with
any surplus remaining after all just claims for such completion
have been paid.
In the determination of the question whether there has been any
such noncompliance with the contract as to warrant the suspension,
the decision of the City Council shall be binding on all parties to
the contract.

Standards of Service:
The standards of performance which the Contractor is obligated
to perform hereunder are the standards which are considered to be
good janitorial service practices and shall be subject to the
approval of the Purchasing Agent.
Equipment and Labor:
The Contractor shall furnish at his expense all labor, equipment,
and materials necessary for the satisfactory performance of the
cleaning operation only. All other expendable supplies used in
the various restrooms, kitchens, and laboratories will be supplied
by the City and it is the contractor's responsibility to place same
in the appropriate dispensers.
Assi~nment:
The Contractor shall not assign, sublet, or lease any part or
portion of this Agreement without prior approval of the City Council.
Term of Contract:
This contract shall be for a period of twelve (12) months,
starting July 1, 1981 and terminating June 30, 1982.
Cleaning Schedule:
Janitorial service shall be provided five (5) days per week:
Monday night through Friday night.
Areas marked to be cleaned once a week can be cleaned any day.
Areas marked to be cleaned six nights a week do not have to be
cleaned Saturday night. The Contractor shall spend a minimum of
seventeen (17) man hours Monday night through Friday night performing
cleaning operations as outlined under "Nightly Office and Jail
Service, and Nightly Restroom Service".
Total area to be cleaned is t33,710 square feet.
If any area is eliminated or added to the cleaning area as shown
on the floor plans, the contractor shall credit the City or receive
additional compensation per proposal No.4.
Nightly Office and Jail Service:
1) Thoroughly sweep all floors, entrances, steps, porches and
stairs using sanitary dust control system (chemically treated mops);

2) Vacuum all carpets and spot clean as required;
3) Remove dirt spots, fingerprints, etc., from inside walls;
4) Dust desks, chairs, files, furniture, and accessories
(Dust desks if clear of paper only) ;
5) Dust telephones and damp wipe as needed;
6) Clean ash trays and sand urns. Refill sand as needed;
7) Empty waste baskets and damp wipe as needed;
8) Clean and polish all drinking fountains, laboratory, kitchen
and dispensary sinks;
9) Spot clean only City Council Chambers;
10) Properly reposition furniture;
11) Keep janitor's closet clean and orderly;
12) Secure doors and lights after completion of work;
13) Refill soap and towel dispensers where provided.

1) Perform low dusting of sills, ledges, shelves, rungs,
etc., (under 6 feet in height);
2) Dust picture frames, hangings, and wall ornaments;
3) Damp wipe desk tops and counter tops (damp wipe if clear
of papers only);
4) Damp mop, wax, and polish all tile floors and vinyl floors.
All stairs and concrete floors to be damp mopped only;
5) Clean floor and open shelf spaces and ledges of City Clerk's
vault, when so determined by the Purchasing Department;
6) Each Monday night clean City Council Chamber:
a) Vacuum carpets;
b) Clean and dust ledges;
c) Wash table tqp;
d) Perform low dusting, including chairs and
auditorium seats;
e) Empty and clean ash trays and waste baskets.
Monthly Service:
1) Perform all high dusting, i.e., over 6 feet;
2) Brush or vacuum all vents and areas around vents;
3) Wash all building windows and glass areas inside and
outside;
4) Wash all glass partition walls.
Quarterly Service:
1) Vacuum all drapes;
2) Vacuum all upholstered furniture;
3) Damp wipe all plastic furniture;
4) Damp wipe all metal furniture.
Carpet Shampoo Service:
All carpets or any portion of carpets shall be thoroughly cleaned
in accordance with proposals #2 or_3 when so determined by the
Purchasing Agent. All costs for this work shall be paid as extra
work at the rate provided for in said Agreement.
