Resolution No. 5016 . ., .' 1 2 3 4 5 RESOLUTION NO. 5016 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING, THE EXECUTION OF AN AGREEMENT BY AND BETWEEN THE CITY OF VERNON AND THOMASON MECHANICAL CORPORATION 6 WHEREAS, Thomason Mechanical Corporation has recently 7 completed the rehabilitation of Diesel Engine No.5; and 8 WHEREAS, Thomason Mechanical Corporation has submitted 9 a proposal to rehabilitation Diesel Engine Nos. 1 through 4; 10 and 11 WHEREAS, the rehabilitation of these Diesel Engines 12 require a high degree of specialized skill and expertise; and 13 WHEREAS, Thomason Mechanical Corporation has 14 demonstrated its' unique abilities by their successful 15 rehabilitation of Diesel Engine No.5. 16 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF 17 THE CITY OF VERNON AS FOLLOHS: 18 SECTION 1: The City Council of the City of Vernon does 19 hereby approve the Agreement with Thomason Mechanical Corporation, 20 a copy of which has been presented to the City Council con- 21 currently with this Resolution, in accordance with the 22 recommendation of Bruce V. MALKENHORST, City Clerk 1 AGREEMENT 2 3 THIS AGREEMENT is made, entered-into and executed in 4 duplicate originals, either copy of which may be considered and 5 used as the original hereof for all purposes, and to be 6 performed in Vernon, California, as of the 21st day of June , 7 1983 8 BY AND BETWEEN CITY OF VERNON, a Municipal Corporation (hereinafter 9 referred to as "City") 4305 Santa Fe Avenue 10 Vernon, CA 90058 11 AND ~ THOMASON P'IECHANZCAL CORPORATION (hereinafter .referred to as 12 "Thomason") 19002 South Santa Fe Avenue 13 Rancho Dominguez, CA 90220 14 15 RECITALS 16 17 WHEREAS, the City intends to rehabilitate~D.ies.el 18 Engine Nos. 1 through 4 located at the diesel power plant; and 19 WHEREAS, Thomason has submitted a proposal to provide 20 expert services to rehabilitate Diesel Engine-.Nos. l through 4; 21 and 22 WHEREAS, the City has determined that Thomason can 23 provide a unique and specialized service which has been 24 demonstrated in their previous rehabilitation of Diesel Engine 25 No. 5. 26 NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS, 27 -PROMISES AND CONDITIONS HEREINAFTER SET FORTH, THE PARTIES 28 HERETO AGREE AS FOLLOWS: 1 SECTION l: .Scope of Work. 2 Thomason will furnish all labor, equipment and 3 materials and perform all work necessary for the rehabilitation 4 of Diesel Engine-Nos. 1 through 4 as further described in their 5 proposal dated June 17, 1983, which is attached hereto as 6 Exhibit "A" and incorporated herein. by this reference as though 7 fully set forth at length. 8 SECTION 2: Consideration. 9 Thomason hereby agrees to accept as full consideration 10 for the performance of this Agreement its labor and material 11 charges as specified in Exhibit "A".; however, the total charges 12 for each Engine is not to exceed the sum of Three Hundred and 13 Twenty Thousand Dollars ($320,000). 14 SECTION 3: Payments. 15 City shall pay Thomason ninety percent (90%) of the 16 charges incurred in accordance with invoices submitted and shall 17 retain ten percent (10%) of said charges until thirty-five (35) 18 days after the City has accepted the completion of the individual 19 Engine. Each Engine is considered to be a separate project 20 and the cost and charges shall be segregated and billed to the 21 City accordingly. 22 City will retain the right to reduce any said payment 23 for the following: (1) amounts due the City for equipment and 24 materials furnished by City; (2) amounts of any claims or liens, 25 and (3) amounts required to be deducted by Federal, State or 26 local governmental authorities. 27 No payments herein shall be construed as acceptance of 28 the work, or any portion thereof, until the City has specifically -2- 1 agreed to accept the completion of the individual Engine nor 2 shall such payments preclude the City from demanding and 3 recovering from Thomason any such damages as may be sustained 4 by reason of Thomason's failure to fully perform this Agreement. 5 The final payment of ten percent {10%) of all charges 6 performed pursuant to this Agreement shall be made thirty-five 7 (35) days after the acceptance by the City Council of the City 8 of the completion of -the.rehabilitation of the individual 9 Engine. 10 The acceptance by Thomason of the final payment shall 11 constitute a waiver of all claims against the City arising- . 12 under this Agreement. 13 SECTION 4: Authority of City Representative. 14 Thomason shall receive instructions .from Lewis Adams, 15 Operations Manager of-the Light and Power Department of the City, 16 or his designated representative, William Everett, and:~s:ad 17 .representatives shall decide all questions which may arise as 1$ to the quality or acceptability of materials furnished and work 19 ;performed, and as to the manner of performance and rate of 20 progress of the work, all questions as to the interpretation 21 of the required work and. all questions as to the acceptable 22 fulfillment of the agreement on the part of Thomason. 23 SECTION 5. Insurance. 24 Prior to commencing-work hereunder, Thomason shall 25 provide City with a Certificate of Insurance naming City as 26 an additional-named insured on a policy or policies of insurance 27 .providing and maintaining the coverages set forth in the 28 insurance certificate attached hereto. Said certificate shall -3- 1 also provide that-said policy or policies shall not be amended 2 or cancelled without giving of at least thirty.(30) days prior 3 written notice to City. 4 SECTION 6: Indemnification. 5 Thomason. shall indemnify and hold harmless the City g and its agents and employees from and against-all claims, damages, 7 losses and expenses including attorneys' fees arising out of or g resulting from the performance of the work,- provided that any g such claim, damage, loss or expenses (a) is attributable to 10 bodily injury, sickness, disease. or death of any person, 11 including but not limited to persons employed by Thomason or any 12 subcontractor, or to injury or destruction. of tangible property 13 (other than the work itself) including the loss or use resulting 14 therefrom, and (b) is caused in whole or in part by any negligent 15 act or omission of Thomason, any subcontractor, anyone directly 16 or indirectly employed by any of them or anyone -for whom acts 17 of them may be liable. 18 SECTION 7: Workers' Coinpensat.on. 19 Thomason shall be required to secure payment of 20 ;'compensation to ha.s employees pursuant to Labor Code Section 3700 21 and shall be required to obtain. employers' liability insurance 22 of $100,000. Prior to performing the work hereunder, Thomason 23 shall submit the following certificate to the City (or an 24 .executed certificate of insurance provided herein): 25 "I am aware of the provisions of Sec~Cion 3700 of the Labor-Code which require every employer 26 to be self-insured against liability for workers' compensation. or to undertake self- , 27 insurance in accordance with the provisions of that Code, and I will comply with such 28 provisions before commencing the, performance of the work of this contract." -4- 1 SECTION 8:' Extra Work.. 2 The City, upon proper action by the City Council, may 3 require changes in, additions to, or deductions from the work to 4 be performed or to the materials to be furnished pursuant to the 5 provisions of this Agreement. No extra work shall be performed 6 or change made unless directed by written order from the City 7 stating that the extra work or change is authorized, and setting g forth the basis upon which payment therefore is to be made. g SECTION 9: Permits and Licenses. 10 The City shall apply for and procure all permits and 11 licenses necessary for the performance of the work. 12 SECTION 10: Supervision By Thomason. 13 Before ~tartang the work, Thomason shall designate, in 14 writing, a representative who shall have complete authority to 15 act forhim. 16 IN WITNESS WHEREOF the parties hereto have executed 17 this Agreement, or caused it to be executed as of_ the day, month 18 and year first above written. 19 CITY OF VERNON Leonis C. Adams Gentlemen: REPAIR AND UPGRADING OF_VERNON LIGHT AND POWER ENGINES We are enclo-sing a cost estimate. for thework to be ' -done on Engines #1 through #4. These are "not-to- exceed" figures based on the knowledge we acquired while working on the #5 Engine. There are much more machining.. and manufacturing costs on the remaining engines .since all the good spare parts were used on the #S .Engine. However, with the knowledge we acquired while repairing the #5 Engine, we should be .able to hold down. the labor costs. considerably on-.the remaining four. As mentioned-previously, these prices are not "firm" but on a "not-to-exceed" basis only.. However, by using the same.. supervision and millwright personnel who worked on -the #5 Engine., we feel the. job-could be done for as much as 25% under these figures. We will not be performing these services with a "hurry upand .get done .and out" attitude but plan tocomplete a -job of highest .quality.-and with the assurance of depend- ability .that is necessary to achieve the prime objective. There will be much work required in the building-..and modifying of the existing parts to bring these. engines to an excellent operating condition. This work will. replace the spare parts inventory which we depleted on .the first engine. Subject: Reconditioning No. 5 engine - scavenge air blower Dear Sir: A.study was prepared to determine-the best and most viable way of increasing: the scavenge air to the-engine. It was,. after considerable thought, recommended that the _ blower be fitted with a speed increaser so that the capacity of the blower would meet-the demands of the engine. This would mean that the blowez speed would increase from 3,550 to 3,900/4,000 r.p.m. Studies are x~o~na underway, not previously authorized, to investigate insta]_lation of.turbo charging. It must be~remem- bered that a 2-cycle engine will not start automatically on turbo charging but needs a separate source of scavenge air. - For this reason. scavenge air blowers would. have to.be provided for al the engines,-however if during the process we are able to develop sources for turbo charges subsequent engneswould not necessarily. be required to be fitted with speed increasers.
