RESOLUTION HO. 5482
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF VERNON APPROVING AND AUTHORIZING THE
EXECUTION OF AN ASSOCIATE MEMBER AGREEMENT
BETWEEN THE CITY OF VERNON AND UNDERGROUND
SERVICE ALERT OF SOUTHERN CALIFORNIA ("USA-SC")
REQUESTING MEMBERSHIP IN SAID REGIONAL
NOTIFICATION CENTER PURSUANT TO AB 3020 AND
RATIFYING TijE ARTICLES OF INCORPORATION,
BY-LAWS AND OPERATING PROCEDURES OF USA-SC
WHEREAS, AB 3020 approved by the Governor on September
requires all owners of subsurface installations to be-
9 come members of a regional notification center: and
10 WHEREAS, the agency in our region is Underground Service
11 Alert of Southern California ("USA-SC"): and
12 WHEREAS, the City of Vernon wishes to request membership
13 in the USA-SC: and
14
WHEREAS, the City Council of the City of Vernon would
15 agree to be bound by the provisions of the Articles of Incorpora-
16 tion, By-Laws and Operating Procedures of USA-SC as a condition
17 of said membership.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
19 THE CITY OF VERNON AS FOLLOWS:

SECTION 1: That the City Council of the City of Vernon
21 hereby finds and determines that the recitals contained
22 hereinabove are true and correct.
23
SECTION 2: That the City Council of the City of Vernon
24 hereby approves the Associate Member Agreement, a copy of which
25 has been presented to the City Council concurrently with this
26 resolution and the City Council hereby orders said Agreement to
27 be received and filed by the City Clerk.

SECTION 3: That the City Council of the City of Vernon
2 hereby authorizes the Mayor and the City Clerk to execute said
3 Agreement for, and on behalf of, the City of Vernon.

SECTION 4: That the City Council of the City of Vernon
5 hereby approves and agrees to be bound by the provisions of the
6 Articles of Incorporation, By-Laws and Operating Procedures of
7 the USA-SC, copies of which have been presented to the City Coun-
8 cil concurrently with this resol ution, and the City Council
9 hereby orders said Articles of Incorporation, By-Laws and Operat-
10 ing Procedures to be received and filed by the City Clerk.

SECTION 5:
The City Clerk of the City of Vernon shall
12 certify to the passage of this resolution and thereupon and
13 thereafter the same shall be in full force and effect.
14 APPROVED AND ADOPTED this 16th day of June, 1987.

Gentlemen:
AB 3020, approved by the Governor on September 9, 1986, requires all
owners of subsurface installations to become members of a regional notifi-
cation center. The agency in our region is Underground Service Alert of
Southern. California.
Attached are copies of Associate Member Agreement wherein Vernon would
join the regional agency as an associate member. The annual dues will be
$70.00.
It is recommended that the City Council approve the agreement and that
the Mayor be authorized to sign on behalf of the City..

THIS AGREEMENT, made and entered `.into thus: day. of

OF SOUTHERN CALIFORNIA (hereinafter referred to as "USA-SC"),
-and CITY OF VERNON (hereinafter referred to as
°Associate Member" ,
WITNESSETHs:
WHEREAS, ,USA-SC is a nonprofit mutual benefit
corporation organzedunc~er the'-laws of-the .:State o£'California
°which operates a regional notification 'center to facilitate
notice .to members with::.-underground facilities of proposed-
excavation; and
WHEREAS, Associate Member desires to become a member
of USA=SC .:and USA-SC.desires to: accept Associate Member as a
member.
NOW,` THEREFORE, theparties hereto agree-as follows:
1. Associate Member has reviewed the USA-SC Articles
of Incorporation, By-Laws and Operating Procedures and hereby
accepts and agrees to be>bound by the terms"and conditions
thereof.
2. Associate Member agrees to pay the dues and
<assessments as established by the USA-SC Board.of Directors
from time to time.
3. This Agreement shall become effective on the day
and year above .first written and shall continue in effect until
.Associate-Member's membership is terminated pursuant to
