A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF A SECOND LETTER AGREEMENT WITH THE SOUTHERN
CALIFORNIA EDISON COMPANY AMENDING THE EXISTING
FIRM TRANSMISSION SERVICE AGREEMENT FOR THE
TRANSMISSION OF CAPACITY AND ENERGY PURCHASED
FROM THE CALIFORNIA DEPARTMENT OF WATER RESOURCES
WHEREAS, tbe City of Vernon ("Vernon") and the Southern
California Edison Company ("SCE") entered into a Firm Transmis-
sion Service Agreement on December 11, 1986, which permits Vernon
to receive firm power from the California Department of Water
Resources: and
WHEREAS, Vernon and SCEentered into a Letter Agreement
amending said transmission service agreement
on December 28,
1987: and
WHEREAS, Vernon and SCE have agreed to a second Letter
Agreement amending said transmission service agreement: and
WHEREAS, the proposed second Letter Agreement submitted
concurrently with this resolution reflects the understanding
reached between the parties.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF VERNON AS FOLLOWS:
SECTION 1: That the City Council of the City of Vernon
hereby finds and determines that the recitals contained
hereinabove are true and correct.
.SECTION 2: That the City Council of the City of Vernon
hereby approves the second Letter Agreement, a copy of which has
been presented to the City Council concurrently with this resolu-
tion and the City Council hereby orders said Letter Agreement to

be received and filed by the City Clerk.
SECTION 3: That the City Council of the City of Vernon
hereby authorizes the Mayor and the City Clerk to execute said
second Letter Agreement for, and on behalf of, the City of Ver-
non.
SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution and thereupon and
thereafter the same shall be in ful1 force and effect.
APPROVED AND ADOPTED this 16th day of February, 1988.
