A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF VERNON APPROVING AND AUTHORIZING THE
EXECUTION OF A TIE-IN AGREEMENT BETWEEN
THE CITY OF VERNON AND SUNLAW COGENERATION
PARTNERS I ENABLING VERNON TO CONNECT TO
THE DEDICATED HIGH PRESSURE GAS MAIN
SERVING SUNLAW'S COGENERATION PLANTS
WHEREAS, Sunlaw Cogeneration Partners I ("Sunlaw") and
i the Southern California Gas Company (ISoCalGas") have entered
8 into a Cogeneration Contract Addendum dated March 26, 1985
9 ( "Addendum") providing for the construction of a dedicated high
10 pressure gas main ("gas main") to provide gas service on an ex-
11 clusive basis to Sunlaw's u.S. Growers Cold Storage Cogeneration
12 Facility and Federal Cold Storage Cogeneration Facility
13 (collectively, the "Sunlaw Plants") in the City of Vernon: and
14 WHEREAS, said gas main has been constructed and is cur-
15 rently in use: and
16
WHEREAS, the City of Vernon is constructing additional
17 electric generation (the "Vernon Plan.'t") in the vicinity of the
18 Sunlaw Plants and has requested SoCalGas to provide the Vernon
19 Plant with service from the gas main, which request requires the
20 prior approval of Sunlaw: and
21
WHEREAS, SoCalGas and
entered into a Special
22 Facilities .Contract dated May 5,1~88, modifying certain of the
23 terms of the Addendum and grantingSoCa.;l.Gas the ability to util-
24 ize 't=.hegas main to provide service to the Vernon. Plant condi-
25 tioned upon the execution o.f a Joint Service Agreement among
26 SoCalGas, Sunlaw and Vernon regarding the use of the gas main.

1 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
2 THE CITY OF VERNON AS FOLLOWS:

SECTION 1: That the City Council of the City of Vernon
4 hereby finds and determines that the recitals contained
5 hereinabove are true and' correct.

SECTION 2: That the City Council of the City of Vernon
i hereby approves the Tie-In Agreement, a copy of which has been
8 presented to the City Council concurrently with this resolution,
9 and the City Council hereby orders said Agreement to be received
10 and filed by the City Clerk.

SECTION 3: That the City Council of the City of Vernon
12 hereby authorizes the Mayor and the City Clerk to execute said
13 Agreement for, and on behalf of, the City of Vernon.
14
SECTION 4: The City Clerk of the City of Vernon shall
15 certify to the passage of this resolution and thereupon and
16 thereafter the same shall be in full force and effect.
17 APPROVED AND ADOPTED this 17th day of May, 1988.
