A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF VERNON APPROVING AND AUTHORIZING THE
EXECUTION OF A JOINT SERVICE AGREEMENT AMONG
THE SOUTHERN CALIFORNIA GAS COMPANY, SUNLAW
COGENERATION PARTNERS I (BY SUNLAW OPERATING
CORPORATION), AND THE CITY OF VERNON ENABLING
VERNON TO CONNECT TO AND RECEIVE SERVICE FROM
THE DEDICATED HIGH PRESSURE GAS MAIN SERVING
SUNLAW'S COGENERATION PLANTS
WHEREAS,
the Southern California Gas Company
8 ("SoCalGas") and Sunlaw Cogeneration Partners I ("Sunlaw") have
9 entered into a Special Facilities .Contract dated May 5, 1988,
10 modifying certain terms of the Cogeneration Contract Addendum
11 dated March 26, 1985, which allows Vernon to take transportation
12 service from the dedicated high pressure gas main serving
13 Sunlaw's cogeneration plants ("gas main"): and
14
WHEREAS, the City of Vernon has constructed additional
15 electric generation ("Vernon Power Plant") in the vicinity of the
16 gas main and has asked for service from the gas main: and
17 WHEREAS, Sunlaw and Vernon will be receiving gas utility
18 services from SoCalGas through the gas main under individual
19 service agreements: and

WHEREAS, the City of Vernon desires to enter into an
21 agreement with SoCalGas and Sunlaw to enable it to connect to and
22 receive service from the gas main.
23 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
24 THE CITY OF VERNON AS FOLLOWS:

SECTION 1: That the City Council of the City of Vernon
26 hereby finds and determines that the recitals contained
27 hereinabove are true and correct.

SECTION 2: That the City Council of the City of Vernon
2 hereby approves the Joint Service Agreement, a copy of which has
3 been presented to the City Council concurrently with this resolu-
4 tion and the City Council hereby orders said Agreement to be
5 received and filed by the City Clerk.

SECTION 3: That the City Council of the City of Vernon
7 hereby authorizes the Mayor and the City Clerk to execute said
8 Agreement for, and on behalf of, the City of Vernon.

SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution and thereupon and
thereafter the same shall be in full force and effect.
