Resolution No. 5568 .. 1 2 3 4 5 6 7 8 9 RESOLUTION NO. 5568 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EX- ECUTION OF AN AGREEMENT FOR IMPROVEMENT OF RAILROAD CROSSINGS BY AND BETWEEN THE CITY OF VERNON AND THE LOS ANGELES & SALT LAKE RAIL- ROAD COMPANY AND ITS LESSEE THE UNION PACIFIC RAILROAD COMPANY WHEREAS, Union pacific Railroad Company, lessee of the Los Angeles & Salt Lake Railroad Company, operates rail- road lines and spur tracks which cross public streets in and adjacent to the City of Vernon, all as shown in the proposed 10 Agreement for Improvement of Railroad Crossings which has been 11 . submitted to the City Council concurrently with this 12 Resolution; and 13 14 15 16 17 18 WHEREAS, Union Pacific is required pursuant to its franchise agreement with the City of Vernon and by Vernon City Code section 22.83 to maintain and repair said crossings; and WHEREAS, Union Pacific intends to improve said rail- road crossings to a standard higher than is required by its franchise or by said code section, which improvements will 19 benefit the City of Vernon by improving traffic circulation 20 and by reducing the potential for vehicle damage and accidents 21 22 which can result from deteriorated crossings. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL 23 OF THE CITY OF VERNON AS FOLLOWS: 24 SECTION 1: The City Council of the City of Vernon 25 hereby finds and determines that the recitals contained 26 hereinabove are true and correct. 27 28 1 ..... 1 SECTION 2: The City Council of the City of Vernon 2 hereby approves the Agreement for improvement of railroad 3 crossings, a copy of which has been presented to the City 4 Council concurrently with this resolution and the City Council 5 hereby orders said Agreement to be received and filed by the 6 City Clerk. 7 SECTION 3: The City Council of the City of Vernon '8 hereby authorizes the Mayor and the City Clerk to execute said 9 Agreement for, and on behalf of, the City of Vernon. 10 SECTION 4: The City Clerk of the City of Vernon 11 shall certify to the passage of this resolution and thereupon 12 and thereafter the same shall be in full force and effect. 13 14 15 ~~. :~A~/n~- 18 BRUCE V. City Clerk 15 16 17 18 19 20 21 22 23 24 25 26 27 28 -3- ~ .~ 1 2 3 AGREEMENT FOR IMPROVEMENT OF RAILROAD CROSSINGS THIS AGREEMENT is made, entered into and executed in 4 duplicate originals, either copy of which may be considered 5 and used as the original hereof for all purposes this day 6 of , 1988. 7 BY AND BETWEEN 8 9 10 11 AND 12 13 14 THE CITY OF VERNON, a Municipal Corporation of the State of California, whose City Hall address is 4305 Santa Fe Avenue, Vernon, California, 90058, hereinafter referred to as "City" LOS ANGELES & SALT LAKE RAIL- ROAD COMPANY and lessee, UNION PACIFIC RAILROAD COMPANY, cor- porations of the State of Utah, hereinafter collectively referred to as "Railroad" 15 16 RECITALS WHEREAS, the Railroad owns and operates north-south 17 mainline railroad tracks through the City of Vernon parallel 18 to Downey Road and adjacent to the west side thereof; 19 WHEREAS, said tracks are crossed by Exchange Avenue 20 in the County of Los Angeles pursuant to an easement granted 21 by Railroad to the Central Manufacturing District dated Decem- 22 ber 1, 1928, which crossing serves as a transportation artery 23 between the eastern and western parts of the City of Vernon, 24 the improvement of which will benefit traffic circulation in 25 the City of Vernon; and 26 WHEREAS, said railroad tracks are traversed by Dis- 27 trict Boulevard in the City of Vernon pursuant to an easement 28 1 .. 1 granted by Railroad to the City of Vernon dated October 31, 2 1957, which easement is subject to the obligation of Railroad 3 to "maintain their entire railroad right-of-way and property 4 in performance of their duty as a common carrier:" and 5 WHEREAS, pursuant to Ordinance No. 511 of the City 6 of Vernon dated November 2, 1937, Railroad was granted a fran- 7 chise to install and maintain two spur crossings on Downey 8 Road between Exchange Avenue and District Boulevard, which 9 franchise was renewed for a period of fifty years by Ordinance 10 No. 881 on June 21, 1977, subject to the conditions contained 11 in Ordinance Nos. 701 and 796: and 12 WHEREAS, the crossings specified in said franchise 13 were approved by order of the Public utilities commission 14 (P.U.c.) in Application No. 21530 dated October 25, 1937, in 15 which Railroad was required to "bear the entire construction 16 and maintenance expense" of the two tracks which were desig- 17 nated crossings No. 3A-3 .79-C and 3A-3. 85-C, for which the 18 standards of construction and maintenance are set forth in 19 P.U.C. General Order No. 72-B: and 20 WHEREAS, Ordinance No. 796 has been incorporated as 21 part of Chapter 22 of the Vernon City Code and Section 22.83 22 thereof (Sec. 111 of Ordinance No. 796) requires a franchise 23 holder to maintain and repair an encroachment in any public 24 street or right-of-way: and 25 WHEREAS, Ordinance No. 701 has been incorporated as 26 Chapter 19 of the Vernon City Code and Section 19.5 thereof 27 (Sec. 4 of Ordinance No. 701) reserves to the City the right 28 2 1 to "reconstruct subsurface structures of any and all kind un- ? 2 der the the spur track;" and 3 WHEREAS, Railroad proposes to replace the crossings 4 of two tracks across Exchange Avenue and the two spur tracks 5 across Downey Road as shown on Exhibit A hereof which is at- 6 tached hereto and made a part hereof by reference, and to re- 7 place the crossings for three tracks across District Boulevard 8 as shown on Exhibit B attached hereto and made a part hereof 9 by reference; and 10 WHEREAS, said crossing replacements will consist of 11 prefabricated sections using reinforced concrete as described 12 in Exhibit C which is attached hereto and made a part hereof 13 by reference, the design of which has proven superior in 14 quality and better able to withstand the'constant truck traf- 15 fic prevalent in the City of Vernon; and 16 WHEREAS, said crossing replacements exceed the cost 17 of normal crossing construction and materials as required by 18 P.U.C. General Order No. 72-B, and Railroad has requested that 19 the City of Vernon contribute $39,560, approximately 30 per- 20 cent of the total estimated cost of $130,320. 21 NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS: 22 SECTION 1: The foregoing recitals are true and cor- 23 rect and constitute valid consideration for this agreement. 24 SECTION 2: Railroad will provide engineering serv- 25 ices, perform the work, rent certain equipment and install 26 concrete crossing materials at the crossing. The work will be 27 done as shown in the drawing attached hereto, marked Exhibit D 28 3 1 and made a part hereof by reference. 2 SECTION 3: Railroad will be reimbursed $39,560 by 3 the City as part of the cost of the work. The City agrees to 4 reimburse the Railroad for work performed pursuant to this 5 agreement within thirty (30) days after receiving the 6 Railroad's bill therefor. 7 SECTION 4: Railroad shall obtain an encroachment 8 construction permit from the City of Vernon pursuant to Vernon 9 City Code Sect~on 22.33 and shall file detailed plans and 10 specifications for the improvements to the satisfaction of the 11 Traffic Engineer. Said plans shall provide for the placing of 12 warning signs and barriers in accordance with City standards, 13 which signs and barriers will be furnished by city. Fees are 14 waived pursuant to Vernon City Code Section 22.46 as work 15 being performed on behalf of a governmental agency, and a 16 deposit is not required pursuant to Vernon City Code Section 17 22.48. 18 SECTION 5: Nothing in this Agreement shall con- 19 stitute an amendment to Ordinances Nos. 701 or 796 or their 20 codified counterparts nor to franchise Ordinance No. 881. 21 None of the parts thereof are waived except as expressly 22 provided herein: nor shall this Agreement be construed as an 23 amendment of any easement granted by Railroad nor vitiate any 24 conditions and terms of an order or regulation of the Public 25 utilities Commission of the State of California. 26 SECTION 6: Railroad shall save, keep and hold harm- 27 less the city, its officers, agents, employees and volunteers 28 4 1 from all damages, costs or expenses in law or equity that may 2 at any time arise or be set up because of damages to property 3 or personal injury to any person received by reason of or in 4 the course of performing work or which may be occasioned by 5 any act or omissions of the contractor, any of the 6 contractor's employees, or any subcontractor or for any patent 7 or latent defects in material or construction. 8 SECTION 7: After completion of the crossing, Rail- 9 road will maintain the crossing between the rails and two (2) 10 feet outside each rail and the city will improve, pave out, 11 and maintain that portion thereof located outside the area to 12 be maintained by Railroad. 13 IN WITNESS WHEREOF, the parties hereto have executed 14 this Agreement or caused this Agreement to be executed by 15 their respective officers, duly authorized, as of the date, 16 month and year first written above. 17 18 19 20 21 22 CITY OF VERNON By LEONIS C. Fees are 14 waived pursuant to Vernon City Code Section 22.46 as work 15 being performed on behalf of a governmental agency, and a 16 deposit is not required pursuant to Vernon City Code Section 17 22.48. lg SECTION 5: Nothing in this Agreement shall con- lg stitute an amendment to Ordinances Nos. 701 or 796 or their 20 codified counterparts nor to franchise Ordinance No. 881. 21 None of the parts thereof are waived except as expressly 22 provided herein; nor shall this Agreement be construed as an 23 amendment of any easement granted by Railroad nor vitiate any 24 conditions and terms of an order or regulation of the Public 25 Utilities Commission of the State of California. 26 SECTION 6: Railroad shall save, keep and hold harm- 27 less the City, its officers, agents, employees and volunteers 28 4 1 from all damages, costs or expenses in law or equity that may 2 at any time arise or be set up because of damages to property 3 or personal injury to any person received by reason of or in 4 the course of performing work or which may be occasioned by 5 any act or omissions of the contractor, any of the 6 contractor's employees, or any subcontractor or for any patent 7 or latent defects in material or construction. 8 SECTION 7: After completion of the crossing, Rail- 9 road will maintain the crossing between the rails and two (2) 10 feet outside each rail and the City will improve, pave out, 11 and maintain that portion thereof located outside the area to 12 be maintained by Railroad. 13 IN WITNESS WHEREOF, the parties hereto have executed 14 this Agreement or caused this Agreement to be executed by 15 their respective officers, duly authorized, as of the date, 16 month and year first written above. 17 CITY OF VERNON T8 By ~ s 19 L ONIS C.
