RESOLUTION NO. 5594
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF VERNON APPROVING AND AUTHORIZING THE
EXECUTION OF AN ESI-VERNON AGREEMENT FOR
TRANSITION OF OPERATIONS BETWEEN THE CITY
OF VERNON AND ENERGY SERVICES, INCORPORATED
6 WHEREAS, the City of Vernon and Energy services, Incor-
7 po rated ("ESI") executed an agreement effective May 1, 1977
8 ("Operating Agreement"), pursuant to which ESI performs opera-
9 tions and maintenance of the Vernon system; and
10 WHEREAS, on July 1, 1987, ESI provided notice to Vernon
11 for termination of the Operating Agreement effective July 1,
12 1989, at which time Vernon will assume those functions pre-
13 viously performed by ESI; and
14
WHEREAS, an effective transition of functions between
15 ESI and Vernon will require that both entities provide shared
16 services and functions during the transition period; and
17 WHEREAS, the parties desire to provide for procedures
18 for the orderly transition of operations as expressed in the
19 ESI-Vernon Agreement for Transition of Operations.
20 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
21 THE CITY OF VERNON AS FOLLOWS:

SECTION 1:
The City Council of the city of Vernon
23 hereby finds and determines that the recitals contained
24 hereinabove are true and correct.

SECTION 2:
The City Council of the city of Vernon
26 hereby approves the ESI-Vernon Agreement for Transition of
27 Operations, a copy of which has been presented to the City Coun-
28 cil concurrently with this resolution and the City council

hereby orders said Agreement to be received and filed by the
City Clerk.
SECTION 3: The City Council of the city of Vernon
hereby authorizes the Mayor and the City Clerk to execute said
Agreement for, and on behalf of, the City of Vernon.
SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution and thereupon and
thereafter the same shall be in full force and effect.
