A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF VERNON APPROVING AND AUTHORI ZING
THE EXECUTION OF A LETTER AGREEMENT WITH
PEAT MARWICK MAIN & CO. TO PROVIDE TAX
CONSULTING SERVICES RESPECTING THE CITY'S
DEFERRED COMPENSATION PLAN

WHEREAS, the City of Vernon wishes to obtain the
7 services of certified public accountants to review the City's
8 deferred compensation plan to verify compliance with all
9 applicable tax laws and regulations including the Tax Reform Act
10 of 1986 and the Technical and Miscellaneous Revenue Act of 1988;
11 and
12 WHEREAS, the certified public accountants firm of Peat
13 Marwick Main & Co. has agreed to provide the necessary tax
14 consulting services for the City of Vernon.
15 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
16 THE CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the City of Vernon
18 hereby finds and determines that the recitals contained
19 hereinabove are true and correct.

SECTION 2: The City Council of the city of Vernon
21 hereby approves the Letter Agreement, a copy of which has been
22 presented to the City Council concurrently with this resolution
23 and the City Council hereby orders said Letter Agreement to be
24 received and filed by the City Clerk.

SECTION 3:
The City Council of the City of Vernon
26 hereby authorizes the Mayor and the City Clerk to execute said
27 Letter Agreement for, and on behalf of, the city of Vernon.

SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution and thereupon and
thereafter the same shall be in full force and effect.

APPROVED AND ADOPTED this 22nd day of August, 1989.
