RESOLUTION NO. 5705

A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF VERNON APPROVING AND AUTHORIZING
THE EXECUTION OF A SERVICE AGREEMENT BY
AND BETWEEN THE CITY OF VERNON AND
WASHINGTON WATER POWER COMPANY FOR THE
PURCHASE OF NONFIRM ENERGY

WHEREAS, the Washington Water Power Company has
available surplus energy to sell to public entities within the

State of California; and

WHEREAS, the ci ty of Vernon is interested in buying
surplus energy from Washington Water Power Company at prices
11 less than the prices charged by Southern California Edison
12 Company; and
13
WHEREAS, the execution of a Service Agreement would
14
permit the City of Vernon to purchase said surplus nonfirm
15
16
energy.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
17
THE CITY OF VERNON AS FOLLOWS:

SECTION 1:
The City Council of the City of Vernon
19
hereby finds and determines that the recitals contained
20

hereinabove are true and correct.
SECTION 2:
The City Council of the City of Vernon
22
hereby approves the Service Agreement by and between the City of
Vernon and Washington Water Power Company, a copy of which has
been presented to the City Council concurrently with this

resolution and the City Council hereby orders said Service
Agreement to be received and filed by the City Clerk.
SECTION 3:
The City Council of the City of Vernon
28 hereby authorizes the Mayor and the city Clerk to execute said

Service Agreement for, and on behalf of, the City of Vernon.

SECTION 4: The City Clerk of the City of Vernon shall

certify to the passage of this resolution and thereupon and
thereafter the same shall be in full force and effect.

PRELIMINARY STATEMENT
The Washington Water Power Company is engaged in the generation,
transmission and distribution of electric power and energy in eastern
Washington, northern Idaho, and western Montana. The Company also engages
in the distribution of natural gas in eastern Washington and northern Idaho.
The Company serves approximately 206,000 residential customers, 25,000
commercial and industrial customers and 300 general customers in an area of
26,000 square miles. The electrical resources include nine hydro plants,
two combustion-turbines, one wood-fired thermal plant and ownership shares
in two coal-fired plants.

RATE SCHEDULES
Energy delivered pursuant to this tariff will be at the rate set forth
below, which is to be mutually agreed upon by the parties prior to delivery.
When surplus energy in the Northwest is available at a lower rate,
Washington may make available surplus energy at a rate equivalent to such
lower rate, if mutually agreed upon by the parties. An executed service
agreement in the form specified within this Volume shall be required and
executed prior to any delivery. Each such service agreement is to be filed
with the Federal Energy Regulatory Commission.
W-1.1 Energy Delivered from Purchased Power
The total cost to Washington for the purchase of power plus any
identifiable costs directly associated with such energy purchase,
such as losses and transmission costs of a third party, plus an
amount not to exceed one mill per kilowatt-hour.
W-1.2 Energy Delivered from Thermal Resources
Washington's incremental (variable) cost of furnishing thermal
generation plus up to 26 mills per kilowatt-hour.
The variable costs shall include the operating and maintenance
expenses incurred to provide production of energy. These expenses
include fuel expense, operating labor and supplies, and maintenance
labor and supplies.
The 26 mills per kilowatt-hour is the weighted fixed cost of
Washington's three thermal projects. The fixed costs associated
with the generation of energy shall include return on investment,
depreciation, income taxes. property and other taxes related to
plant investment. administrative and general expense. and
insurance.
W-1.3 Energy Delivered from Noncontrollable Hydroelectric Resources
Up to 22.2 mills per kilowatt-hour during all hours of the year.

W-1.4 Energy Delivered from Controllable Hydroelectric Resources
Washington will use the estimated cost of replacing the controllable
hydroelectric energy delivered, but not less than the rate for
noncontrollable hydroelectric resource generation or more than the
incremental cost of Washington's thermal generation plus up to 26
mills per kilowatt-hour.
W-1.5 Share-Savings
The transaction shall be at a rate which distributes equally between
the parties the total saving between the Purchaser's alternate
decrementa1 cost and Washington's incremental cost of producing and
delivering .the energy or the cost of purchasing and delivering the
energy, as determined by Washington at the time of the Share-Savings
transaction.
W-1.6 Provisional Energy
Nonfirm energy sales by Washington may be provided under a provisional
energy rate. Under this concept Washington may require the later
return of either a part or all of the energy sold to the Purchaser in
order to offset the effect of the occurrence of an event that was
considered improbable at the time of the original sale. The parties
shall mutually agree as to a final return date, notification of the
return, and the price for energy sold back to Washington, if deter-
mined by Washington to be returned, prior to any sale under this
paragraph. The Provisional Energy rate will be equal to one of the
rates, W-1.1 through W-1.5 above, as mutually agreed.

GENERAL TERMS AND CONDITIONS
1. Applicable:
This tariff applies to the delivery of nonfirm energy to any
electric utility (Purchaser) from The Washington Water Power Company
(Washington). Washington, in its sole discretion, will determine the
amounts and times that energy is available under this tariff. The
rate of delivery will be as mutually agreed upon by both parties
(Purchaser and Washington).
2. Service and Transmission:
Energy will be supplied as three-phase, alternating 60 Hertz
current at transmission voltage levels of 115 kv or higher.
Arrangements for transmitting or wheeling power from Washington's
system to the Purchaser shall be as mutually agreed upon by both
parties.
3. Special Terms and Conditions:
The parties shall agree in advance on the amounts. rate of
delivery, charges, points of delivery and, if applicable, transmission
charges of a third party and losses. Energy deliveries may be
curtailed at any time.
4. Rate Changes:
Nothing contained herein shall be construed as affecting in any
way the right of any party furnishing service under this tariff to
unilaterally make application to the Federal Energy Regulatory
Commission for a change in rates, under Section 205 of the Federal
Power Act and pursuant to the Commission's Rules and Regulations
promulgated thereunder.
5. Continuity of Service:
Washington shall be excused from delivering scheduled energy to
the extent it is prevented from making such energy available and
Purchaser shall be excused from paying for such energy not delivered.
6. Bi 11 i ng:
Washington shall bill Purchaser for energy scheduled and made
available during the preceding month under the service agreement and
Purchaser shall pay Washington within fifteen (15) days after receipt
of such bi 11 .
