A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF VERNON APPROVING AND AUTHORIZING
THE EXECUTION OF AN AGREEMENT FOR SERVICES
BY AND BETWEEN THE CITY OF VERNON AND
BUTLER SERVICE GROUP, INC. FOR THE
INSTALLATION OF SCADA EQUIPMENT TO OPERATE
THE VERNON ELECTRIC SYSTEM

WHEREAS, the City of Vernon operates its own electric

system; and

WHEREAS, the staff of the Vernon Light and Power
9

Department recommends the use of a computer system and program
called Supervisory Control and Data Acquisition (SCADA) in order
to efficiently operate the Vernon Electric System SUbstations;
12
and

WHEREAS, the City of Vernon desires to enter into an
14

agreement with Butler Service Group, Inc., to provide for the
installation of controls and rewiring for the operation of the
SCADA computer system and program.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF

THE CITY OF VERNON AS FOLLOWS:

SECTION 1:
The City Council of the City of Vernon

hereby finds and determines that the recitals contained
hereinabove are true and correct.

SECTION 2: The City Council of the City of Vernon
23
hereby approves the Agreement for Services, a copy of which has
been presented to the City Council concurrently with this
resolution and the City Council hereby orders said Agreement to

be received and filed by the City Clerk.
SECTION 3: The City Council of the city of Vernon
hereby authorizes the Mayor and the city Clerk to execute said

Agreement for, and on behalf of, the City of Vernon.

SECTION 4: The City Clerk of the City of Vernon shall

certify to the passage of this resolution and thereupon and
thereafter the same shall be in full force and effect.

AGREEMENT FOR SERVICES
THIS AGREEMENT is made, entered into and executed in triplicate and to be
performed in Vernon, as the 6th day of March 19--2.!L.
BY AND BETWEEN
CITY OF VERNON, a municipal
corporation of the State of
California (hereinafter "City")
AND
Butler Service Group, Inc.

(hereinafter "Contractor")
1. As requested, Contractor shall provide City on an as-needed basis,
temporary technical labor in support of various projects to be
determined by City. Contractor shall provide competent, qualified
personnel for the categories requested. All Contractor's personnel
assigned to City shall work under City direction and supervision and
be subject to performance standards as determined by City.
2. For the consideration agreed to be paid to Contractor by City,
Contractor undertakes, covenants and agrees to request its employees
to provide hand tools, certain testing equipment and labor required
for the installation of equipment to operate the Vernon Electric
System substations by using the SCADA computer system and program.
All work shall be done in a skillful manner.
3. As consideration for the work contracted for, City agrees to pay
monthly to Contractor for the work performed and upon its acceptance
by the City, a fee on the following basis:

TEST TECHNICIAN
City recognizes the need to evaluate CPI increases to these rates on
an annual basis.
Contractor understands that the City of Vernon operates on a
four-day week and agrees that straight time means 40 hours per week,
1'1onday through Thursday, and the overtime means any hours above ten
(10) in a day and/or forty (40) hours per week or hours worked on
Saturday or Sunday. Any hours worked on Friday shall not constitute
overtime unless they exceed forty hours per week.

Ci ty shall not pay travel time or expenses unless authorized in
writing prior to the travel.
IN CONSIDERATION OF THE MUTUAL PROMISES, COVENANTS AND CONDITIOOS
HEREINAFTER SET FORTH, THE PARrIES 00 HEREBY AGREE as follows:
It is further understood that Contractor intends to employ the
personnel services of Butler Service Group, Inc. and that no
personnel shall be assigned or substituted without the prior consent
of the City. said employees shall not be considered employees of
the City of Vernon for any purpose whatsoever.
4. Contractor represents that prior to signing this contract, it has
acquainted itself with the matters concerned in this contract. It
is understood and agreed that all work under this contract shall be
coordinated under and shall be done to the satisfaction of the Light
and Power Department of the City. The Contractor and its authorized
representatives, further agree to work in accordance with City's
safety orders and procedures.
5. Contractor shall carry, at its own expense, with a company
satisfactory to City and authorized to do business in the State of
California, the insurance coverage and proofs of insurance shown on
Exhibit A hereto.
6. The Contractor agrees to idemnify the City, its officers, agents and
employees against any and all claims for bodily injury or wrongful
death or property damage arisisng out of the negligent performance
of services caused by any negligent act of the COntractor or anyone
employed by the Contractor, in the performance of this contract.
The agreement to indemnify shall continue in full force until the
expiration of one (1) year after final paYment to the Contractor.
7. Except as otherwise provided herein, any notice, approval,
acceptance, request, bill, demand or statement under this contract
from either party to the other shall be in writing and shall be
deemed to have been given when either delivered personally or
deposited in a mailbox in a postage-prepaid envelope, addressed to
the other party. Either party may at any time change that address
by delivering or mailing, as mentioned, to the other party a notice
stating the change and the changed address.
8. The violation of any of the provisions of this contract or of any of
its obligations shall, at the option of the City, constitute a
breach of the contract and entitle the City to terminate any further
rights of the Contractor to perform the contract.
9. Contractor shall not assign or transfer any of its rights in this
contract except with the written consent of the city.

10. If Contractor should file for bankruptcy or protection from
creditors under the bankruptcy act or if Oontractor fails to pay any
employees on the project resulting in a lien or threat of a lien on
the project, City reserves the right to pay any outstanding amounts
under the contract into escrow with instructions to pay the
employees on behalf of the Contractor in order to release the liens
andlor complete the project.
11. This contract is entered into subject to the provlslons of the
charter and ordinances of the City of Vernon and applicable state
laws, and legal venue shall lie exclusively in the state of
California.
IN WITNESS WHEREOF the parties hereto have executed this Agreement, or
caused it to be executed as of the day, month and year first above written.

to accomplish the task of SCADA insta ation for the
electric system. Through reviewing and reassessing
each proposal, we have concluded at the proposal
to contract with Butler Servi,ces,.,~~~for two employees

is preferred. We believe it/to;be the most economical
and expeditious method to complete the SCADA project.

On Jan-nary 02, 1990, I .received a proposal from GE to
install the SCADA system at our two substations. The bid was fvr
~ 900,000 which included Labor, Engineering and ACAD Prints.
GE was the only contractor to submit a bid at that time, as
a result. we (Mr. Sieben and I> went out to bid again.
We were .fortunate enough to obtain another bid from .the
"Butler Service Group" of Encino, California (attached).
I (with Mr. Sieben's concurrence) propose that we contract
..with Butler Services to complete the SCADA installation over the
next two years.
Proposal:
Contract -with Butler_Services for two employees, (1) Test
Technician and (1) Electrician at ~ 40.50/Hr (regular hours,
07:00..- 17:30 Hrs, Mon - Thurs), and at x.57.00/Hr (overtime
rate, all hours in. excess of forty (40) Hrs/week). The proposed
crew members have been intervewed..and tentatively selected.
Contract to be contin-gent upon the submission of required
insurance verification/proof.
Contract duration is projected at approximately 4,000 crew
hours...over..two. years, for a project total cost. to be
approximately ~ 324,000 to be spent as foflows (assuming a
project starting time of March: O1, 1990:

several Service Contractors. The scope of work to be accomplished
included the installation, testing and documentation of the SCADA
system. Of the Contractors solicited, only one submitted a
proposal (GE).
Based upon the submitted proposa , I again would like to

Test Technician and one Substation Electrician at an approximate

enhance the City's ability to respond to emergencies i~ this
area.

Tn summary, the benefits of hiring full time City employees

1.0 WORK SCOPE
GE shall provide engineering services, craftsmen, special test
equipment, miscellaneous materials .and .tools,. as required, to
install control switches, transducers and other materials
provided: by the City of Vernon. Following the installation
the equipment will be testedandverified for correct
operation. Upon completion of the site work for each breaker
approved construction drawings will be converted to AUTOCAD
vrs. 10 format. All City Of Vernon .safety and operational
procedures will be adhered to. The work will been done
.according a mutually agreed to City Of Vernon. schedule.
2.0 CUSTOMER'S RESPONSIBILITIES
2.1 Make all electrical equipment specified under Work Scope
available to GE personnel during mutually agreed upon
working hours.
2.2 Provide an up-to-date. single-line diagram of the
electrical equipment specified under Work Scope.
2.3 Provide all necessary manufacturer's instruction books
prior-to commencement of work.
2.4 .Provide an experienced electrician or electrical
supervisor familiar with the power .distribution system to
guide and direct GE personnel in identifying the
electrical system.
2.5 Schedule and per-form necessary switching operations to
de-.energize and re-energize electrical apparatus on which
the work will be performed.
2.6 Costs, if any, for: utility crew for outage.
2.7 Provide 115 VAC single-phase power in the area of work
for operating company tools and equipment.
2.8 Provide lighting in all working areas.
2.9 Provide all necessary spare. parts required to repair
defective equipment.
2.10 Prior to start of work,. customer shall familiarize GE
personnel with customer's safety practices and
regulations in effect-at work location. GE .shall be
under no obligation to commence work unless. safety
practices are acceptable to GE.

4.3 Miscellaneous purchased labor, materials and equipment
rentals will be billed at cost plus 35$.
4.4 Subcontracted services will be billed at cost plus 20$.
4.5 Travel and living expenses-are included in the above,
rates.
4.6 Applicable sales, use or similar taxes will. be charged
for all material and equipment rentals.
4.7 For work extending. beyond one month, invoices will be
issued monthly based on the work performed and
equipment delivered.
4.8 Clear and equitable title shall pass to the purchaser
for that portion of .the work covered 'by each progress
payment (or as defined by the project milestones) when
payment is made. However, it is expressly understood
and agreed that title passage in no way .limits the
purchaser's rights under the express warranty. stated
elsewhere in this contract proposal.
4.9 Invoices are due and payable upon receipt. Invoices
remaining unpaid after thirty days. will be subject to
added. charges at the rate of 1.5~ per month or fraction
thereof on the .unpaid balance.
4.10 Disputed portions of an invoice shall not because for
non-payment or delay of .payment of any undisputed
portions on an invoice.

SCOPE OF WORK TO BE PERFORMED
November 29. 1989
General:
The City of .Vernon is accep ing proposals to install and test
various components of an "ILEX"..SCADA system. under indirect
supervision. The SCADA system will be installed on the- City
electrical system at the Vernon and Leonis Substations.
Proposals shall include proof of contractor insurance and a
signed "Contractor's Acknowledgement of Insurance. Requirements."
The contractor shall.-identify and assign a designated coordinator
or project engineer and an alternate. Emergency telephone numbers
and "callout information shall-also be provided.
The City project engineer has been identified as Mr. Dick Sieben,
Controls Engineer (213-583-8811-X212), his alternate is Mr. Jim
Gonzales, Field Operations Manager (213-583-6811-X247).
.Proposals shall reflect the "loaded" hourly wage for each
employee, proposed construction schedules with .completion date
and estimated project costs.
Proposals shall be submitted no-Later than January-O1, 1990 at
17.30 Hours
Specifications:
1. The Contractor shall provide tools of the trade, test
equipment miscellaneous materials (tyraps, terminal
-lugs,.tape etc) and transportation.
2. The City of Vernon shall provide wire/cable,
transducers, electro-switches and other materials
except those materials listed in <1) above..
3. All work shall.. be in compliance with accepted work
practices and standards. The City shall..have final
approval of all work and acceptance tests.

5. "Construction prints" shall be provided by the City,
"as built prints" shall be submitted for approval at
the end of each designated milestone.
Scope:
A. Remove existing Circuit Breaker control switches and
install approximately seventy five "Electro Switches"
and associated wiring. _
B. Install approximately seventy. five Circuit Breaker
status indication circuits between Circuit Breakers and
RTU cabinets.
C. Install approximately eighty five current and voltage
Analog Transducers and associated circuitry..
D. Install approximately six Programmable Logic
Controllers and associated wiring.
E. Perform acceptance test under observation or subject to
the approval of the City Project Engineer on all
Contractor installed equipments and wiring.

CONTRACTOR'S ACKNOWLEDGEMENT OF
INSURANCE REQUIREMENTS
Contractor acknowledges that the Insurance Schedule
contained herein has been reviewed, that a copy thereof has begin
submitted to an authorized insurance agent or broker, and that
the proofs of insurance required therein will be submitted within
.thirty (30) days after notification of the acceptance of
contractor's bid.
.Contractor understands that the contract or authorization
to proceed will not be .approved by RMIUS until all proofs of
insurance have been received and approved as to form by the
City;rAttorney.
Contractor agrees that failure to submit the required
proofs of insurance within said thirty (30) days shall constitute
grounds at RMIUS or-the City's discretion for canceling the award
and for forfeiting the contractor's bid bond.
