Resolution No. 5720 '" 1 RESOLUTION NO. 5720 2 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN AGREEMENT FOR SERVICES BY AND BETWEEN THE CITY OF VERNON AND BUTLER SERVICE GROUP, INC. FOR THE INSTALLATION OF SCADA EQUIPMENT TO OPERATE THE VERNON ELECTRIC SYSTEM 3 4 5 6 WHEREAS, the City of Vernon operates its own electric 7 system; and 8 WHEREAS, the staff of the Vernon Light and Power 9 10 11 Department recommends the use of a computer system and program called Supervisory Control and Data Acquisition (SCADA) in order to efficiently operate the Vernon Electric System SUbstations; 12 and 13 WHEREAS, the City of Vernon desires to enter into an 14 15 16 agreement with Butler Service Group, Inc., to provide for the installation of controls and rewiring for the operation of the SCADA computer system and program. 17 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF 18 THE CITY OF VERNON AS FOLLOWS: 19 SECTION 1: The City Council of the City of Vernon 20 21 hereby finds and determines that the recitals contained hereinabove are true and correct. 22 SECTION 2: The City Council of the City of Vernon 23 hereby approves the Agreement for Services, a copy of which has been presented to the City Council concurrently with this resolution and the City Council hereby orders said Agreement to 24 25 26 be received and filed by the City Clerk. INC. AGREEMENT FOR SERVICES THIS AGREEMENT is made, entered into and executed in triplicate and to be performed in Vernon, as the 6th day of March 19--2.!L. BY AND BETWEEN CITY OF VERNON, a municipal corporation of the State of California (hereinafter "City") AND Butler Service Group, Inc. 6345 Balboa Blvd., suite 315 Encino, California 91316 (hereinafter "Contractor") 1. As requested, Contractor shall provide City on an as-needed basis, temporary technical labor in support of various projects to be determined by City. Contractor shall provide competent, qualified personnel for the categories requested. All Contractor's personnel assigned to City shall work under City direction and supervision and be subject to performance standards as determined by City. 2. For the consideration agreed to be paid to Contractor by City, Contractor undertakes, covenants and agrees to request its employees to provide hand tools, certain testing equipment and labor required for the installation of equipment to operate the Vernon Electric System substations by using the SCADA computer system and program. All work shall be done in a skillful manner. 3. As consideration for the work contracted for, City agrees to pay monthly to Contractor for the work performed and upon its acceptance by the City, a fee on the following basis: POSITION STRAIGHT TIME OVERTIME ELECTRICIAN $40.50 $40.50 $57.00 $57.00 TEST TECHNICIAN City recognizes the need to evaluate CPI increases to these rates on an annual basis. Contractor understands that the City of Vernon operates on a four-day week and agrees that straight time means 40 hours per week, 1'1onday through Thursday, and the overtime means any hours above ten (10) in a day and/or forty (40) hours per week or hours worked on Saturday or Sunday. Any hours worked on Friday shall not constitute overtime unless they exceed forty hours per week. (- BUTLER SERVICE GROUP, INC. Ci ty shall not pay travel time or expenses unless authorized in writing prior to the travel. IN CONSIDERATION OF THE MUTUAL PROMISES, COVENANTS AND CONDITIOOS HEREINAFTER SET FORTH, THE PARrIES 00 HEREBY AGREE as follows: It is further understood that Contractor intends to employ the personnel services of Butler Service Group, Inc. and that no personnel shall be assigned or substituted without the prior consent of the City. said employees shall not be considered employees of the City of Vernon for any purpose whatsoever. 4. Contractor represents that prior to signing this contract, it has acquainted itself with the matters concerned in this contract. It is understood and agreed that all work under this contract shall be coordinated under and shall be done to the satisfaction of the Light and Power Department of the City. The Contractor and its authorized representatives, further agree to work in accordance with City's safety orders and procedures. 5. Contractor shall carry, at its own expense, with a company satisfactory to City and authorized to do business in the State of California, the insurance coverage and proofs of insurance shown on Exhibit A hereto. 6. The Contractor agrees to idemnify the City, its officers, agents and employees against any and all claims for bodily injury or wrongful death or property damage arisisng out of the negligent performance of services caused by any negligent act of the COntractor or anyone employed by the Contractor, in the performance of this contract. The agreement to indemnify shall continue in full force until the expiration of one (1) year after final paYment to the Contractor. 7. Except as otherwise provided herein, any notice, approval, acceptance, request, bill, demand or statement under this contract from either party to the other shall be in writing and shall be deemed to have been given when either delivered personally or deposited in a mailbox in a postage-prepaid envelope, addressed to the other party. Either party may at any time change that address by delivering or mailing, as mentioned, to the other party a notice stating the change and the changed address. 8. The violation of any of the provisions of this contract or of any of its obligations shall, at the option of the City, constitute a breach of the contract and entitle the City to terminate any further rights of the Contractor to perform the contract. 9. Contractor shall not assign or transfer any of its rights in this contract except with the written consent of the city. BUTLER SERVICE GROUP. INC. 10. If Contractor should file for bankruptcy or protection from creditors under the bankruptcy act or if Oontractor fails to pay any employees on the project resulting in a lien or threat of a lien on the project, City reserves the right to pay any outstanding amounts under the contract into escrow with instructions to pay the employees on behalf of the Contractor in order to release the liens andlor complete the project. 11. This contract is entered into subject to the provlslons of the charter and ordinances of the City of Vernon and applicable state laws, and legal venue shall lie exclusively in the state of California.
