A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF VERNON APPROVING AND AUTHORIZING
THE EXECUTION OF A GAS SALES AGREEMENT BY
AND BETWEEN THE CITY OF VERNON AND PSI,
INC. PROVIDING FOR GAS PURCHASES

WHEREAS, the City Council by Resolution No. 5751 has
approved a Contract for Gas Service with the Southern California
Gas Company ("SoCalGas") providing for the sale and
transportation of gas purchased from other suppliers for
electric generation produced by the two gas turbines installed
at the Vernon Diesel Plant; and
WHEREAS, the City of Vernon has been negotiating with
gas brokers to provide for the purchase of gas which may be

transported partially by others and partially by SoCalGas; and

WHEREAS, the City of Vernon desires to enter into a Gas
Sales Agreement with PSI, Inc., a Missouri corporation, to
17
provide the terms and conditions for the sale and purchase of
18
natural gas
which would displace natural gas which would
19
otherwise be sold by SoCalGas from PSI, Inc. to be purchased by
20
the City of Vernon at the Delivery Point.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF VERNON AS FOLLOWS:

SECTION 1:

hereby approves the Gas Sales Agreement, a copy of which has
been presented to the City Council concurrently with this

resolution and the City Council hereby orders said Agreement to
be received and filed by the City Clerk.

SECTION 3:
The City Council of the City of Vernon

hereby authorizes the Mayor and the City Clerk to execute said

Agreement for, and on behalf of, the City of Vernon.

SECTION 4:
The City Council hereby delegates to the
City Administrator or, in his absence, the Director of Light and

Power, the authority to execute purchase orders for natural gas
with other third party sellers in order to reduce the cost of
fuel for the operation of Vernon's electric generation
equipment.
SECTION 5: The City Clerk of the City of Vernon shall
certify to the passage of this resolution and thereupon and
thereafter the same shall be in full force and effect.
