A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF VERNON APPROVING AND AUTHORIZING
THE EXECUTION OF CONTRACT FOR SERVICES FOR
ENERGY AUDIT SERVICES BY AND BETWEEN THE
CITY OF VERNON AND JOE EGAN & ASSOCIATES

WHEREAS, the City has a need for the services of Joe
7 Egan & Associates in a consulting capacity to conduct the City's
8 data gathering, CommerciallIndustrial Energy Audits, and
9 additional engineering services within the territory serviced by

WHEREAS, Joe Egan & Associates has agreed to provide
said energy audit services in accordance with the contract.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF VERNON AS FOLLOWS:
SECTION 1: The city Council of the City of Vernon
hereby finds and determines that the recitals contained
hereinabove are true and correct.
SECTION 2: The City Council of the City of Vernon
19 hereby approves the Contract for Services, a copy of which has
20 been presented to the City Council concurrently with this
21 resolution and the City Council hereby orders said Contract to
22 be received and filed by the City Clerk.

SECTION 3: The City Council of the City of Vernon
24 hereby authorizes the Mayor and the City Clerk to execute said
25 Contract for, and on behalf of, the City of Vernon.

SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution and thereupon and

thereafter the same shall be in full force and effect.

W I T N E S S E T H:

WHEREAS, the City desires the services of an
13
independent contractor to conduct City's Data Gathering,
14
Commercial/Industrial Energy Audits and additional engineering
15
services within the territory serviced by the Vernon Electric
16
System, a municipal utility operated by the City; and
17
WHEREAS, the Contractor is engaged in the business of
18
providing such services on a contract basis;
19
NOW, THEREFORE, the parties hereto, in consideration
20
of the premises and of their mutual and respective covenants
21
herein contained, covenant and agree as follows:
22
1. The Contractor agrees to provide to the City the
23
Data Gathering and Commercial/Industrial Energy Audits for all
24
classes of its conservation and load management programs and
25
additional engineering services upon request as specified in
26
Exhibit A attached hereto.
27
2. The Contractor agrees that it is acting as an
28
independent contractor with respect to the services to be
performed hereunder. Neither the Contractor nor its employees

or associates shall be deemed to be, nor shall they represent
2 themselves to be, employees or agents of the City.

3. The City agrees to pay to the Contractor fees
4 for services as specified in Exhibit B attached hereto.

4. The Contractor shall submit a monthly invoice
6
for services rendered and the City shall pay the Contractor the
7
full amount due within twenty (20) days from the receipt of ,the
8 invoice. Payment shall be deemed delivered upon deposit in the
9 United States Mail.

5. The Contractor agrees to indemnify and hold the
11
City harmless from any and all liability or expense the City may
12
incur by reason of bodily injury (including death) to any
13
person, or property damage or loss, or both, an any manner
14 arising from or in connection with the performance of work by
15 the Contractor, its employees or associates under this contract,
16 exce t for those in uries to or death of
p j persons and damage to
17 or loss of property arising from the negligence or willful
18 misconduct of the City, its employees or representatives.
19
6. The Contractor shall obtain and maintain in full
20 force and effect during the life of this contract insurance in
21
not less than the minimum amounts specified in the schedule of
22
insurance attached hereto as Exhibit C.
23 7. The Contractor will be providing services to an
24
electric utility operated by a municipal corporation as that
25
term is used in Article XI, Section 9, of the Constitution of
26
the State of California. The City of Vernon is a charter city
27

for which matters involving municipal affairs are governed by
1 city charter and ordinance and not by State statute.
2 8. The Contractor agrees to be bound by the
3 provisions of City Council Resolution No. 5600, a copy of which
4 is attached hereto as Exhibit D and made a part hereof by
5 reference. Said resolution prohibits the public disclosure of
6 any data acquired by the City for utility purposes. The
7 Contractor agrees to maintain the confidentiality of all data
8 and/or records acquired by it and agrees not to disclose such
9 data and/or records to any person, corporation, or governmental
10 agency including any related sister division, subsidiary, parent
11 corporation, or holding company except as authorized in writing
12 by the City.
13 9. All information, data, and records acquired by
14 the Contractor shall be the sole and exclusive property of the
15 City subject to the Contractor's right to retain necessary
16 copies for accounting purposes.
17 10. This Agreement will become effective upon
18 signing by both parties and shall remain in effect until the
19 services are completed, subject, however, to the provision set
20 forth in paragraph 13.
21 11. This Agreement as written contains all of the
22 terms and conditions between the parties hereto and supersedes
23 any and all written or oral agreements between the parties with
24 respect to the subject matter hereof. This Agreement may not be
25 changed, amended, modified or altered except in a writing
26 executed by both parties.

12. Notices and all demands and other communications

hereafter shall be in writing and shall be deemed to have been
2 duly given if mailed, first class, postage prepaid addressed to
3 the other art at the address set forth on
p y page 1 hereof.

13. Either party may terminate this contract by
5 providing written notice at least thirty (30) days in advance of
6
the termination date.
7
14. The parties hereto agree that this agreement
8 shall be governed by and construed in accordance with the laws
9 of the State of California.

15. Any subcontractor or associate performing
11
services under this contract who is not an employee of
12 Contractor shall agree to be bound by the terms of this
13 A reement shall furnish

EXHIBIT A
Services by Contractor
Specific services shall be performed according to a
schedule prepared by the City. Based on said schedule
Contractor shall prepare a work plan with cost estimates and
submit it to the Director of Light and Power. No work shall be
performed except as authorized by the Director.
Contractor shall provide all audit equipment, test
equipment, tools, supplies, and personnel.
Data collection and performance of Commercial Energy
Audits shall include but not be limited to the following:
1. Reviewing the utilities profile of the selected
customer.
2. Conducting an on-site preliminary (walk-through)
energy audit.
3. Preparing a report for the City of Vernon.
The report will include:
a. A description of the customer's plant,
describing the manufacturing process or
service involved.
b. Sketches or drawings of customer's facility.
c. Energy Profiles.
d. A list of energy retrofit opportunities.
e. A discussion of energy retrofit procedures
listing estimated simple payback.
f. The Contractor's recommendations.
The Contractor shall also provide -other engineering
services to the City as agreed upon in writing.
Payments for services will be made directly to the
Contractor. Any units of work on the work plan in excess of
$2000.00 must first be approved by the City Administrator.
EXHIBIT B
Payments
Hourly rates:
Certified Energy Manager (CEM)
for audit services. $40.00*
Contractor as engineer. . $60.00*
*Travel time shall not be included as part of the billing
for any work completed and the Contractor will not be
reimbursed for any expenses related thereto.

a. The general liability policy shall contain the following
special endorsements which shall be noted on or attached to the
standard certificate of insurance:
1. An endorsement naming the City of Vernon, its officers,
and employees as insureds under the policy.
2. An endorsement providing the City of Vernon thirty (30)
days notice of cancellation or material reduction of coverage.
3. An endorsement providing coverage for all operation

b. In addition to th dard certificate of insurance, proof
of general liability coverage shall be furnished in
the form checked below. Certification of the following proofs
by the insurance agent or broker will not be accepted:

standard certificate of insurance (attached thereto) are
true and correct and that the signator is an officer
authorized to so certify.
A copy of each policy certified by an officer of the
underwriter or .carrier and notarized.

OF DATA AND INFORMATION GATHERED BY THE
4 CITY FROM. UTILITY CUSTOMERS AND
BUSINESSES FOR PLANNING PURPOSES
5 WHEREAS, the Department of Water and Power for the
6 .City of Vernon conducts surveys of utility customers for pur-
` -7- -poses of-planning future growth and in order to advise cus-
8 tourers on energy and water conservation; and
9 WHEREAS.,. other departments from time to time find it
10 necessary to gather information from businesses and industry
11 for planning and advisory purposes; ..and
12 WHEREAS, utility customers, businesses and industry
13 have expressed concern about the confidentiality of such sur-
14 ve s and. other information
y gathered for .the. use of the City
15 of Vernon's de artments and .have re
p quested. assurance that
16 such materials shall be treated confidentiall
y; and
17 WHEREAS, Section 6254 of the Government. Code of the
18 State of California. provides that certain public records are-
19 exempt from public disclosure, including, but not limited to,
20 1°Geolo ical and
g geophysical data, plant production-data, and
21 similar information. relating to utility systems development,
22 or market or crop .reports, which are obtained in confidence
23
from. any person"; and
24
WHEREAS, Government Code,. Section 6254.5 provides that
25
the-exempt status of such public records may be lost, if they
26
are disclosed to any member of the public, unless the dis-
27
closure. of such records is:

1° " (d) Not required by law, and prohibited
2 by formal action of an elected legisla-
3 five body of the local agency which
4 retains the-writings.
5 (e) Made to any governmental agency
6 which agrees to treat the disclosed
7
material as confidential. Only persons

12 used for purposes which are consistent
13 with existing law.."
