Resolution No. 5818 " 1 RESOLUTION NO. 5818 2 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN AGREEMENT BY AND BETWEEN THE CITY OF VERNON AND STEWART & STEVENSON SERVICES, INC. , PROVIDING FOR MAINTENANCE SERVICES ON THE GAS TURBINES FOR A PERIOD OF THREE YEARS 3 4 5 6 WHEREAS, the City of Vernon needs the services of an 7 agency to provide maintenance services on the City's gas turbine 8 engines: and 9 WHEREAS, the ci ty of Vernon and Stewart & Stevenson lO Services, Inc. wish to enter into an agreement to provide for II maintenance services on the gas turbines for a period of three 12 years. l3 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF l4 THE CITY OF VERNON AS FOLLOWS: 15 SECTION 1: The City Council of the City of Vernon 16 hereby finds and determines that the recitals contained 17 hereinabove are true and correct. 18 SECTION 2: The City Council of the City of Vernon 19 hereby approves the Agreement for Maintenance Services, a copy 20 of which has been presented to the city Council concurrently 21 with this resolution and the City Council hereby orders said 22 Agreement to be received and filed by the City Clerk. 23 SECTION 3: The City Council of the city of Vernon 24 hereby authorizes the Mayor and the City Clerk to execute said 25 Agreement for, and on behalf of, the City of Vernon. 26 III 27 11/ 28 III . MALKENHORST, City Clerk II l2 ( SEAL) l3 l4 l5 16 17 l8 19 20 21 22 23 24 25 26 27 28 -3- t ~~-?// "EXECUTION COPY" 1 MAINTENANCE AGREEMENT 2 THIS MAINTENANCE AGREEMENT (" Agreement") , made this ~ day of "3' ClY\ \A..&J''-l, 1991, by and between CITY OF VERNON, a \ 3 4 municipal corporation, 4305 Santa Fe Avenue, Vernon, California 5 90058-0805 ("city"), and Stewart & Stevenson Services, Inc., a 6 Texas corporation ("S&S"): 7 WITNESSETH: 8 WHEREAS, ci ty has purchased certain equipment, more 9 10 II fully described on Exhibit A attached hereto and incorporated herein ("Equipment"), which Equipment is located at 2715 E. 50th Street, Vernon, California 90058 ("Location"): and l2 l3 l4 l5 16 l7 l8 19 20 2l WHEREAS, City desires to obtain scheduled and unscheduled maintenance services relating to the Equipment and S&S has agreed to perform such services in accordance with the terms, conditions and limitations set forth in the Agreement: NOW, THEREFORE, in consideration o~ the mutual covenants and promises herein set forth, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, city and S&S hereby agree as follows: ARTICLE I TERM 22 23 1.01 COMMENCEMENT DATE: This Agreement shall commence on the date ("Commencement Daten) that the agreement entitled 24 25 26 "Compromise and Mutual Release" in the Case of citv of Vernon v. Valley GM Power Products. Inc., et aI, L.A.S.C. No. EAC 078881, becomes effective. Written notice of the commencement date 27 shall be provided to S&S by City. 28 I 1.02 NORMAL TERMINATION: This Agreement shall be for a 2 term of three (3) years commencing on the Commencement Date and 3 expiring at the close of business on the third anniversary 4 thereof unless terminated pursuant to section 1.03 below. 5 1.03 EARLY TERMINATION: This Agreement shall terminate 6 immediately upon the occurrence of any of the following events: 7 a) the removal, relocation or total destruction of 8 the Equipment: 9 b) the performance of this Agreement by S&S violates 10 II any laws, regulations, orders, writs or decrees l2 l3 l4 affecting the Equipment of City: the failure of City or S&S to perform any of their c) respective obligations under this Agreement within thirty (30) days after written demand thereof is 15 made: 16 d) upon thirty (30) days written notice by either party to the other party with cause. l7 18 19 ARTICLE II DESCRIPTION OF SERVICES 20 2.01 SCHEDULED MAINTENANCE: Four (4) times during each 21 year of this Agreement S&S shall inspect the Equipment and 22 provide the goods and perform the services described in Exhibit 23 B attached hereto and incorporated herein. City shall make the 24 Equipment available for these inspections at the times and dates 25 agreed upon from time to time by City and S&S. Whenever 26 possible, such inspections shall be conducted during scheduled 27 III 28 -2- I shut-downs so as to minimize interference with city's use of the 2 Equipment. 3 2.02 REPAIRS: S&S shall perform any additional 4 maintenance, adjustments, modifications and repairs, including 5 emergency repairs, to the Equipment that are from time to time 6 requested by or agreed to by city. 7 2.03 REPORTS AND RECORDS: Following the completion of 8 each inspection pursuant to paragraph 2.01 or each repair 9 pursuant to paragraph 2.02, S&S shall provide city with a 10 written report of the work performed. City shall acknowledge II such report by signing and returning a copy thereof. city shall l2 maintain at the Location complete records relating to the l3 Equipment, including but not limited to S&S's inspection and 14 repair reports, details of all repairs and modifications to the 15 Equipment performed by any other person, and a log containing l6 relevant information about the operation of the Equipment. l7 2.04 WARRANTY: All labor performed by S&S will be l8 performed in a good and workmanlike manner, consistent with the 19 practices in the industry and by adequately trained and skilled 20 personnel. To the extent permitted, S&S hereby assigns to City 21 any warranty applicable to goods utilized to perform this 22 Agreement. S&S MAKES NO INDEPENDENT WARRANTY OF ANY KIND WITH 23 RESPECT TO ANY GOODS USED IN THE PERFORMANCE OF THIS AGREEMENT 24 AND THE FOREGOING WARRANTY OF WORKMANSHIP IS IN LIEU OF ALL 25 OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED 26 WARRANTY OF MERCHANTABILITY. 27 III 28 -3- r ~ 1 , 2 3 4 5 6 7 8 9 lO II l2 13 14 l5 16 l7 l8 19 20 21 22 23 24 25 26 27 28 ARTICLE III COMPENSATION 3.01 BASE FEE: City shall pay to S&S an annual fee (as from time to time adjusted), ("Base Fee") of $26,148.00 for each year during the term hereof, payable upon invoicing at the completion of each individual scheduled maintenance inspection and in the amount shown for each type of inspection on Exhibit C attached hereto and incorporated herein. The Base Fee shall be subject to adjustment in each year bya percentage amount equal to the index point change in the u.s. Department of Labor, Bureau of Labor Statistics, Producer Price Index Category Number 36, Electrical and Electronic Machinery, Equipment and Supplies. For the purpose of this paragraph, the base month shall be the month immediately preceding the Commencement Date of this Agreement. 3.02 ADDITIONAL FEES AND CHARGES: In addition to the Base Fee, City agrees to pay for S&S services performed and goods provided which are over and above those described in Exhibit B in accordance with the Contract Service Rate Schedule in Exhibit D. The labor rates shown in Exhibit D shall be subject to adjustment in each year in the same manner as described in paragraph 3.01 above. 3.03 TAXES: ci ty agrees to payor reimburse S&S for any sales, use, excise or other tax imposed by the united states of America or any political subdivision thereof that are measured by the Base Fee or Additional Fees and Charges under this Agreement. -4- , , 1 ,~ 2 3 4 5 6 7 8 9 lO II l2 13 14 l5 l6 17 18 19 20 2l 22 23 24 25 26 27 28 3.04 LATE PAYMENT: Any payment not received by S&S within thirty (30) days from the date of receipt of invoice shall bear interest at the rate of one percent (1%) per month from the date originally due until paid or the maximum nonusurious interest permitted under applicable laws, which ever is less. All payments received by S&S may be applied first against accrued late charges, then against unpaid Additional Fees and Charges and the balance, if any, against unpaid Base Fee. ARTICLE IV CITY'S OBLIGATIONS 4.01 ROUTINE MAINTENANCE: city shall monitor the Equipment and perform all routine maintenance of the Equipment as per the manufacturer's operating Manuals between scheduled inspections by S&S. 4.02 TOOLS AND MATERIALS: City shall provide the following tools, facilities, services and materials for use by or under the temporary direction of S&S, without charge to S&S: a) hoists, a-frames, forklifts, alignment tools, material handling equipment and other heavy lifting equipment, including operators: b) compressed air, fresh and treated water, electricity, lights and other utilities: c) bench space for tear-down of small assemblies and, if needed, secure space for S&S property: and III III -5- 1 d) fuel, lUbricants, solvents, lockwire, filters, 0- 2 rings, gaskets, crush washers, sealants, chemicals 3 and other consumables. 4 4 . 03 HAZARDOUS MATERIALS: City shall be the owner of 5 and responsible for the storage and disposal of any hazardous or 6 toxic materials generated by or resulting from the performance 7 of this Agreement. 8 4.04 PERSONNEL: City shall, from time to time, provide 9 such personnel, as available, to assist S&S as requested by S&S. 10 city personnel may also be provided for training purposes as II available. l2 l3 l4 ARTICLE V LIMITS OF LIABILITY 5.01 INDEMNITY: S&S shall defend, indemnify, and save l5 harmless the city and each of its officers, agents, and l6 employees from and against any and all liabilities, demands, l7 claims, damages, losses, costs, and expenses of whatsoever kind l8 or nature, including but not limited to, any and all direct and 19 indirect costs of defense incurred or suffered by any such 20 indemnitee, as a direct or indirect consequence of injury to, 21 destruction of, or loss of use of property, resulting from the 22 sole negligence or willful misconduct of S&S in the performance 23 of this agreement. 24 ARTICLE VI MISCELLANEOUS 25 26 27 6.01 INSURANCE: S&S shall provide proof of public liability and property damage insurance with limits of One 28 -6- .I 1 Million Dollars ($1,000,000) for Combined General Liability and 2 Two Million Dollars ($2,000,000) for Umbrella or Excess 3 Coverage. Each policy shall contain an endorsement naming the 4 City of Vernon, its officers, and employees as insureds under 5 the policy and an endorsement providing the City of Vernon with 6 thirty (30) days written notice of cancellation or material 7 reduction of coverage. The endorsement naming the City as an 8 additional insured shall provide coverage solely for all 9 maintenance work performed by S&S pursuant to this agreement. 10 In addition to the standard certificate of insurance, proof of II insurance coverage shall be provided by a letter from the l2 authorized agent for Lloyd's of London certifying that the l3 coverage and statements in the standard certificate of insurance 14 (attached thereto) are true and correct and that the signator is 15 authorized to so certify. l6 6.02 CITY'S REPRESENTATION: City represents and l7 warrants that it has all necessary power and authority to enter 18 into this Agreement with respect to the Equipment, that all 19 necessary corporate action to authorize this Agreement has been 20 taken and that all approvals, consents and ratifications 21 required by any agreement, law order or judgment have been 22 obtained. City represents and warrants that the complete name 23 and mailing address of the sole lawful owner of the Equipment is 24 set forth in Exhibit A or, if no such information is contained 25 in Exhibit A, that City is the sole owner of the Equipment. 26 III 27 III 28 -7- 1 6.03 FORCE MAJEURE: S&S shall have no liability for 2 any inability to perform or delay in performing its obligations 3 under this Agre~ment if such inability or delay arises from 4 causes that are beyond the reasonable control of S&S, inclu~ing 5 but not limited to the laws, rules, regulations or orders of any 6 governmental body, acts of God, unseasonable weather, fire, 7 explosion, flood, strikes and other labor disturbances, war, 8 embargoes, and shortages of raw materials, spare parts or fuel. 9 6.04 INTERPRETATION: This Agreement shall be construed 10 according to the laws of the state of California, excluding II those provisions that direct the application of the laws of l2 another juriSdiction. l3 6.05 HEADINGS: Article and paragraph numbers and 14 headings are provided for convenience only and shall not expand l5 or limit or otherwise be used in the interpretation of any l6 language. l7 6.06 NOTICES: All notices and communications required l8 or permitted under this Agreement shall be mailed prepaid to the 19 addressees set forth below, registered mail, return receipt 20 requested. 2l mailed. To be 3 effective, any waiver must be in writing and signed by the party 4 against whom it is to be enforced. Unless expressly so stated, 5 no waiver of any provision shall be deemed a continuing waiver. 6 6.08 LEGAL FEES: In the event an attorney is hired or 7 used to enforce any provision of this Agreement or to collect 8 any amounts due hereunder, the party against whom the provision 9 is enforced or from whom monies are due shall pay the other a 10 reasonable amount to cover attorney's fees and court expenses. II 6.09 ASSIGNMENT: This Agreement may be assigned by l2 City to any person who succeeds to the ownership of the l3 Equipment and the Location but such assignment shall not relieve l4 City of any obligation hereunder. This Agreement may not l5 otherwise be assigned by either party without the express l6 written consent of the other party. l7 6.10 SEVERABILITY: The invalidity of any provision of l8 this Agreement .shall not affect the validity of any other 19 provision. Any such invalid provision shall be severed from the 20 Agreement and the remainder of this Agreement shall be enforced 2l as though such invalid provision was never included herein. 22 6.11 WHOLE AGREEMENT: This Agreement constitutes the 23 entire agreement between the parties with respect to the 24 maintenance of the Equipment.
