2 A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF VERNON APPROVING AND AUTHORIZING
3 THE EXECUTION OF A CONSULTING AGREEMENT BY
AND BETWEEN THE CITY OF VERNON AND SUNLAW
4 FUELS
5 WHEREAS, the City of Vernon is in need of certain
6 consulting services in connection with negotiating the purchase
7 of natural gas supplies from companies who supply natural gas in
8 the wholesale market and supply gas in interstate commerce for
9 the purpose of obtaining natural gas supplies for the operation
lO of its turbine power plant and to assist in the development of
II future electric generating resources and to further consider the
12 feasibility of producing steam for sale by the City within the
l3 City'S boundaries; and

WHEREAS, Sunlaw Fuels has extensive experience and
l5 knowledge in natural gas procurement issues and is offering to
16 perform such services to the City and to assist the City in
l7 negotiating said natural gas supply arrangements.
l8 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
19 THE CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the city of Vernon
2l hereby finds and determines that the recitals contained
22 hereinabove are true and correct.

SECTION 2: The City Council of the city of Vernon
24 hereby approves the Consulting Agreement, a copy of which has
25 been presented to the City Council concurrently with this
26 resolution and the City Council hereby orders said Agreement to
27 be received and filed by the City Clerk.

SECTION 3: The City Council of the City of Vernon
1 hereby authorizes the Mayor and the city Clerk to execute said
2 Agreement for, and on behalf of, the city of Vernon.

SECTION 4: The City Clerk of the City of Vernon shall
4 certify to the passage of this resolution and thereupon and
5 thereafter the same shall be in full force and effect.
6 APPROVED AND ADOPTED this 2nd day of January, 1991.
