A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF VERNON APPROVING AND AUTHORIZING
THE EXECUTION OF AN AGREEMENT FOR
CONTRACTUAL SERVICES BY AND BETWEEN THE
CITY OF VERNON AND EDWARD A. COONEY, DBA
EAC ASSOCIATES, PROVIDING FOR MUNICIPAL
MANAGEMENT SERVICES

WHEREAS, the ci ty Council of the City of Vernon has
7 adopted previous resolutions which approved and authorized the
8 execution of an agreement for contractual services wi th Edward
9 A. Cooney, dba EAC Associates (EAC); and
10 WHEREAS, the City of Vernon and Edward A. Cooney, dba
11 EAC entered into an Agreement for Contractual Services on July
12 1, 1990, for a period of one year commencing July 1, 1990 and
13 terminating on June 30, 1991; and
14
WHEREAS, the ci ty of Vernon desires to enter into a
15 contractual service agreement with EAC to provide the requisite
16 municipal management services from July 1, 1991 to June 30,
17 1992.
18 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
19 THE CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the City of Vernon
21 hereby finds and determines that the recitals contained
22 hereinabove are true and correct.

SECTION 2: The City Council of the city of Vernon
24 hereby approves the Agreement for Contractual Services, a copy
25 of which has been presented to the City Council concurrently
26 with this resolution and the City Council hereby orders said
27 Agreement to be received and filed by the City Clerk.

SECTION 3: The City Council of the City of Vernqn
hereby authorizes the Mayor and the city Clerk to execute said
Agreement for, and on behalf of, the city of Vernon.
SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution and thereupon and

thereafter the same shall be in full force and effect.

AGREEMENT FOR CONTRACTUAL SERVICES

THIS AGREEMENT, made and entered into this

j1{,:/4 ' 1991, by and between the CITY OF VERNON (hereinafter
referred to as the "CITY"), and Edward A. Cooney, dba: EAC
ASSOCIATES (hereinafter referred to as "EAC"). ./

WHEREAS, CITY has need of the abilities possessed
by EAC at certain periods during the year; and
WHEREAS, EAC is in the business of providing the
requisite services desired by the CITY.
NOW, THEREFORE, IN CONSIDERATION OF THESE MUTUAL
COVENANTS, THE PARTIES HERETO AGREE AS FOLLOWS:
I
EAC agrees to make available to the CITY its expertise
in Municipal Management on an as needed basis.
II
EAC agrees to maintain a permanent office separate from
the Vernon City Hall, and will maintain a paging system so that
the CITY may make contact for information or in case of
unforeseen problems.

III
The terms of this agreement shall be from July 1, 1991
to June 30, 1992. However, if neither party wishes to terminate
the contract on June 30, 1992, the agreement will remain in
force subject to the termination provisions of Section IV, and
the re-negotiation of the service fee.
IV
CITY shall have the right to terminate this Agreement
on Thirty (30) days written notice. EAC shall have the right to
terminate this Agreement on One Hundred Twenty (120) days written
notice.
V
EAC agrees to attend all meetings, seminars and other
events that are required or authorized by the CITY, and the CITY
will reimburse EAC for any and all expenses incurred for such
attendance.
VI
CITY agrees to pay EAC a monthly service fee of TWO
THOUSAND FIVE HUNDRED DOLLARS ($2,500.00) per month for the
period of the contract, plus an amount equivalent to the cost
of living increase given to the City's employees effective
July I, 1991.

VII
CITY designates the City Administrator as the contact
for EAC. The City Administrator will determine the scope of
services that are to be provided by EAC.
IN WITNESS WHEREOF, the parties hereto have caused
this agreement to be executed as of the month, day and year
first written above.
