Resolution No. 5913 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 1 RESOLUTION NO. 5913 2 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A CONSULTING AGREEMENT BY AND BETWEEN THE CITY OF VERNON AND SAVAGE INFORMATION SERVICES FOR RECORDS MANAGEMENT CONSULTING SERVICES 4 5 6 7 8 WHEREAS, the City of Vernon has a need of retaining a records management consultant for the purpose of preparing a 9 retention schedule, inventorying, organiz ing and storing inactive records; and WHEREAS, Savage Information Services is an experienced consultant in the area of records management; and WHEREAS, the City of Vernon is desirous of retaining the services of Savage Information Services. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the city of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby approves the Consul ting Agreement, a copy of which has been presented to the City Council concurrently with this resolution and the City Council hereby orders said Consulting Agreement to be received and filed by the City Clerk. MALKENHORST, 12 (SEAL) 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 -3- 1 [EXECUTION COPY] CONSULTING AGREEMENT BETWEEN CITY OF VERNON AND SAVAGE INFORMATION SERVICES FOR RECORDS MANAGEMENT CONSULTING SERVICES 2 3 This contract and agreement, made and entered into 4 this I 7 t{\ay of 411fl' L , 1991, 5 BY AND BETWEEN THE CITY OF VERNON, A MUNICIPAL CORPORATION, (hereinafter referred to as "Vernontf) 4305 Santa Fe Avenue Vernon, CA 90058-0805 6 7 8 AND SAVAGE INFORMATION SERVICES, A CALIFORNIA CORPORATION, (hereinafter referred to as "Consultant") 2510 West 237th Street, suite 200 Torrance, CA 90505 9 10 11 12 R E C I TAL S: 13 WHEREAS, Vernon is desirous of retaining a records 14 management consultant for the purpose of preparing a retention 15 schedule, inventorying, organizinq and storing inactive records; 16 and 17 WHEREAS, the Consultant is experienced in the 18 development of records management programs; and 19 WHEREAS, Vernon believes Consultant to be well able 20 to undertake and perform such services and desires to contract 21 for the performing of such services. 22 NOW, THEREFORE, in consideration of the mutual 23 agreements hereinafter contained and subject to the terms and 24 conditions hereinafter stated, it is hereby understood and 25 agreed by the parties hereto as follows: 26 1. WORK TO BE PERFORMED: In accordance with 27 Consultant's proposal submitted to Vernon under cover letter 28 dated March 20, 1991 (which proposal is hereby incorporated "'~ 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 herein by reference), Consultant shall develop .~ retention schedule and an inactive records storage plan (Task 1); and planning for management of inactive records (Task 2). 2. PAYMENT: Vernon shall pay Consultant, and Consultant agrees to accept as full payment for work performed under this agreement, the hourly rates for Consultant's employees specified in Attachment A hereto. The total amount authorized by this contract, and for which Vernon shall be liable, shall not exceed the sum of Nineteen Thousand Four Hundred and Fifty Dollars and No Cent::;; ($19,450.00). 3. BILLING: Consultant shall submit monthly billings to Vernon. Such billings shall include as a minimum a description of work performed, hours expended for each employee classification, total billing amount for the month, cumulative amount billed since contract commencement and percentage of work completed. Time is of the essence in carrying out the terms of this contract. 4. SCHEDULE: Consultant shall commence the work required hereunder immediately upon execution of this contract and shall complete Tasks 1 and 2 of Phase I within one hundred twenty (120) days from the effective date of this contract. 5. DIRECTION AND COORDINATION: Consultant shall receive general direction from, and shall coordinate with, Vernon's city Administrator or his designee. 6. CHANGES: No changes shall be made to the terms of this contract except by written amendment, hereto properly executed by the parties. -2- .. 1 7. AUDIT: Vernon shall have the right to audit 2 Consultant's time records for purposes of verifying time charged 3 to Vernon. Such audit shall be on reasonable notice during 4 normal business hours. 5 8. TERMINATION: This contract may be terminated by 6 either party upon fifteen (15) days written notice to the other 7 party and such termination shall in no way prejudice the 8 paYments due the Consultant for services rendered nor Vernon's 9 right to consulting services to the end of the period of notice. 10 9. HOLD HARMLESS: Consul tant hereby agrees to 11 indemnify Vernon against and hold it harmless from all and any 12 cost, expense, or liability for damages, including attorney's 13 fees and court costs, on account of damage to property or injury 14 to person resulting from or arising out of, or in any way 15 connected with, the negligence of Consultant or the negligent 16 performance by Consultant of this contract. 17 10. INSURANCE: Consultant shall, at all times this 18 contract is in effect, cause to be maintained in force and 19 effect an insurance policy or policies which will insure and 20 indemnify Vernon and Consultant against liability or financial 21 loss resulting from injuries occurring to persons or property as 22 a result of any acts or omissions of Consultant. The liability 23 under such insurance policy shall not be less than $100,000 for 24 anyone person injured or $300,000 for anyone accident and 25 $50,000 for property damage. Such policy shall contain an 26 endorsement naming Vernon, its officers and employees as 27 insureds under the policy and the policy shall be noncancellable 28 -3- "", .- 1 except on .thirty (30) days notice. Consultant shall furnish 2 Vernon with a certificate of insurance evidencing the above 3 requirements prior to commencing work hereunder. 4 11. INDEPENDENT CONTRACTOR: Consultant shall not be 5 or claim to be, an officer, agent or employee of Vernon, and 6 shall at all times be an independent contractor. 7 12. ASSIGNMENT PROHIBITED: Consultant shall not 8 assign this contract or any part thereof or any monies due or to 9 become due hereunder without the prior written consent of 10 Vernon. 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 IN WITNESS WHEREOF, the parties hereto have paused this contract to be executed on the month, .day and year first above written.
