RESOLUTION NO. 5968 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN AMENDMENT TO GROUND LEASE BY AND BETWEEN THE CITY OF VERNON AND SPINIELLO CONSTRUCTION COMPANY WHEREAS, the City of Vernon owns certain real property in the City of Vernon located on the north side of 55th Street between Santa Fe Avenue and Alameda Avenue; and WHEREAS, Section 37380(a) of the Government Code of the State of California provides that a City may lease property owned or held or controlled by it or any of its departments for a term not to exceed 55 years; and WHEREAS, the City council of the City of Vernon finds and determines that the approximately northeasterly one half of said real property containing 31,700 square feet was not necessary for immediate use and occupancy by the City of Vernon; and WHEREAS, Spiniello Construction Co. of 2414 East 223rd Street, Long Beach, California previously agreed in the Ground Lease dated April 2, 1991 to lease the easterly portion of said real property for a storage yard in order to complete two public works contracts for the City of Los Angeles; and WHEREAS, Spiniello Construction Co. has offered to lease the adjoining part of said property for the additional sum of One Thousand Seven Hundred Twenty-five Dollars ($1,725.00) per month on a month to month basis; and WHEREAS, an agreement enti tIed "Amendment to Ground Lease" by and between the City of Vernon and the Spiniello Construction Co. has been submitted concurrently herewith. . (~ 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 . 1 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: 2 3 SECTION 1: The city Council of the City of Vernon 4 hereby finds and determines that the recitals contained 5 hereinabove are true and correct. 6 SECTION. 2: The City council of the City of Vernon 7 hereby approves the "Amendment to Ground Lease" by and between the City of Vernon and Spiniello Construction Co., a copy of which has been presented to the City Council concurrently with this resolution and the City council hereby orders said 8 9 "Amendment to Ground Lease" to be received and filed by the City Clerk. SECTION 3: The city council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute said Agreement for, and on behalf of, the City of Vernon. SECTION 4: The City Clerk of the City of Vernon shall certify to the passage of this resolution and thereup~n and thereafter the same shall be in full force and effect. "EXECUTION COpy" 1 I AMENDMENT TO GROUND LEASE 2 This Amendment to the Ground Lease between the 3 Spiniello Construction Co. ("Lessee") and the City of Vernon ("Lessor") dated April 2, 1991 is made and entered into this 6th 4 5 day of August, 1991, in the city of Vernon, County of Los 6 Angeles, California. 7 WITNESSETH: 8 WHEREAS, Lessee wishes to lease an adj oining part of 9 the real property previously leased by Lessor to Lessee, containing approximately 17,250 square feet; and WHEREAS, the total amount of real property in the portion of the real property leased to Lessee, with the addition of this adjoining part, contains approximately 31,700 square feet; and WHEREAS, the city Council of the city of Vernon has found and determined that the resulting portion of real property is not necessary for the immediate use and occupancy by the city of Vernon for a public purpose and may be leased on a short term basis for uses not incompatible with the use to which the property is dedicated; and WHEREAS, Lessee has offered to pay Lessor the additional sum of One Thousand Seven Hundred Twenty-five Dollars ($1,725.00) per month to lease the adjoining part. NOW, THEREFORE, IN CONSIDERATION OF THE COVENANTS CONTAINED HEREIN AND IN THE GROUND LEASE BETWEEN THE PARTIES DATED APRIL 2, 1991 AND OF THE MUTUAL BENEFIT TO EACH PARTY, IT IS HEREBY AGREED AS FOLLOWS: 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 SECTION 1. Exhibit A to the Ground Lease is replaced by a new Exhibit A dated July 2, 1991 which shows the adjoining part marked by diagonal lines and the previously leased real property as the "Rental Area", attached hereto and incorporated herein by this reference. SECTION 2. Paragraph 2 of the Ground Lease is amended to read "effective August 1, 1991." SECTION 3. The first sentence of Paragraph 3 of the Ground Lease is amended to read "the sum of Three Thousand One Hundred Seventy Dollars ($3,170.00) for the month of "August, 1991." SECTION 4. A new second sentence of Paragraph 3 is added to read as follows: "Lessee shall deposit an additional One Thousand Seven Hundred Twenty-five Dollars ($1,72S.00) for the last month of the Lease." SECTION 5. The third sentence of Paragraph 3 is amended to read "the sum of Three Thousand One Hundred Seventy Dollars ($3,170.00) on the first day of each month." sECTION 6. All other provisions of the Ground Lease remain in full force and effect.
