A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF VERNON APPROVING AND AUTHORIZING
THE EXECUTION OF AN AMENDMENT NO. 1 TO THE
POWER SALE AGREEMENT NO. 3 (1991-1993) BY
AND BETWEEN THE CITY OF VERNON AND THE
DEPARTMENT OF WATER RESOURCES OF THE STATE
OF CALIFORNIA

WHEREAS, the City Council of the City of Vernon adopted
7 Resolution No. 5700 on December 19, 1989, which approved and
8 authorized the execution of a Power Sale Agreement No. 3 between
9 the City of Vernon and the Department of Water Resources of the
10 State of California ("DWR"); and
11 WHEREAS, the City council of the city of Vernon and the
12 DWR wish to enter into an amendment to reduce the amount of
13 associated energy DWR makes available to Vernon, and which
14 Vernon purchases from DWR because (i) Vernon's need to purchase
15 associated energy under the Power Sale Agreement No. 3 has
16 decreased; and (ii) DWR could use the reduced amount of
17 associated energy being made available to Vernon for itself or
18 for other purposes.
19 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
20 THE CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the City of Vernon
22 hereby finds and determines that the recitals contained
23 hereinabove are true and correct.

SECTION 2: The City Council of the city of Vernon
25 hereby approves Amendment No. 1 to the Power Sale Agreement No.
26 3 (1991-1993), DWR Contract No. E164391 AM1, a copy of which has
27 been presented to the City Council concurrently with this
28 resolution and the city council hereby orders said Amendment

No. 1 to be received and filed by the City Clerk.
SECTION 3: The City Council of the city of Vernon

hereby authorizes the Mayor and the City Clerk to execute said

Amendment No. 1 for, and on behalf of, the City of Vernon.

certify to the passage of this resolution and thereupon and
SECTION 4: The City Clerk of the City of Vernon shall
7
thereafter the same shall be in full force and effect.
