A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF VERNON AUTHORIZING THE INSTITUTION OF
FINANCING PROCEEDINGS RELATING TO THE
CALIFORNIA-OREGON TRANSMISSION PROJECT AND
ENGAGING PROFESSIONAL SERVICES RELATING THERETO
WHEREAS, the City of Vernon (the "City") is considering

the institution of proceedings to finance the acquisition of
6
electrical transmission capacity in the California-Oregon
7
Transmission Project (the "Project); and
8
WHEREAS, the City Council wishes at this time to
9
authorize city staff to proceed to implement such financing
10
proceedings and to authorize the engagement of professional
11
12
13
THE CITY OF VERNON AS FOLLOWS:
services in connection therewith;
NOW, THEREFORE, BE IT RESOLVED, BY THE CITY COUNCIL OF
14
SECTION 1: The City Administrator/City Clerk and all
15
other officers and employees of the City are hereby author-
16
ized to proceed to implement such financing proceedings and
17
18

to cause the necessary documentation relating thereto to be
prepared and presented to the City Council for future consid-
eration.

Professional Law corporation, is hereby engaged as bond coun-
22
sel in connection with such financing proceedings, pursuant
23
to an agreement in form and substance acceptable to the
24

SECTION 2:
The firm of Jones Hall Hill & White, A
City Administrator/City Clerk.
SECTION 3:
The firm of Kelling, Northcross and NObriga,
26
Inc. is hereby engaged as financial advisor in connection with
27
such financing proceedings, pursuant to an agreement in form
28

1 and substance acceptable to the City Administrator/city Clerk.

SECTION 4: The City Council hereby orders said
3
agreements to be received and filed by the City Clerk, and
4 the City Council authorizes the Mayor and the City Clerk to
5 execute said agreements upon presentation to and approval of
6 the City Administrator/City Clerk.
7 section 5: The City Clerk of the City of Vernon shall
8 certify to the passage of this resolution and thereupon and
9 thereafter the same shall be in full force and effect.
10 APPROVED AND ADOPTED THIS 1st day of October 1991.
