RESOLUTION NO. 6030
A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF VERNON APPROVING AND AUTHORIZING
THE EXECUTION OF AN AMENDMENT NO. 1 TO THE
OPERATION AND MAINTENANCE AGREEMENT DATED
FEBRUARY 15, 1989 BETWEEN RMI UTILITY
SERVICES, INCORPORATED AND THE CITY OF
VERNON PROVIDING FOR AN INCREASE IN BOTH
THE LEVEL OF STAFFING AND THE SCOPE OF
SERVICES
WHEREAS, the City Council of the City of Vernon adopted
Resolution No. 5598 on February 7, 1989, which approved and
authorized the execution of an Operation and Maintenance
Agreement (Agreement) by and between RMI Utility Services, Inc.
(RMI) and the City of Vernon providing for the operation of
portions of the Vernon electrical system; and
WHEREAS, the City of Vernon and RMI desire to amend the
Agreement dated February 15, 1989, to provide for an increase in
the level of staffing and in the scope of services, in
accordance with Section 1.4 of the Agreement.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon
hereby finds and determines that the recitals contained
hereinabove are true and correct.
SECTION 2: The City Council of the City of Vernon
hereby approves the Amendment No. 1 to the Operation and
Maintenance Agreement, a copy of which has been presented to the
City Council concurrently with this resolution, and the City
Council hereby orders said Amendment to be received and filed by
the City Clerk.

SECTION 3: The City Council of the city of Vernon
hereby authorizes the Mayor and the City Clerk to execute said
Amendment for, and on behalf of, the City of Vernon.
SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution and thereupon and
thereafter the same shall be in full force and effect.
APPROVED AND ADOPTED this 7th day of January, 1992.

rescinding the Amendment No. 1 and Resolution No. 6030 or some
combination thereof. Therefore, the attached agreement should
not be executed by RMI.

AMENDMENT NO. 1
TO THE
OPERATION AND MAINTENANCE AGREEMENT
BY AND BETWEEN
THE CITY OF VERNON AND RMI UTILITY SERVICES, INC.
WHEREAS, the present Operation and Maintenance
Agreement between RMI utility Services, Inc. and the City of
Vernon dated February 15, 1989 (hereinafter "Agreement") states
that RMI utility services, Inc. shall not increase the level of
staffing set forth in Section 1. 4 without the consent of the
City of Vernon; and
WHEREAS, in Section 1.4, the Agreement also states
that the parties may increase the scope of services by mutual
agreement without giving the notice set forth in that section;
and
WHEREAS, during October and November, 1991, the
parties have discussed increasing the level of staffing and the
scope of services.
NOW, THEREFORE, IT IS HEREBY MUTUALLY AGREED BETWEEN
THE PARTIES AS FOLLOWS:
SECTION 1: RMI utility Services, Inc. and the City
of Vernon hereby agree to increase the level of staffing by
three employees, from 13 to 16, and to increase the scope of
services by assigning the three additional dedicated employees
to work on substation maintenance.
SECTION 2: This Amendment evidences the consent by
the city of Vernon and the mutual agreement by the parties
required by Section 1.4 of the Agreement.

SECTION 3:
Except as amended herein, all other
2 terms and conditions of the Operation and Maintenance Agreement
3 remain unchanged, in full force and effect.

WHEREAS, the present Operation and Maintenance

16
September 1989, in March 1990 and in April 1990 to increase the

level of staffing; and

WHEREAS, during October and November, 1.991, the

parties discussed further increasing the level of staffing and

the scope of services.

NOW, THEREFORE, IT IS HEREBY MUTUALLY AGREED BETWEEN
22
THE PARTIES AS FOLLOWS:

SECTION 1: RMI Utility Services, Inc. and the City
24
of Vernon hereby ratify the previous increases in the level of
25
staffing to which the parties agreed by memoranda in September
26
1989, in March 1990 and in April 1990, which increased the level
27
of staffing by two employees, from 13 to 15.

SECTION 2: RMI Utility Services, Inc. and the City
1
of Vernon hereby agree to further increase the level of staffing
2
by three employees, from 15 to 18, to take effect on July 1,
3
1992, and to increase the scope of services by assigning the
4
three additional dedicated employees to work on substation
5
maintenance.
6
SECTION 3: This Amendment evidences the consent by
7
the City of Vernon and the mutual agreement by the parties
8
required by Section 1.4 of the Agreement. In addition, the
9
parties agree to replace the Classification List in Section 1.4
10
with the Classification List dated February 25, 1992 and to
11
replace Exhibit B with the Exhibit B dated February 25, 1992,
12
which are to be effective July 1, 1992. Copies of the new
13
Classification List and the new Exhibit B are attached to this
14
Amendment and are incorporated herein by this reference.
15
SECTION 4: Except as amended herein, all other
16
terms and conditions of the Operation and Maintenance Agreement
17
remain unchanged, in full force and effect.

SECTION 5: This Amendment shall be effective
