RESOLUTION NO. 6030 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN AMENDMENT NO. 1 TO THE OPERATION AND MAINTENANCE AGREEMENT DATED FEBRUARY 15, 1989 BETWEEN RMI UTILITY SERVICES, INCORPORATED AND THE CITY OF VERNON PROVIDING FOR AN INCREASE IN BOTH THE LEVEL OF STAFFING AND THE SCOPE OF SERVICES WHEREAS, the City Council of the City of Vernon adopted Resolution No. 5598 on February 7, 1989, which approved and authorized the execution of an Operation and Maintenance Agreement (Agreement) by and between RMI Utility Services, Inc. (RMI) and the City of Vernon providing for the operation of portions of the Vernon electrical system; and WHEREAS, the City of Vernon and RMI desire to amend the Agreement dated February 15, 1989, to provide for an increase in the level of staffing and in the scope of services, in accordance with Section 1.4 of the Agreement. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby approves the Amendment No. 1 to the Operation and Maintenance Agreement, a copy of which has been presented to the City Council concurrently with this resolution, and the City Council hereby orders said Amendment to be received and filed by the City Clerk. ... 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 SECTION 3: The City Council of the city of Vernon hereby authorizes the Mayor and the City Clerk to execute said Amendment for, and on behalf of, the City of Vernon. AMENDMENT NO. 1 TO THE OPERATION AND MAINTENANCE AGREEMENT BY AND BETWEEN THE CITY OF VERNON AND RMI UTILITY SERVICES, INC. WHEREAS, the present Operation and Maintenance Agreement between RMI utility Services, Inc. and the City of Vernon dated February 15, 1989 (hereinafter "Agreement") states that RMI utility services, Inc. shall not increase the level of staffing set forth in Section 1. 4 without the consent of the City of Vernon; and WHEREAS, in Section 1.4, the Agreement also states that the parties may increase the scope of services by mutual agreement without giving the notice set forth in that section; and WHEREAS, during October and November, 1991, the parties have discussed increasing the level of staffing and the scope of services. NOW, THEREFORE, IT IS HEREBY MUTUALLY AGREED BETWEEN THE PARTIES AS FOLLOWS: SECTION 1: RMI utility Services, Inc. and the City of Vernon hereby agree to increase the level of staffing by three employees, from 13 to 16, and to increase the scope of services by assigning the three additional dedicated employees to work on substation maintenance. In addition, the 9 parties agree to replace the Classification List in Section 1.4 10 with the Classification List dated February 25, 1992 and to 11 replace Exhibit B with the Exhibit B dated February 25, 1992, 12 which are to be effective July 1, 1992.
