Resolution No. 6061 1 RESOLUTION NO. 6061 2 5 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A CONSULTING AGREEMENT BETWEEN THE CITY OF VERNON AND ITS REDEVELOPMENT AGENCY AND ECONOMIC RESEARCH ASSOCIATES TO PROVIDE TECHNICAL ASSISTANCE IN COMPLETING THE PRELIMINARY APPLICATION FOR THE ENTERPRISE ZONE PROGRAM 3 4 6 7 8 WHEREAS, the State of California has established an 9 Enterprise Zone Program whose goal is to stimulate growth and 10 revitalization in economically distressed areas throughout the 11 State; and 12 WHEREAS, an Enterprise Zone is a specific designated area 13 in which companies doing business can take advantage of State and 14 local incentives and programs not available to businesses outside 15 the Enterprise Zone; and 16 WHEREAS, by offering such incentives and programs, 17 businesses can be attracted to such an Enterprise Zone, and 18 companies can be persuaded to remain in such an Enterprise Zone; 19 and 20 WHEREAS, each Enterprise Zone must contain an eligible 21 area with a popUlation of at least 2,500 and meeting certain 22 criteria, a commercial area and an adjacent industrial area; and 23 WHEREAS, the City of Bell not only has a population which 24 exceeds 2,500 and meets the certain criteria, but also contains a 25 commercial area; and 26 WHEREAS, the City of Vernon not only contains an 27 industrial area, but also is located adjacent to the City of Bell; 28 and 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 WHEREAS, the application area, which consists of the entire City of Bell and the entire City of Vernon, including the redevelopment project areas in both cities, is a depressed area, and designation of such an area as an Enterprise Zone is necessary in order to attract private sector investment to the application area. WHEREAS, Economic Research Associates has represented that it is experienced and qualified to provide technical assistance in completing the job development section of the preliminary application for the Enterprise Zone Program; and WHEREAS, the City of Vernon, its redevelopment agency and Economic Research Associates desire to enter into an agreement whereby Economic Research Associates would provide such technical assistance for the preliminary application by the City of Vernon, its agency, the City of Bell and its agency. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City council of the City of Vernon approves the Consulting Agreement, a copy of which has been presented to the City Council concurrently with this resolution, and the City Council hereby orders said Agreement to be received and filed by the City Clerk. \\\ -2- 1 2 SECTION 3: The City council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute said Agreement 3 for, and on behalf of, the City of Vernon. 4 SECTION 4: The City Clerk of the City of Vernon shall 5 certify the passage of this resolution, and thereupon and 6 thereafter the same shall be in full force and effect. 7 APPROVED AND ADOPTED this 24th day of February, 1992. 8 9 , ~~~. SECTION 5: Authorization for Additional Services. The Consultant will not undertake additional services beyond those approved without written authorization from Vernon and Agency. Vernon and Agency agree to compensate Consultant for any authorized additional services. SECTION 6: Cancellation. Vernon and Agency reserve the right to cancel and terminat.e this agreement upon thirty (30) days written notice. Vernon and Agency agree to compensate consultant for actual costs incurred prior to the cancellation of the agreement. SECTION 7: Indemnification. Consultant agrees to protect, defend, indemnify and hold harmless Vernon and Agency against any and all liability, damages, claims, suits, liens and judgments for the injuries or death of any persons, or damages to the property or other rights of any person or persons, caused by Consultant. SECTION 8. Ownership. All final documents prepared pursuant to this agreement are the property of Vernon and Agency, which have the unrestricted authority to publish, disclose, distribute and otherwise use, in whole or in part, any final documents prepared under this agreement. UNDERSTANDING OF THE.ASSIGNMENT After a thorough review of the materials submitted to ERA on Febroary 17, 1992. BRA has prepared this proposal to the City . of Vemon for economic consulting services. Specifically, BRA will provide' technical assistance in completing. the ..Job . Development section of the joint preliminary Entetprise Zone Application for the Cities of Vernon and Bell. The purpose of the Job Development cornponentofthe Enterprise Zone process is to identify, train, and place application area unemployed and underemployed persons into jobs created ~ghmarlteting of the application area. Due to the limited, two.week time frame for this consulting assignment, ERA proposes to provide the highest level of effort possible tmder these circumstances. BRA will diligently contact the appropriate job-trainlng consortiums, service providers, and educational resouree parties, solicit written commitments, report the findings, and assist the City by preparing the Job Development component. An explanation of how the recipients ofITPA, OAlN, and TJTC services will be placed in enterprise zone jobs. This will include coordination of mad::eting efforts with job development agencies and/or contractors. 4. Data showing track records of job placements by each agency and/or contractor over the two (2) years preceding the date of the preliminary application; S. A detailed organization chart showing all staff persons. providing Job development management and services for each agency , end contractor staff; and 6. Any other indicators of the applicant's job development plan for the application area. The bulk of ERA project staff time will be spent interviewing relevant OAIN-, mA-, PIC. and other related agencies and firms to acquire the data necessary to complete Tasks 1-6. ERA will use its word-processing, spreadsheet, and graphic capabilities to create a document to be included as the Job Development component in the Preliminary Application. lL SCHEDULE As stated earlier, ERA believes that this project can be completed within an approximately two week time schedule, depending on the City's needs and requirements. ERA is ptepared to begin work immediately upon the execution of this contract. We pledge to exercise a best level of effort given the very short time frame. lV. STAFFING ERA will commit an ~perienced team of economic development professionals for this project. The project will be managed by Mr. Sidney L. White, AlCP, as Principal of BRA. Mr. White has previously worked upon the successful 1988 City of Los Angeles WUmingtonlSan Pedro Enterprise Zone. Mr. White works primarily with units of local governments and their agencies relating to economic development issues. Additional. staff assigned to the project are Cynthia Janis, Associate and Chris O1eleden, Associate. Mr. DavidA. Wilcox will provide advice to the team, from the perspective of 2 prior;successfu1 applications for Bakersfield and Los Angeles. ERA will invoice the City at the conclusion of the work. Our budget includes 140 hours of consultant time at a composite rate of $95.00 per hour, and an allocation of $700.00 for all other direct costs for an estimated total budget of $14,000. VI.
