A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF VERNON APPROVING AND AUTHORIZING
THE EXECUTION OF A LETTER AGREEMENT
BETWEEN VERNON AND EDISON ESTABLISHING
TERMS AND CONDITIONS FOR METERING VERNON'S
COMBUSTION TURBINE AND DIESEL GENERATING
FACILITIES

WHEREAS, Special Condition 12 of Southern California
7 Edison Company's ("Edison") Time-of-Use Resale Service Schedule
8 R-7 . 4 requires the installation of metering equipment to meter
9 the electrical output of Vernon's resources; and

WHEREAS, Edison has agreed to use Vernon's existing
11 metering equipment at Vernon's facilities to supply Edison's
12 meters; and
13
WHEREAS, the City of Vernon
and Edison desire to
14 establish terms and conditions whereby Edison shall use the
15 existing City of Vernon current transformers and potential
16 transformers to meter the electrical output of Vernon's existing
l7 combustion turbine and diesel generating facilities located at
l8 2715 E. 50th Street in Vernon; and
19 WHEREAS, a Letter Agreement is being presented to the
20 City Council concurrently with this resolution.
21 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
22 THE CITY OF VERNON AS FOLLOWS:

The City Council of the City of Vernon
SECTION 1:
24 hereby finds and determines that the recitals contained
25 hereinabove are true and correct.

The City Council of the City of Vernon
SECTION 2:
27 hereby approves the Letter Agreement, a copy of which has been
28 presented to the city Council concurrently with this resolution,

and the city Council hereby orders said Letter Agreement to be

received and filed by the City Clerk.

SECTION 3:

hereby authorizes the Mayor and the City Clerk to execute said
Agreement for, and on behalf of, the City of Vernon.

SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution and thereupon and

thereafter the same shall be in full force and effect.

Subject: Letter Agreement Between Vernon and Edison
Establishing Terms and Conditions for Metering Vernon's
Combustion Tur"Qine and Diesel Generating Facilities
The purpose of this Letter Agreement is to establish the terms and conditions whereby the
Southern California Edison Company ("Edison") shall use the existing City of Vernon
("Vernon") current transformers ("CTs") and potential transformers ("PTs") to meter the
electrical output of Vernon's existing combustion turbine and diesel generating facilities
located at 2715 East 50th Street in Vernon ("Facilities").
Vernon's Facilities are Non-Integrated Sources as defined in the Time-of-Use Resale Service
Schedule R-7.4 ("Schedule R-7.4"). Pursuant to Special Condition 12 of Schedule R-7.4,
Edison's acceptance of Non-Integrated Sources is dependent, among other things, on the
installation of metering equipment, which includes CTs and PTs, by Edison at the
customer's expense. In this instance, however, Edison agrees, subject to the terms and
conditions stated in this Agreement, to use Vernon's existing metering CTs and PTs at
Vernon's Facilities to supply Edison's meters.
Therefore, Edison and Vernon (individually "Party" or collectively "Parties") agree as
follows:
1. The metering CTs and PTs located between the existing No. One (1) generator
through No. Seven (7) generator and the main circuit breakers associated with
each generator at Vernon's Facilities shall be jointly used by Vernon and

Edison to supply Vernon's metering and controls, and Edison's meters for the
purpose of measuring the Facilities' electrical output.
Upon request by Edison, Vernon shall provide Edison access, within two (2)
working days, to the Vernon Facilities' metering systems, including meters,
CTs, PTs, test switches, and wiring, in order for Edison to periodically read
meters, inspect metering systems, replace and re-install meters, and perform
wiring checks.
Within three months after the date of execution of this Agreement, and within
30 days after Vernon changes metering circuits or equipment, Vernon shall, at
Vernon's expense, have independent and certified accuracy tests performed on
the metering CTs and PTs. In addition, Edison has the right to request that
independent and certified accuracy tests and.other tests related to metering and
deemed appropriate by Edison be performed on the metering CTs and PTs, and
within 30 days after Edison's request, Vernon shallhave the requested tests
performed, and Edison shall reimburse Vernon for the cost of these requested
tests if the tests show that the CTs and PTs are performing properly. Accuracy
tests shall be in accordance with IEEE Standard Requirements for Instrument
Transformers, American National Standards Institute ("ANSI") standard
ANSI C57.13 as last revised, to demonstrate that the CTs and PTs conform to
the accuracy class criteria as stated in the American National Standard for
Instrument Transformers for Revenue Metering, ANSI C12.11 as last revised.
Edison shall have the right to observe these tests. H the tests do not
demonstrate that the CTs and PTs conform to required criteria, Vernon, at
Vernon's expense, shall bring the CTs and PTs into. conformance with the
criteria.
In the event of failure of any component in the Vernon-owned portion of the
Facilities' metering systems, Vernon's representative shall notify Edison's
Interutility Contracts Manager or his representative by telephone as soon as the
failure is discovered followed by notification in writing, and repair or replace
the failed component as soon as practicable.
Vernon's representative shall notify Edison's Interutility Contracts Manager in
writing at least ninety (90) days prior to any pending modifications to the
existing Facilities' metering system. The modifications shall not affect the
metering function or accuracy, and testing shall be in accordance with
Paragraph 3.
The terms and conditions of this Agreement shall not be considered as
precedent for future Special Condition No. 12 metering arrangements, and the
use of Vernon's equipment, as contemplated in this Agreement, shall not be
construed as a waiver of Edison's claim that Special Condition No. 12 of
