A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF VERNON APPROVING THE II AGREEMENT BETWEEN
LASSEN MUNICIPAL UTILITY DISTRICT AND TRINITY
COUNTY PUBLIC UTILITIES DISTRICT FOR THE
PURCHASE, SALE, AND ASSIGNMENT OF COTP
INTEREST"

WHEREAS, Trinity County Public utilities District and

Lassen Municipal Utility District are signators to the California-
7
Oregon Transmission Project Interim Participation Agreement; and
8
WHEREAS, Section 19,1 of said Agreement provides that, "A
9

Participant may make an assignment only after obtaining the written
consent of the other Participants, which consent shall not be
unreasonably withheld"; and
WHEREAS, the City of Vernon is a Participant in said
Project and has received a request from Trinity County Public
utilities District that the City of Vernon approve the "Agreement

between Lassen Municipal utility District and Trinity County Public
utilities District for the Purchase, Sale, and Assignment of COTP
17

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are
true and correct,
SECTION 2: The City Council of the City of Vernon hereby
24
approves the sale and assignment by Trinity County Public Utilities
25

District of its entitlement in the California-oregon Transmission
Project to the Lassen Municipal utility District,
SECTION 3:
A copy of the II Agreement between Lassen
Municipal Utility District and Trinity County Public Utilities

1 District for the Purchase, Sale, and Assignment of COTP Interest"
2 has been presented to the City Council concurrently with this
3 resolution, and the City Council hereby orders said Agreement to be
4 received and filed by the City Clerk.

SECTION 4: The City Council of the City of Vernon hereby
6 directs the Mayor to execute the consent to said Agreement for, and
7 on behalf of, the City of Vernon,
8
SECTION 5: The City Clerk of the City of Vernon shall
9 certify to the passage of this resolution, and thereupon and
10 thereafter the same shall be in full force and effect.
