Resolution No. 6110 1 RESOLUTION NO. 6110 2 5 6 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN AGREEMENT FOR CONSULTING SERVICES BY AND BETWEEN THE CITY OF VERNON AND CHAMBERS WASTE SYSTEMS OF CALIFORNIA, INC. ("APPLICANT") AND CONSERVTECH CORPORATION ("CONSULTANT") FOR THE PREPARATION OF AN ENVIRONMENTAL IMPACT REPORT AND RELATED SERVICES REGARDING APPLICANT'S VERNON TRANSFER STATION/MATERIAL RECOVERY FACILITY 3 4 7 8 9 WHEREAS, Chambers Waste Systems of California, Inc., 10 ("Applicant") has filed with the City of Vernon an application for 11 approval of its proposed Vernon Transfer Station/Material Recovery 12 Facility project ("Project"); and 13 WHEREAS, the City has determined that additional technical 14 expertise is warranted to prepare the required draft environmental 15 impact report (draft EIR) and various reports, studies, tests, 16 analyses and presentations for the Project and for assisting City 17 staff in preparing the final environmental impact report (final 18 EIR); and 19 WHEREAS, Applicant desires to pay the costs of hiring 20 Conservtech corporation ("Consultant") to perform such work, 21 pursuant to Public Resources Code Section 21089; and 22 WHEREAS, Consul tant possesses the necessary technical 23 expertise and qualifications to perform the work required; and 24 WHEREAS, such a cooperative approach to the preparation of 25 the draft EIR and the final EIR is authorized by 14 California Code 26 of Regulations Sections 15087, 15089 and 15132. 27 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 28 CITY OF VERNON AS FOLLOWS: 1 SECTION 1: The city council of the city of Vernon hereby 2 finds and determines that the recitals contained hereinabove are 3 true and correct. 4 SECTION 2: The City Council of the city of Vernon hereby 5 approves the Agreement for Consulting Services by and between the 6 City of Vernon and Applicant and Consultant, a copy of which has 7 been presented to the City Council concurrently with this 8 resolution, and the City Council hereby orders said Agreement to be 9 received and filed by the City Clerk. 10 SECTION 3: The City Council of the City of Vernon hereby 11 authorizes the Mayor and the city Clerk to execute said Agreement 12 for, and on behalf of, the City of Vernon. 13 SECTION 4: The City Clerk of the City of Vernon shall 14 certify to the passage of this resolution, and thereupon and 15 16 thereafter the same shall be in full force and effect. NOW, THEREFORE, IN CONSIDERATION OF THEIR MUTUAL COVENANTS AND CONDITIONS, THE PARTIES HERETO AGREE AS FOLLOWS: 1. Duties of Consultant. a. Under the general direction of the city Administrator or his designated representative (hereinafter referred to as "City Administrator"), Consul tant shall perform the reports, studies, tests, analyses and presentations set forth in the Scope of Work, attached hereto as Exhibit "A" and incorporated herein by this reference, for the Project in accordance with the California Environmental Quality Act ("CEQA") as implemented by the 2 state Guidelines and by other applicable state, Federal and local laws In carrying out this obligation, Consultant's duties shall include the following: Consultant shall (1) make all nec~ssary and required field explorations, reviews and tests; (2) make all necessary and r.~quired laboratory tests and analyses; (3) app~ar and be prepared to answer questions and prepare testimony on the reports, studies, tests and analyses at all pUblic hearings before the City Council and Planning Commission or regarding the Project as may be required by the City Administrator and/or Applicant and as specified in the Scope.of Work; and (4) prepare the draft EIR, assist in preparing the final EIR and make all reports necessary to comply with the requir~m~nts of this section. b. Consultant shall cooperate with Applicant in performing the work under this Agreement, and Applicant or Applicant's representative, to facilitate preparation of the required reports in a timely manner, may direct Consultant to perform work as long as such direction does not interfere with Consultant's obligations to City. 2. Duties of Applicant. a. Applicant shall make payment to Consultant as provided for in this Agreement. If Applicant fails to make payments in a timely manner as provided for in this Agreement, Consultant shall immediately advise City of the Applicant's failure and Consultant may thereafter cease work. 3 b. Applicant shall cooperate with Consultant and shall permit Consultant to enter upon the property and perform all work thereon as Consultant deems necessary for the performance of the work. 3. Duties of city. a. City will make available to Consultantnonprivileged documents, studies, or other information in its possession related to the Project. b. city will make its. best efforts to assure that Consultant performs the work under this Agreement in a timely manner so that the Project application may be heard or acted upon as quickly as feasible given the notice and hearing requirements applicable to the Project. 4. Termination .of Aqreement. City andlor Applicant may terminate this Agreement at any tim~ by giving written not.ice to Consultant of such termination and specifying the effective date thereof, at least fifteen (15) days prior to the effective date of the termination. In event of termination, all finished or unfinished documents and other materials prepared pursuant to this Agreement .shall become the property of City and Applicant. Upon termination for reasons other than breach of this Agreement, Applicant shall pay Consultant the reasonable value of the services completed to the date of notice of termination. 4 5. Communication Between Consultant and Applicant. city and Applicant at all times shall use their best efforts to communicate jointly and concurrently with Consultant. City, however, shall be responsible for directing the work of Consultant to the extent required by California Public Resources Code S21000 et seq., and other applicable law. Accordingly, City shall have the right to direct .... the Consultant 1 s work and to approve or disapprove of any directions given by Applicant. 6. Ownership, Publication , Reproduction and Use of Environmental Impact Reports and Other Materials. All documents and materials prepared pursuant to this Agreement are the joint property of City and Applicant. City shall have the unrestricted authority to publish, disclose, distribute and otherwise use, in whole or in part,. any reports, data or other materials prepare<i under this Agreement. 7. Payment. Consultant will be paid according to the payment schedule set forth in Exhibit "B", attached hereto and incorporated herein by this reference. Consultant shall provide a monthly billing statement to both city and Applicant. As a minimum, said statement shall itemize costs incurred per the Scope of Work outlined in Exhibit "A" in addition to hours of work performed and percent of work complete. 8. Time of Completion. Time is of the essence in carrying out the terms of this Agreement. It is understood that inclement weather conditions may delay the completion of field work. Consultant will be allowed as many additional days as are necessary 5 to compensate for days lost due to inclement weather. Whenever any provisions of state or Federal statute or local ordinance establishes a time period by which City must take an action regarding the Project or .on a report, consultant<shall complete all work required for that action or report not later than thirty (30) days before the expiration of the time period, unless a longer or shorter deadline is established by City and Applicant and communicated to Consultant in writing. 9. Chanqes in Work. If, in the course of this contract, a party .deems changes merited, and informal consultations indicate that a change in the conditions of the contract is warranted, any party may request a change in the contract. Sqch changes shall be processed in the following manner. A letter outlining the requested changes shall be forwarded to the other parties. The parties shall then meet and confer in good faith regarding the requested change. After reaching mutual agreement on the proposal, a supplement to this Agreement shall be prepared by city and Applicant and approved by the parties. The supplement to this Agreement shall not render ineffective or invalid unaffected portions of this Agreement. Should Applicant disagree with any City requested change, City may nevertheless direct Consultant to proceed and Consultant shall comply with city I s direction. Changes requiring immediate action by Consultant may be ordered by city and Applicant. Consultant shall be informed of the necessity of such action and City and Applicant shall follow-up with a supplement to the Agreement covering such work. Applicant agrees to pay the cost 6 7 written by a responsible company or companies to be approved by City, and shall be noncancelable except on thirty (30) days written notice to City and Applicant. Such policy shall name City and Applicant as co-ins\1red and a certificate evidencing such coverage shall be filed with city and Applicant prior to the commencement of work hereunder. 12. Independent Contractor. Consultant, in accordance with its status as an independent contractor, covenants and agrees that it will conduct itself consistent with such status, that it will neither hold itself out as, nor claim to be an officer or employee of City o~ Applicant by reason hereof, and that Consultant will not by reason hereof, make any claim, demand, or application toar for any right or privilege applicable to an officer or employee of city or Applicant including, but not limited to, worker's compensation coverage, unemployment insurance benefits, social security coverage, vacation or retirement benefits. 13. Assiqnment of Contract. Consultant shall not assign this Agreement or .any part thereof or any monies due or to become due hereunder without the prior written consent of city and Applicant. 14. Subcontractinq. If the Consultant shall subcontract any of the work to be performed under this Agreement by Consultant, the Consultant shall be fully responsible for the acts and omissions of its subcontractor and of the persons either directly or indirectly employed by its subcontractor, as it is for the acts and omissions of persons directly employed by it. Nothing contained in this Agreement shall create any contractual relationship between any 8 9 affect or modify any of the terms or obligations herein contained, nor shall any such verbal agreement or conversation entitle Consultant to any additional payment whatsoever under the terms of this Agreement. 18. Relationship to Applicant. This Agreement is for preparation of independent reports, studies, tests, analyses, and presentations t.o assist City in the environmental review and presentation of the proj ect required by state law _ Except as otherwise specified herein, Consultant shall take joint direction from and report to the city and Applicant concurrently. city and Applicant agree that neither shall control or attempt to control the objectivity of Consultant in the performance of Consultant's work under this Agreement. In the event that work by Consultant relates to a specific issue or issues within the jurisdiction of another Federal or state regulatory agency, beyond the scope of this Agreement, Applicant may independently direct Consultant to furnish such .work to such agency since such work is not a part of this Agreement. City shall be informed by the other parties of any such negotiations or submissions concerning such other agencies... 19. Duty to Pay. Consultant agrees that City has no responsibility to compensate Consultant under this Agreement and that Consultant's only recourse for non-payment is an action against Applicant. Applicant specifically agrees that it will defend and indemnify City fo.r any action brought by consultant based upon this Agreement. City agrees that it will cooperate with Applicant in any defense of any such action brought by Consultant. 10 Consultant hereby certifies that Consultant is not an employee, contractor, agent or affiliate of Applicant and has no financial interest in Applicant or the Project.
