" ..; " " 1 2 RESOLUTION NO. 6111 5 6 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING THE EXTENSION OF THE 1990-1991 AGREEMENT AND APPROVING AND AUTHORIZING THE EXECUTION OF A CONTRACT FOR CITY HALL JANITORIAL SERVICES FOR THE 1992-1993 FISCAL YEAR BY AND BETWEEN THE CITY OF VERNON AND KOREAN MAINTENANCE 3 4 WHEREAS, Section 2.27(b) of the Vernon City Code provides 7 that in the event the City Council finds that it is in the public 8 interest and necessity to purchase supplies, services, or equipment 9 without compliance with the formal contract procedures set forth in 10 said section, it may waive such procedures by so declaring with a 11 separate motion or resolution; and 12 WHEREAS, the City of Vernon extended the previous contract 13 with Korean Maintenance for the 1990-1991 fiscal year on a month- 14 to-month basis, because Korean Maintenance had proven itself to be 15 an experienced and qualified janitorial service firm; and 16 WHEREAS, the City Council of the City of Vernon desires to 17 waive the formal contract procedures in the matter of the Vernon 18 City Hall and RMI Building janitorial services for the 1992-1993 19 fiscal year and to contract with an experienced and qualified firm 20 for the provision of such services; and 21 WHEREAS, the Finance Committee recommended on June 15, 22 1992, that the City Council contract with Korean Maintenance for 23 the provision of janitorial services for the Vernon City Hall and 24 RMI Building for the 1992-1993 fiscal year on the basis of its 25 offer of Seven Thousand Eighty-Four Dollars and Ninety-Two Cents 26 ($7,084.92) per month. 27 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 28 CITY OF VERNON AS FOLLOWS: ~ , J ..:,. j 1 SECTION 1: The City Council of the City of Vernon hereby 2 finds and determines that the recitals contained hereinabove are 3 true and correct. 4 SECTION 2: The City Council of the City of Vernon hereby 5 approves and ratifies the extension of the previous contract for 6 the fiscal year 1990-1991 with Korean Maintenance through June 30, 7 1992. 8 SECTION 3: The city Council of the City of Vernon hereby 9 approves the Contract for City Hall Janitorial Services for fiscal 10 year 1992-1993 with Korean Maintenance, in accordance with the 11 recommendation of the Finance Committee on June 15, 1992, a copy of 12 which has been presented to the City Council concurrently with this 13 resolution, and the City Council hereby orders said Contract to be 14 received and filed by the City Clerk. 15 SECTION 4: The City Council of the City of Vernon hereby 16 authorizes the Mayor and the City Clerk to execute said Contract 17 for, and on behalf of, the City of Vernon. 18 SECTION 5: The City Clerk of the city of Vernon shall 19 certify to the passage of this resolution, and thereupon and 20 thereafter the same shall be in full force and effect. 21 APPROVED AND ADOPTED this 16th day of June, 1992. 22 23 24 /~ MALKENHORST, City Cler ,... THE CITY OF VERNON, a municipal corporation (hereinafter referred to as "City") AND: KOREAN MAINTENANCE (hereinafter referred to as "Contractor" ) WITNESSETH: IN CONSIDERATION OF THE MUTUAL PROMISES, COVENANTS, AND CONDITIONS HEREINAFTER SET FORTH, THE PARTIES DO HEREBY AGREE as follows: Section 1: Scone of Work. Contractor will furnish all labor, equipment, and materials, and will perform all work necessary in order to provide janitorial service for the Vernon City Hall and RHI building, as more particUlarly described in the Cleaning Work and Quality Requirements attached hereto as pages G-1 thru G-S and hereby incorporated by reference. Section 2: Consideration. City shall pay Contractor the sum set forth in Contractor's bid attached hereto as pages S-l thru S-3 and hereby incorporated by reference for the performance of the work hereunder. C-l Section 3: Payments. . On or before the 15th day of each month next following the commencement of this agreement, City shall pay the Contractor the monthly consideration payable hereunder according to the contractor's bid for the work performed by Contractor during the prior month. Section 4: Contract Documents. The complete contract includes all of the contract documents set forth herein, to. wit:. This agreement, including the Cleaning Work and Quality Requirements, certificate of insurance, workmen's compensation certif.icate, an,d Contractor's bid, all attached hereto. Section 5: Com9liance with provisions of Law. The city is a public agency within the state of California and is subject to the provisions of the Government Code and the Labor Code of the State. It is stipulated and agreed that all provisions of law applicable to public contracts are part of this contract to the same extent as though set forth fully herein, and, accordingly, the Contractor will comply with all such provisions. Section 6: Attornev's Fees. The court shall award reasonable costs and expenses, including attorney'S fees, to the prevailing party in any action or proceeding brought to enforce the provisions of this Agreement. Section 7: Notices. The Contractor shall not refuse to employ or promote any person, and shall not discriminate against any person with respect to compensation received or terms and conditions of employment, and shall not discipline or discharge any person employed by him because of said person's race, religion, creed, color, national origin, ancestry or sex. section 9: Character of Workmen. Only competent workmen shall be employed on the work. Any person employed, who is found to be incompetent, intemperate, troublesome, disorderly or otherwise objectionable, or who fails or refuses to perform his work properly and acceptably, shall be immediately removed from the work by the Contractor and not be re-employed on the work. Section 10: Authoritv of City ReDresentative. City's representative shall decide all questi?ns which may arise as to the quality or acceptability of materials furnished and work performed, all questions as to the manner of performance and rate of progress of the work, all questions as to the interpretation of the specifications and all questions as to the acceptable fulfillment of the contract on the part of the Contractor. C -3 Section 11: Indemnification. Contractor shall indemnify and save the city, its officers, agents and employees, free and harmless from any and all costs, damages, or liability, including attorney's fees, arising out of any act or omission to act, including any negligent act or omission to act by Contractor, his officers, agents, and employees with respect to the performance of any work or of any of the Contractor's obligations under this contract. Section 12: Workmen's Compensation. Contractor shall secure payment of compensation to his employees pursuant to Labor Code Section 3700. Contractor shall submit a Workmen's Compensation Certificate on the form attached hereto as Exhibit "AtI and incorporated herein as though fully set forth at length. Section 13: Term. This contract is for the fiscal year of 1992-1993, commencing July 1, 1992. In the event that city has not contracted _with any party for janitorial services for the fiscal year of 1993-1994 by June 30, 1993, this contract may be extended on a month-to-month basis until the city contracts with a party during that fiscal year. Section 14: Termination. If Contractor fails to fulfill any of Contractor's material obligations under this contract, including the Cleaning Work and Quality Requirements, and such failure has not been cured within C-4 thirty (30) days of receipt of city's notice of such failure, city may terminate this contract at any time thereafter, in addition to any other available remedies. For purposes of this section, failure to fulfill a material obligation shall include: (a) Contractor's failure to meet the standards set and the requirements established by the Cleaning Work and Quality Requirements; (b) Any assignment or transfer of Contractor's obligations under this contract; . (c) The insolvency of Contractor; the initiation of bankruptcy or receivership proceedings by or against contractor; Cd) The assignment of Contractor's assets for the benefit of creditors; and (e) The breach of any other term or condition of this contract. Section 15: Assiqnment. Except as expressly provided herein, or with city's prior written consent, neither this contract nor any rights or obligations under this contract shall be assignable or otherwise transferable, in whole or in part, and any attempt to assign or transfer this contract shall be null and void. Section 16: Insurance. Prior to commencing work hereunder, Contractor shall provide City with proof of insurance naming City as additional-named insured on a policy or -policies of insurance providing and C-5, maintaining the coverages set forth in the proof of insurance attached hereto. Said proof shall also provide that said policy or policies shall not be amended or canceled without giving of at least 30 days prior written notice to city. Section 17: Extra Work. The City upon proper action by its governing body may require changes in, additions to, or deductions from the work to be performed, or to the materials to be furnished pursuant to the provisions of the agreement or any other contract document. No ) extra work shall be performed or change made unless in the pursuance of a written order from the City stating that the extra work or change is authorized, and setting forth the basis upon which payment therefore is to be made, and no claim for an addition to the contract sum shall be valid unless so ordered. When the City orders work to be done and there is an agreement between the city and the Contractor to perform said work, the City reserves the right to approve the method used by the Contractor to accomplish said work. At the request of the City, the method to be used shall be defined in the agreement prior to any work being performed by the Contractor. Section 18: Supervision bv the Contractor. Before starting the work, the Contractor shall designate, in writing, a representative who shall have complete authority to act for him. An alternate representative may be designated. . Any order or communication given to this representative shall be deemed delivered to the Contractor. Such order shall be complied wi th promptly.
