A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF VERNON APPROVING AND AUTHORIZING THE
EXECUTION OF AN AGREEMENT FOR CONTRACTUAL
SERVICES BY AND BETWEEN THE CITY OF VERNON AND
NORMAN J. MICHIELS, DBA NJM CONSULTANTS

WHEREAS, the City of Vernon has need for the services of
7
Norman J. Michiels, dba NJM Associates, in a consulting capacity to
8
perform certain services in City's Public Health, Environmental
9 Health and other matters; and
10
WHEREAS, Norman J. Michiels has agreed to provide said
11
consulting services in accordance with the scope of work to be
12
provided by the City.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
14 CITY OF VERNON AS FOLLOWS:
15
SECTION 1: The City Council of the City of Vernon hereby
16
finds and determines that the recitals contained hereinabove are
17
true and correct.
18
SECTION 2: The City Council of the City of Vernon hereby
19
approves the Agreement for Contractual Services, effective as of
20
February 1, 1993, up to and including June 30, 1994, a copy of
21
which has been presented to the City Council concurrently with this
22
resolution, and the City Council hereby orders said Agreement to be"
23
received and filed by the City Clerk.
24
SECTION 3: The City Council of the City of Vernon hereby
25
authorizes the Mayor and the City Clerk to execute said Agreement
26
for Contractual Services for, and on behalf of, the City of Vernon.

SECTION 4: The City Clerk of the City of Vernon shall
2 certify to the passage of this resolution, and thereupon and
3 thereafter the same shall be in full force and effect.

THIS AGREEMENT FOR CONTRACTUAL SERVICES is made and entered
into this 1st day of January, 1993,
BY AND BETWEEN
CITY OF VERNON, a
municipal corporation (herein-
after referred to as "CITY"),

AND
NORMAN J. MICHIELS, an
individual, dba NJM CONSULTANTS,
(hereinafter referred to as NJM
CONSULTANTS)

WITNESSETH:

WHEREAS, CITY has need of the abilities possessed by NJM
CONSULTANTS at certain periods during the year; and
13
,WHEREAS, NJM CONSULTANTS is in the business of providing
the requisite services desired by the CITY.

NOW, THEREFORE, IN CONSIDERATION OF THESE MUTUAL COVENANTS,
THE PARTIES HERETO AGREE AS FOLLOWS:

SECTION 1: NJM CONSULTANTS agree to make available to the
18
CITY its expertise in Public Health, Environmental Health and other
19
matters on an as-needed basis.
20
SECTION 2: NJM CONSULTANTS agree to maintain a permanent
21
office separate from the Vernon City Hall, and will maintain a
22
paging system so that the CITY may make contact for information or
23
in case of unforeseen problems.
24
SECTION 3 :
The terms of this Agreement shall be from
25
February 1, 1993 to June 30, 1994. However, if neither party wishes
26 to terminate the contract on June 30, 1994, the agreement will
27 remain in force subject to the termination provisions of Section 4,
28 and the renegotiation of the service fee.

SECTION 9: NJM CONSULTANTS acknowledge the provisions of
2
Government Code section 21153 which authorize a P.E.R.S. retired
3
person to serve without reinstatement from retirement or loss of
4
interruption of benefits for not to exceed 960 hours in any calendar
5
year.

SECTION 11: CITY designates the City Administrator as the
16 contact for NJM CONSULTANTS. The City Administrator will determine
17 the scope of services that are to be provided by NJM CONSULTANTS.

SECTION 12: NJM CONSULTANTS agree to indemnify, defend and
19
hold
harmless
CITY,
its
officers,
agents,
employees,
and
20 representatives for damage to property and for injury to or death of
21 any person and from all claims, demands, actions, in connection with
22 NJM CONSULTANTS' negligent acts and omissions or willful misconduct
23 in the performance of this Agreement, except that NJM CONSULTANTS
24 shall not be responsible for the sole negligence of CITY, its
25 officers, agents, employees and representatives.

SECTION 13: The terms and conditions of this Agreement can
27 only be amended by a written agreement between the parties hereto.

SECTION 14: Neither the CITY nor NJM CONSULTANTS shall
assign or transfer its interest in this Agreement.
IN WITNESS WHEREOF, the parties hereto have caused this
Agreement to be executed as of the day, month and year first above
written.
