Resolution No. 6227 I RESOLUTION NO. 6227 2 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN AGREEMENT FOR SPECIAL SERVICES BY AND BETWEEN THE CITY OF VERNON AND LIEBERT, CASSIDY & FRIERSON, A PROFESSIONAL CORPORATION, TO PROVIDE SPECIAL LEGAL SERVICES PERTAINING TO EMPLOYMENT RELATIONS MATTERS AND FOR PARTICIPATION BY THE CITY IN THE SOUTH BAY EMPLOYEE RELATIONS CONSORTIUM TRAINING SESSIONS IN 1993 4 5 6 7 8 9 WHEREAS, the city of Vernon is a voluntary member of an 10 II l2 l3 informal association of southland local agencies called the South Bay Employee Relations Consortium ("Consortium"); and WHEREAS, the law firm of Liebert, cassidy & Frierson, a Professional Corporation ("law firm"), specializes in providing l4 advice to pUblic agencies regarding employment relations matters; 15 and l6 WHEREAS, the law firm has been providing services in the l7 form of training sessions on personnel matters to said Consortium l8 members since 1990; and 19 WHEREAS, said law firm is willing to provide training 20 21 sessions during 1993 to said Consortium members with an annual fee to the City of Vernon of One Thousand Six Hundred Eighty Dollars 22 23 24 ($1,680); and WHEREAS, said training sessions will benefit city employees and will be in the public interest; and 25 26 27 WHEREAS, in the past, the City of Vernon has entered into two separate agreements with the law firm for special legal services pertaining to employment relations matters and special 28 services pertaining to Consortium training sessions; and I WHEREAS, the City of Vernon desires to enter into a new 2 combined agreement with the law firm regarding legal services 3 pertaining to employment relations matters and special services 4 pertaining to Consortium training sessions for the period February 5 15, 1993 through and including February 15, 1994. 6 NOW, THEREFORE, BE IT RESOLVED BY THB CITY COUNCIL OF THE 7 CITY OF VERNON AS FOLLOWS: 8 SECTION 1: That the City Council of the City of Vernon 9 does hereby find and determine that the recitals contained 10 hereinabove are true and correct. II SECTION 2: The City council of the city of Vernon hereby 12 approves the Agreement for Special Services, a copy of which has 13 been presented to the City Council concurrently with this l4 resolution, and the City council hereby orders said Agreement to 15 be received and filed by the city Clerk. l6 SECTION 3: The City Council of the City of Vernon hereby 17 authorizes the Mayor and City Clerk to execute said Agreement for, l8 and on behalf of, the City of Vernon. 19 SECTION 4: The City Clerk of the City of Vernon shall 20 certify to the passage of this resolution and thereupon and 21 thereafter the same shall be in full force and effect. 22 APPROVED AND ADOPTED this 23rd day of March, 1993. ~~). 23 24 25 A~~' BRUCE V. ", Cf>~ ;;c?=< ./ AGREEMENT FOR SPECIAL SERVICES This Agreement is entered into between the CITY OF VERNON, hereinafter referred to as "City," and the law firm of LIEBERT, CASSIDY & FRIERSON, A Professional Corporation, hereinafter referred to as "Attorney." WHEREAS City has the need to secure expert training and consulting services to assist Authority in its relations and negotiations with its employee organizations; and WHEREAS City has determined that no less than fifteen public agencies in the South Bay Area have the same need and have agreed to enter into identical agreements with Attorney; and WHEREAS Attorney is specially experienced and qualified to perform the special services desired by the City and is willing to perform such services: NOW, THEREFORE, City and Attorney agree as follows: Attorney's Services: During the year beginning February 15, 1993, Attorney will provide the following services to City (and other aforesaid public agencies): 1. Five days of group training workshops covering such employment relations subjects as negotiation strategies, employment discrimination and affirmative action, employment relations from the perspective of elected officials, performance evaluation, discipline and grievance administration for supervisors and managers, planning for and responding to concerted job actions, current court, administrative and legislative developments in the personnel relations area, personnel administration for law enforcement departments, etc., with the specific subjects covered and lengths of individual workshop presentations to be determined by the City and the other said local agencies; 2. Availability of Attorney for City to consult by telephone. 3. Providing of a monthly newsletter covering employment relations developments. Fee: Attorney will provide these special services to City for a fee of One Thousand Six Hundred Eighty Dollars ($1,680.00), payable in one payment on or before April 1. 1993. Said fee will cover Attorney's time in providing said training and consultative services. ,- " ...; Additional Services: Attorney shall, as and when requested by City, make itself available to City to provide representational and other employment relations services at its normal hourly fees. Currently and until February 15, 1994, the rate will be between One Hundred Twenty-Five and One Hundred Ninety-Five Dollars ($125.00 - $195.00) per hour for services provided by attorney staff, Seventy-Five Dollars ($75.00) per hour for services provided by paralegal staff, including reasonable travel time, and any necessary travel or other costs and expenses authorized by the City. Independent Contractor: It is understood and agreed that Attorney is and shall remain an independent contractor under this Agreement. Term: The term of this Agreement is twelve (12) months commencing February 15, 1993. The term may be extended for additional periods of time by the written consent of the parties. Condition Precedent: It is understood and agreed that the parties' aforesaid rights and obligations are contingent on no less than fifteen (15) local agency employers entering into substantially identical Agreements with Attorney on or about February 15, 1993.
