A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF AN AMENDMENT NO. 1 TO THE EDISON-VERNON FIRM
TRANSMISSION SERVICE AGREEMENT FOR VERNON'S
PURCHASES FROM SALT RIVER PROJECT BETWEEN
SOUTHERN CALIFORNIA EDISON COMPANY AND THE CITY
OF VERNON

WHEREAS, the City Council of the City of Vernon adopted
9
Resolution No. 5997, under protest, on October 1, 1991, which
10

approved a Firm Transmission Service Agreement with Southern
California Edison Company ("Edison") for the transmission of
capacity and associated energy purchased from Salt River Project
Agricultural Improvement and Power District ("SRP"); and
14
WHEREAS, the City of Vernon and Edison desire to amend
15
16
said Firm Transmission Service Agreement to increase the amount of
firm transmission service provided in said Agreement; and
17
WHEREAS, the city Council continues to protest Edison's

policies, including its pOlicy to require that the transmission
19
service not be used to displace integrated resources.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the City of Vernon does
hereby find and determine that the recitals contained hereinabove
are true and correct.

SECTION 2: The City Council of the City of Vernon hereby
26 approves the Amendment No. 1 to the Edison-Vernon Firm
27 Transmission Service Agreement, a copy of which has been presented
28 to the City Council concurrently with this resolution, and the

1 City Council hereby orders said Amendment to be received and filed
2 by the City Clerk.

SECTION 3: The City Council of the City of Vernon hereby
4 authorizes the Mayor and City Clerk to execute said Amendment for,
5 and on behalf of, the City of Vernon.

SECTION 4: The City Clerk of the City of Vernon shall
7 certify to the passage of this resolution and thereupon and
8 thereafter the same shall be in full force and effect.
9 APPROVED AND ADOPTED this 27th day Of April, 1993.

6 1. PARTIES: The Parties to this Amendment No.1 are the City
7
of Vernon ("Vernon"), a municipal corporation of the State of
8
California, and Southern California Edison Company ("Edison"), a
9
California corporation, hereinafter sometimes referred to
10
individually as "Party" and collectively as "Parties".
11
2. RECITALS: This Amendment No.1 is made with reference to
12
the following facts, among others:
13
2.1
Edison and Vernon entered into the Agreement in
14
accordance with which Edison provided Vernon with a maximum of
15
20 MW of Firm Transmission Service for Vernon's purchase of
16
capacity and associated energy from Salt River project
17
Agricultural Improvement and Power District ("SRP") as a non-
18
integrated source in accordance with Edison's resale rate'
19
schedule R-7.4 on file with the FERC.

2.2
On May 28, 1993 Vernon and SRP amended the Firm
21
Power Sale Agreement to increase the amount of capacity and
22
associated energy sold by SRP to Vernon during certain hours
23
from 7 MW to 17 MW for the remainder of calendar year 1993 and
24
from 20 MW to 40 MW for calendar year 1994.

2.3 Vernon and the Los Angeles Department of Water and
Power ("LADWP) amended the Transmission Service Agreement to
increase the amount of transmission service sold by LADWP to
Vernon from 7 MW to 17 MW for the remainder of calendar
year 1993 and from 20 MW to 40 MW for calendar year 1994.
2.4 Vernon has requested and Edison is willing to
increase the amount of firm transmission service provided in
accordance with the Agreement from 7 MW to 17 MW for the
remainder of calendar year 1993 and from 20 MW to 40 MW for
calendar year 1994 in accordance with the following terms and
conditions.
3. AGREEMENT: The Parties agree as follows:
4. DEFINITIONS: Unless otherwise defined herein, terms with
initial capitals shall have the meanings as defined in the
Agreement. The following terms, when used herein with initial
capitalization, shall'have the meanings specified:
4.1 Aareement: The Edison-Vernon Firm Transmission
Service Agreement for Vernon's Purchases from Salt River Project
on file with the FERC as Edison rate schedule No. 263.
4.2 Amendment No, 1: This Amendment No.1 to the
Agreement.
5. TERM:
5.1 This Amendment No. 1 and the firm transmission
service to be made available hereunder shall become effective on
the date, following execution, when it is accepted for filing by
the FERC without suspension; provided, however, that if upon

such filing the FERC enters into a hearing to determine whether
2 this Amendment No. 1 is just and reasonable, it shall not become
3 effective until the date when an order no longer subject to
4 judicial review has been issued by FERC determining this
5 Amendment No. 1 to be just and reasonable without changes or new
6 conditions unacceptable to either Party.

This Amendment No. 1 shall terminate upon

8 termination of the Agreement.
9 6 . AMENDMENT :

6.1
Section 6.5 of the Agreement is hereby deleted in
11 its entirety and the following Section 6.5 is substituted
12 therefore:

"6.5 Firm transmission service made
available and purchased hereunder shall be
limited during each hour to a rate of
delivery equal to the amount (expressed in
MW) of capacity Vernon is purchasing at
that time from SRP pursuant to Section 8 of
the Firm Power Sale Agreement, or from
LADWP as replacement capacity for the SRP
resource pursuant to Section 7.7 of the
Transmission Service Agreement. The
maximum firm transmission service made
available hereunder by Edison to Vernon
shall be 40 MW from the Point of Receipt to
the Point of Delivery, measured at the
Point of Receipt. Further, Vernon shall
not intentionally use the firm transmission
service made available hereunder to meet
that portion of its load which is met by
the amounts of energy scheduled or
dispatched from its integrated resources."

6.2
Exhibit A to the Agreement is amended in accordance

6.3 Exhibit B to the Agreement is amended in accordance

3 7. SIGNATURE CLAUSE: The signatories hereto represent that
4 they have been appropriately authorized to enter into this
5 Amendment No. 1 on behalf of the Party for whom they sign.
