A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF THE MEAD-PHOENIX PROJECT WESTWING SUBSTATION
INTERCONNECTION AGREEMENT AMONG ARIZONA PUBLIC
SERVICE COMPANY, THE UNITED STATES OF AMERICA,
SALT RIVER PROJECT AGRICULTURAL IMPROVEMENT AND
POWER DISTRICT, DEPARTMENT OF WATER AND POWER
OF THE CITY OF LOS ANGELES, NEVADA POWER
COMPANY, M-S-R PUBLIC POWER AGENCY, SOUTHERN
CALIFORNIA PUBLIC POWER AUTHORITY, TUCSON
ELECTRIC POWER COMPANY AND CITY OF VERNON

WHEREAS, the City Council by Resolution No. 5895 on
10 September 23, 1991, approved the Project Agreements for the Mead-
11 Phoenix Project and the Mead-Adelanto Project; and
12 WHEREAS, the following owners intend to execute the Mead-
13 Phoenix Project Westwing Substation Interconnection Agreement:
14 Arizona Public Service Company
15 The united States of America
16 Salt River Project Agricultural Improvement and Power
17 District
18 Department of Water and Power of the City of Los Angeles
19 Nevada Power Company
20 M-S-R Public Power Agency
21 Southern California Public Power Authority
22 Tucson Electric Power Company
23 City of Vernon; and

WHEREAS, the City of Vernon will own a 2.154% share
25 (approximately 28 MW) of the Mead-Phoenix Project, Westwing-Mead
26 Component; and
27 WHEREAS, the interconnection of the Mead-Phoenix Project
28 at the Westwing Substation near Phoenix, Arizona, is necessary in

1 order to complete the transmission path as planned from the Mead
2 Substation in Southern Nevada to the Western Substation in Arizona.
3 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
4 CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the City of Vernon hereby
6 finds and determines that the recitals contained hereinabove are
7 true and correct.

SECTION 2: The City Council of the City of Vernon hereby
9 approves the Mead-phoenix Project Westwing Substation Interconnec-
10 tion Agreement, a copy of which has been presented to the City
11 Council concurrently with this resolution.

SECTION 3: The City Council hereby orders said Agreement
13 to be received and filed by the City Clerk, and authorizes the Mayor
14 and the City Clerk to execute said Agreement for, and on behalf of,
15 the City of Vernon.

SECTION 4: The City Clerk of the City of Vernon shall
17 certify to the passage of this resolution, and thereupon and
18
thereafter the same shall be in full force and effect.

APPROVED AND ADOPTED this 1st day of June, 1993.
