A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF
AN AMENDMENT NO. 2 TO THE INFORMATION MANAGEMENT
AND SOFTWARE MAINTENANCE AGREEMENT BY AND BETWEEN
THE CITY OF VERNON AND FLAIR DATA SERVICES, INC.

WHEREAS, the city of Vernon previously executed an
7
Information Management and Software Maintenance Agreement with Flair
8
9
Data Services, Inc. (Flair) pursuant to Resolution No. 5981, which
was approved by the City Council on September 3, 1991; and
10
WHEREAS, by Resolution 6135 adopted by the City Council of
11
the City of Vernon on July 21, 1992, the City Council approved and
12
authorized the execution of an Amendment No. 1 to said Agreement
13
extending the term of the Agreement from July 1, 1992 to June 30,
14
1993; and
15
WHEREAS, the City of Vernon and Flair desire to renew said
16
Agreement for an additional one-year term, from July 1, 1993 through
17
June 30, 1994.

NOW, THEREFORE, BE

CITY OF VERNON AS FOLLOWS:
IT RESOLVED BY THE CITY COUNCIL OF THE
20
SECTION 1: The City Council of the City of Vernon hereby
21
finds and determines that the recitals contained
22
hereinabove are true and correct.
23

SECTION 2: The City Council of the city of Vernon hereby
approves Amendment No. 2 to the Information Management and Software
25
Maintenance Agreement, a copy of which has been presented to the City
26
Council concurrently with this resolution, and the city Council
27
hereby orders said Amendment to be received and filed by the City
28
Clerk.

SECTION 3: The City Council of the City of Vernon hereby
2 authorizes the Mayor and the City Clerk to execute said Amendment
3 for, and on behalf of, the City of Vernon.
4
SECTION 4:
The City Clerk of the City of Vernon shall
5 certify to the passage of this resolution, and thereupon and
6 thereafter the same shall be in full force and effect.
7
APPROVED AND ADOPTED this 15th day of June, 1993.

AMENDMENT NO. 2
TO THE INFORMATION MANAGEMENT
AND SOFTWARE MAINTENANCE AGREEMENT
THIS AMENDMENT NO. 2 to the Information Management and
Software Maintenance Agreement (hereinafter "AMENDMENT") is made
and entered into this 15th day of June, 1993

BY AND BETWEEN
THE CITY OF VERNON, a Municipal
Corporation, hereinafter referred to
as "CITY",

FLAIR DATA SERVICES, INC., a
corporation, hereinafter referred to
as "FLAIR".

RECITALS
15

WHEREAS, CITY and FLAIR entered into the Information
17
Management and Software Maintenance Agreement (hereinafter
"AGREEMENT") on september 3, 1991, with an effective date of July i\
f
18
1, 1991, which provided for expiration on June 30, 1992; and ,
19
WHEREAS, CITY and Flair entered into an Amendment No. 1
20
to the Information Management and Software Maintenance Agreement
21
on July 21, 1992, which proviged for an extension of said
Agreement through and including June 30, 1993; and
WHEREAS, CITY and FLAIR desire to extend said Agreement
22

through and including June 30, 1994.

NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL PROMISES,
27
COVENANTS AND CONDITIONS HEREIN CONTAINED, IT IS MUTUALLY AGREED
BY AND BETWEEN THE PARTIES HERETO TO AMEND THE AGREEMENT AS

SECTION 1: The parties agree to modify the existing
2
AGREEMENT by replacing Paragraph 12.1 of said AGREEMENT with the
3
following new Paragraph 12.1:
12.1 This Agreement shall continue for an additional
4
5
one-year term, from July 1, 1993 through June 30, 1994, unless
6
otherwise terminated as provided herein, but shall be renewable
7
at the end of said additional one-year term for another one-year
8
term unless, prior to ninety (90) days before the end of the term,
either party gives written notice to the other that the Agreement
9

shall not be renewed.
SECTION 2: Except as expressly modified herein, all
provisions of the AGREEMENT remain in effect.

IN WITNESS WHEREOF, the parties hereto have caused this
Amendment to be executed on the month, day and year first written
above, with an effective date of July 1, 1993.
