A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF A LETTER AGREEMENT BY AND BETWEEN THE CITY OF
VERNON ("VERNON") AND THE SOUTHERN CALIFORNIA
EDISON COMPANY ("EDISONIl) PROVIDING FOR THE
PURCHASE OF REPLACEMENT CAPACITY BY VERNON FROM
EDISON FOR THE CITY CAPACITY RESOURCES
INTEGRATED BY VERNON (ENTITLEMENTS IN PALO VERDE
UNITS 1, 2 AND 3) DURING 1993

9 WHEREAS, Vernon and Edison entered into an Integrated
10 Operations Agreement (IlIOA") on August 25, 1982, to provide, among
11 other things, for the integration of Vernon's interests in the
12 Palo Verde Nuclear Generating Station; and
13 WHEREAS, the city Council of the city of Vernon approved
14 Resolution No. 5695 on December 5, 1989, which approved Vernon
15 entering into a November 21, 1989 Letter Agreement with Edison
16 providing for the purchase of Replacement Capacity in 1990 by
17 Vernon from Edison for Vernon City Capacity Resources; and
18 WHEREAS, said Letter Agreement terminated as of December
19 31, 1990; and
20 WHEREAS, both Vernon and Edison desire to establish the
21 terms and conditions whereby Vernon could purchase Replacement
22 Capacity from Edison for City Capacity Resources integrated by
23 Vernon (entitlements in Palo Verde Units 1, 2 and 3).
24 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
25 CITY OF VERNON AS FOLLOWS:

SECTION 1: That the City Council of the City of Vernon
27 does hereby find and determine that the recitals contained
28 hereinabove are true and correct.

SECTION 2: The city council of the City of Vernon hereby

approves the Letter Agreement by and between Vernon and Edison
3
providing for the purchase of Replacement Capacity in 1993 by
4
Vernon from Edison for Vernon City capacity Resources integrated
5
by Vernon (entitlements in Palo Verde units 1, 2 and 3), a copy of
6
which has been presented to the City Council concurrently with
7
this resolution, and the City Council hereby orders said Letter
8
Agreement to be received and filed by the City Clerk.
SECTION 3: The City Council of the City of Vernon hereby

authorizes the Mayor and City Clerk to execute said Letter
Agreement for, and on behalf of, the City of Vernon.
SECTION 4: The City Clerk of the City of Vernon shall
13 certify to the passage of this resolution and thereupon and
14 thereafter the same shall be in full force and effect.

Vernon, do hereby certify that the foregoing Resolution, being
Resolution No. 6292, was duly adopted by the City Council of the
City of Vernon at a regular meeting of the City Council duly held
on Tuesday, Julv 20, 1993, and thereafter was duly signed by the
Mayor of the City of Vernon.
