A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF AN ENVIRONMENTAL SERVICES AGREEMENT BY AND
BETWEEN THE CITY OF VERNON AND ROLLINS CHEMPAK,
INC., AND AUTHORIZING THE ISSUANCE OF A
PURCHASE ORDER IN ACCORDANCE WITH PROPOSAL
3123.15 TO TRANSPORT AND DISPOSE OF CERTAIN
AMOUNTS OF HAZARDOUS WASTE

WHEREAS, the City of Vernon, through normal operations at
9 the City Yard, has accumulated certain amounts of materials
10 classified as hazardous waste; and
II WHEREAS, because State law imposes a limit on the storage
12 of such materials, the City of Vernon must arrange for the
13
transportation and disposal of these materials by a licensed firm;
14
and
15
WHEREAS, Rollins Chempak, Inc. is both licensed and
16 experienced in transporting and disposing of such materials.
17 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
18 CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are
20
21
true and correct.
22
SECTION 2: The City Council of the City of Vernon
23 approves both the Environmental Services Agreement and Proposal
24 3123.15, copies of which have been presented to the City Council
25 concurrently with this resolution, and the City Council hereby
26 orders said Agreement and said Proposal to be received and filed by
27 the City Clerk.

SECTION 3: The City Council of the City of Vernon hereby

authorizes the Mayor and the City Clerk to execute said Agreement
2
for, and on behalf of, the city of Vernon.
3
SECTION 4: The City Council of the City of Vernon hereby
authorizes the City Administrator to issue a purchase order in the
4
5
amount of six Thousand Nine Hundred Fifty-four Dollars ($6,954) to
6
accomplish the work detailed in Proposal 3123.15.
7
SECTION 5: The City Clerk of the City of Vernon shall
8
certify to the passage of this resolution, and thereupon and
9 thereafter the same shall be in full force and effect.

RECITALS

WHEREAS, CUSTOMER periodically accumulates certain
13
hazardous material in the course of its normal operations; and
14
WHEREAS, CONTRACTOR is engaged in the business of
15
16
hauling, transfer, processing, treatment and disposal of hazardous
waste; and
17
WHEREAS, CUSTOMER desires to contract with CONTRACTOR for
18
such hauling, transfer, processing, treatment and disposal
19
services; and
20
21
WHEREAS, this AGREEMENT and its attachments are intended
to constitute the contract between CUSTOMER and CONTRACTOR
22
regarding the hauling, transfer, processing, treatment andlor
23
disposal of certain hazardous waste material.

NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL PROMISES,
25

COVENANTS AND CONDITIONS HEREIN CONTAINED, IT IS MUTUALLY AGREED
BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS:

006108 ("ESASTC") attached hereto as Exhibit A, except as
expressly modified herein.
SECTION 2: The ESASTC shall be modified as follows:
1. Paragraph 2 (TERM AND TERMINATION) is augmented by
inserting the date of November 24, 1994.
2. Paragraph 3 (PRICE ADJUSTMENTS) is deleted in its
entirety and replaced by a new Paragraph 3, which reads as
follows:
"3. PRICE ADJUSTMENTS. The rates charged by
CONTRACTOR shall remain firm during the term of
this ESASTC. Those rates ar& set forth in the
Service Rate Schedule attached hereto as'
Exhibit B."
3. Paragraph 4 (PAYMENT) is modified by deleting the
last sentence, which provides, "CUSTOMER shall also be responsible
for payment of all federal, state or local taxes."
4. Paragraph 19 (GOVERNING LAWS) is deleted in its
entirety and replaced by a new Paragraph 19, which reads as
follows:
"19. GOVERNING LAWS. This ESASTC shall be
governed by the laws of the State of California,
and venue for all disputed matters shall be the
State of California."
5. Paragraph 23 (NOTICES) is modified by deleting the
Delaware address for CONTRACTOR and replacing that address with
CONTRACTOR's California address: "Rollins Chempak Inc., 1550

SECTION 3: CUSTOMER agrees to accept said environmental

services in accordance with the terms and conditions of Exhibit A

ENVIRONMENTAL SERVICES AGREEMENT
STANDARD TERMS AND CONDITIONS
I Contract No. 0 0 61 08
1. CONTRACTING PROCEDURE. It is contemplated that CUSTOMER will from time to time solicit proposals
from CONTRACTOR with respect to providing industrial and/or hazardous waste hauling and/or disposal services.
If the CONTRACTOR Proposal (hereinafter defined as the document(s) attached hereto as Exhibit A submitted by
CONTRACTOR and accepted by CUSTOMER as containing the scope of work, price schedule and any other terms
agreed to by all parties) is acceptable to the CUSTOMER, CUSTOMER or CUSTOMER'S responsible division or
subsidiary, will issue a purchase order or request for services to CONTRACTOR and complete the Uniform Waste
Data Sheet in the form set forth in Exhibit B attached hereto for each new waste stream (hereinafter referred to as
"Waste"). All such"lDurchase orders or requests for services are expressly subject to the terms and conditions."
contained in this Environmental Services Agreement Standard Terms and Conditions (hereinafter referred to as
"ESASTC"), and any conflicting terms and conditions contained in such purchase orders or requests for services
shall be superseded and governed by this ESASTC even if such documents are signed by qualified representatives
of CONTRACTOR. It is further understood that this ESASTC does not constitute a requirements contract or capacity
commitment which obligates CONTRACTOR to accept the Waste, unless expressly set forth in the CONTRACTOR
Proposal.
2. TERM AND TERMINATION. This ESASTC will continue in effect until November 22, 1994 ,
unless terminated by either CUSTOMER or CONTRACTOR upon at least sixty (60) days prior written notice.
Individual divisions or subsidiaries of CUSTOMER may terminateonly purChase orders. Terminations of purchase
orders or requests for services shall affect only the specific purchase order or request for services terminated and
shall not, in any way, override, alter or terminate the rights and obligations created by this ESASTC, and any other
continuing purchase order. The provisions of Sections 4 through 13 and 19 shall survive the termination of this
ESASTC without regard as to the reason for termination. Termination, for any cause, shall not relieve CUSTOMER of
liability for payment of sums due or to become due CONTRACTOR for services performed prior to the effective date
of termination.
3. PRICE ADJUSTMENTS. The parties agree, that if at any time any municipal, local, state, Federal and/or
Interstate Agency, shall issue or cause any order(s), regulation(s), notice(s), tax(es), charge(s), fee(s) assessment(s),
and/or communication(s) of any nature which require CONTRACTOR to make additional investments in plant or
equipment and/or incu r additional costs, the rate charged hereunder shall be proportionately increased on the ba~!s
of the throughput of the CUSTOMER at CONTRACTOR'S Facility. CONTRACTOR also reserves the right to adjust
prices related to fuel surcharges or increases in fuel costs arising from any source. In the event CUSTOMER
disagrees with the rate adjustment, CUSTOMER may, in written notice, terminate this ESASTC within thirty (30) days
prior to the effective date of the rate adjustment. Failure of the CUSTOMER to terminate shall result in the automatic
adjustment of the rates charged.
4. PAYMENT. CONTRACTOR shall invoice CUSTOMER at the rates and terms set forth in the CONTRACTOR
Proposal. Payment shall be due, not subject to set-off, upon receipt of invoice and subject to a charge of one-and-
one-half percent per month, or the maximum charge legally permissible, for amounts more than thirty (30) days
outstanding. In addition to the foregoing, CONTRACTOR may charge CUSTOMER and CUSTOMER agrees to pay
CONTRACTOR'S costs for cleaning and/or decontamination of transport equipment and containers necessitated
by leaks, spills or other releases caused by CUSTOMER or by the condition of containers supplied by
CUSTOMER. CUSTOMER shall also be responsible for payment of all federal, state or local taxes.
5. TRANSPORTATION. Unless otherwise agreed, CONTRACTOR shall be responsible for providing suitable
means to transport Waste and CUSTOMER shall be responsible for loading Waste. CUSTOMER shall deliver to
CONTRACTOR shipping papers, manifests, and labels with each shipment of Waste in accordance with all
applicable requirements of the United States Department of Transportation ("DOT") and the United States Environ-
mental Protection Agency ("EPA") and all other statutes and regulations, whether Federal, State or local. Upon
request, CONTRACTOR will furnish to CUSTOMER appropriate manifest forms in blank. The party that provides
transportation shall comply with all DOT and other applicable regulations. Vehicles used for the transportation of
Waste shall be devoid of any residue from previous shipments. If Waste is spilled on. equipment during loading
operations, the party responsible for such loading shall thoroughly clean the equipment. The transporting party shall
maintain in force and require all carriers it engages to carry vehicular liability insurance equivalent to that specified in
Section 13 of this ESASTC and shall, upon request, provide the other party with certificates of insurance evidencing
such coverages.

6. WARRANTY-CONTRACTOR. CONTRACTOR agrees to comply with all existing laws, ordinances and
regulations of the United States and of any state, county, township or municipal subdivision thereof, or other
governmental agency which may be applicable to the removal of Waste if CONTRACTOR provides transportation,
as well as the processing and/or treatment of the Waste. CONTRACTOR shall obtain all permits, licenses and other
forms of documentation required in order to comply with such laws and regulations.
7. WARRANTY-CUSTOMER. CUSTOMER represents and warrants that the Waste loaded and removed
under this ESASTC shall be the Waste defined by the CUSTOMER as a part of the contracting procedure described
in Section 1 of this ESASTC, and the Waste has been thoroughly characterized on the Uniform Waste Data Sheet
submitted to CONTRACTOR in the form sheet set forth in Exhibit B attached hereto. CUSTOMER agrees to prepare
and execute the CONTRACTOR Uniform Waste Data Sheet for each new waste stream. CUSTOMER shall resubmit
any' Uniform Waste Data Sheet asfequired by Federal, State or local law or regulation. Such Uniform Waste Data
Sheet shall be deemed to be a part of this ESASTC.lf the Waste is packaged, CUSTOMER warrants that such Waste
shall be prepared for shipment and packaged in containers specified by the then current and applicable regulations
ofthe DOT, EPA or any successors thereto and/or any state, municipal, and/or Federal agency having jurisdiction, as
the case may be.
8. INDEMNIFICATION-CUSTOMER. CUSTOMER agrees to indemnify, save harmless and defend
CONTRACTOR (including its officers, directors, employees, and agents) from and against any and all liabilities,
claims, penalties, forfeitures, suits, undue wear and tear to equipment, and the costs and expenses incident thereto
(including costs of defense, settlement, and reasonable attorneys' fees), which CONTRACTOR may hereafter incur,
become responsible for or payout as a result of death or bodily injuries to any person, destruction or damage to any
property (including the person or property of CUSTOMER or its employees), contamination of oradverse effects on
the environment or any violation of governmental laws, regulations or orders caused byor resulting in any way from (i)
CUSTOMER'S failure to comply with CUSTOMER'S Warranty concerning the Waste sefforth in Section 7 above and
in Exhibit B or (ii) CUSTOMER'S breach of any term or provision of this ESASTC; or (iii) any negligent or willful acts
and/or omissions of CUSTOMER and/or its employees.
9. INDEMNIFICATION-CONTRACTOR. CONTRACTOR agrees to indemnify, save harmless and defend
CUSTOMER (including its officers, directors, employees, and agents) from and against any and all liabilities, claims,
penalties, forfeitures, suits, undue wear and tear to equipment, and the costs and expenses incident thereto
(including costs of defense, settlement, and reasonable attorneys' fees), which CUSTOMER may hereafter incur,
become responsible for or payout as a result of death or bodily injuries to any person, destruction or damage to any
property (including the person or property of CONTRACTOR or its employees), contamination of or adverse effects
on the environment or any violation of governmental laws, regulations or orders caused by or resulting in any way
from (i) CONTRACTOR'S failure to comply with CONTRACTOR's Warranty Set forth in Section 6 above or (ii)
CONTRACTOR'S breach of any term or provision of this ESASTC; or (iii) any negligent or willful acts and/or
omissions of CONTRACTOR and/or its employees or subcontractors, in the performance of this ESASTC, including,
but not limited to, the hauling (if performed by CONTRACTOR), management treatment and/or disposal of Waste.
10. CONTRACTOR REJECTION. CUSTOMER understands and agrees that CONTRACTOR, upon notice to
CUSTOMER as set forth in Section 23, has the absolute and unqualified right to reject any shipment of Waste which
does not conform to the description on the Uniform Waste Data Sheet supplied by CUSTOMER to CONTRACTOR in
the form set forth on Exhibit B hereto or if Waste does not meet CONTRACTOR'S permit requirements. After any
such rejection, CONTRACTOR will, with CUSTOMER'S assistance and approval, pursue all other reasonable
means of disposal. If the Waste is rejected, CUSTOMER shall be obligated: (1) to pay the cost of transportation to
CONTRACTOR'S facility, if such transportation was performed by CONTRACTOR; (2) to pay the cost of return
transportation from CONTRACTOR'S facility to CUSTOMER'S premises (CUSTOMER having the right to select the
carrier); and (3) to pay all other reasonable charges incurred by CONTRACTOR, for hauling, loading, preparing,
storing and caring for Waste which has been rejected, including necessary analytical work, decontamination and
cleaning of equipment.
11. TITLE. Following loading and departure from CUSTOMER'S premises, if CONTRACTOR provides transpor-
tation or, following delivery to the CONTRACTOR'S facility, if CUSTOMER provides transportation, CONTRACTOR
shall take title to Waste. However, title, and all other incidents of ownership to non-conforming Waste shall be
deemed to revest in the CUSTOMER at the time of rejection of Waste as set forth in Section 10 above, and in such
event, CONTRACTOR shall only be responsible for its own negligence or willful acts.

12. FORCE MAJEURE. Delays or failure of either party in the performance of its required obligations shall be
excused if caused by circumstances beyond the reasonable control ofthe party affected, including but not limited to,
acts of God, strikes, labor holiday, fire, flood, windstorm, explosion, riot, war, sabotage, action or request of
governmental authority, accident, inability to obtain material, equipment or transportation, provided that a prompt
notice of such delay is given and the parties shall be diligent in attempting to remove such cause(s).
13. INSURANCE. CONTRACTOR shall not begin any operations under this ESASTC until: (a) it has obtained
all the insurance required herein; and (b) it has furnished certificates of insurance to CUSTOMER. Every certificate of
insurance providing the coverages required herein shall contain the following clause: "Should any of the above
described policies be cancelled before the expiration date thereof, the issuing company will endeavor to mail thirty
(30) days written notice to the certificate holder named to the left, but failure to mail such notice shall impose no
obligation or liability of any kind upon the company, its agents or representatives".
CONTRACTOR shall acquire and maintain for the life of this ESASTC (at its own expense unless otherwise
specifically set forth) at least the following insurance:

The General Liability insurance shall include coverage for all of CONTRACTOR'S contractual liability under the
ESASTC with limits of not less than those set forth above. CUSTOMER agrees, however, that such general liability
insurance need not cover losses, damages, costs, and expenses arising out of bodily injury (including death) to any
person or damage to any property caused by or resulting from acts or omissions of the CUSTOMER, its employees
or its agents. (
14. ASSIGNMENT. Neither party shall assign, sublet, transfer nor convey this ESASTC nor any monies due or
to become due to it hereunder without the prior written consent of the other.
15. INDEPENDENT CONTRACTOR. CONTRACTOR is and shall be an independent contractor in the
performance of the work covered by this ESASTC maintaining complete control of its employees and operations.
Neither CONTRACTOR nor anyone employed by CONTRACTOR shall be the agent, representative, employee or
servant of CUSTOMER in the performance of the work covered by this ESASTC.
16. RESTRICTED MATERIALS NOTICE REQUIREMENT. CUSTOMER represents and warrants that it will
specifically inform CONTRACTOR on the Uniform Waste Data Sheet if the Waste contains:
a) chemicals listed in any of the following three references:
1. National Toxicology Program (NTP) Annual Report on Carcinogens (latest edition);
2. International Agency for Research on Cancer (IARC) monographs; or
3. 29 CFR 1910, Subpart Z, Toxic and Hazardous Substances, Occupational Safety and Health Admini-
stration.
In addition, the existence of one valid, positive study indicating carcinogenic potential is sufficient basis for a specific
notation on the Uniform Waste Data Sheet. Examples of these chemical substances include, but are not limited to,
asbestos, benzidine, vinyl chloride, inorganic arsenic, acrylonitrile, DSCP and ethylene dibromide.
b) Polychlorinated biphenyls; or
c) Dioxin and Dibenzo furans; or
d) Radioactive Constituents
In the event CONTRACTOR is unable to accept any or all of the above referred to Waste, Section 10 hereof shall
apply.

17. UNIFORM WASTE DATA SHEET(S) AND CONTRACTOR PROPOSAL(S). Any of the Uniform Waste
Data Sheet(s) and CONTRACTOR Proposal(s) which are accepted by CUSTOMER are hereby incorporated by
reference and made a part of this ESASTC as Exhibits B and A respectively.
18. CONFIDENTIALITY. Except as may otherwise be required by Federal, State or local laws or regulations,
CUSTOMER and CONTRACTOR hereto agree to treat as confidential and not ever disclose to any third party any
information which is not now in or does not enter the public domain or is not already known by the recipient party
concerning the other party's business, operations, technologies, formula, procedures, processes, methods, trade
secrets, ideas, improvements, plan, programs, plants, equipment or customers, except as shall be necessary to
perform this ESASTC. Subject to this limitation, nothing shall be interpreted to prevent the parties from the use of any
information learned through the performance of this ESASTC.
19. GOVERNING LAWS. This ESASTC shall be governed by the laws of the State of Delaware and venue for all
disputed matters shall be the State of Delaware.
20. ENTIRE AGREEMENT. This ESASTC together with Uniform Waste Data Sheet(s) (Exhibit B) and
CONTRACTOR Proposal(s) (Exhibit A) constitutes the entire ESASTC between CONTRACTOR and CUSTOMER.
All previous representations relative thereto either written or oral, are hereby annulled and superseded.
21. MODIFICATIONS. No modification of this ESASTC shall be binding on CONTRACTOR or CUSTOMER
unless it shall be in writing, signed and dated by the duly authorized representive of both parties.
22. HEADINGS. Paragraph headings are for the convenience of the parties only and are.not to be construed as
part of this ESASTC. .
23. NOTICES. All notices, requests, demands and other communication hereunder shall be in writing by letter
and/or by telephone or facsimile machine. If by telephone or facsimile machine, such notice shall be confirmed in
writing. All written notices shall be deemed delivered if mailed, first class, postage prepaid to the address set forth
below until some other address (or individual for attention) is designated:

VIII. Terms and Conditions
1. Time and one half labor rates apply to all hours worked in excess of 8 hours per day, and
to all hours worked on Saturday and Sunday.
2. Payment is due upon receipt of invoice. Rollins reserves the right to charge interest at a
rate of I 1/2 % per month for all invoices over 30 days past due.
3. Any items not listed in the Service Rate Schedule will be billed at cost plus 15%.
4. Any non-conforming waste shipped to Rollins - ope which cannot be accepted will be
subject to a rejection fee of up to $250/drum or bulk load.
5. Any drum that must be overpacked will be invoiced at the Inner container rate plus
$100.00.

We would like to emphasize the following regarding the Rollins CHEMP.AK services and staff.

Our tield personnel are extensively trained in RES waste disposal packaging requirements.

CHEMPAK tield personnel have immediate access to QA/QC support staff from CHEMPAK
personnel housed at RES plants and corporate headquarters to assist in more difficult waste
streams heing handled at City of Vernon's facility.

CHEMPAK has tifteen to twenty plant dates at RES (LA) and RES (TX) each month. Waste
prepared hy CHEMPAK personnel can he transported off site directly to the final disposal facility
in a timely manner; normally no later than two weeks after service. All waste will be manifested
directly to RES (TX) or RES (LA), except for liquid hulkahle waste streams, which will be
manifested to our TSDF in Los Angeles.

All lab packs accepted by CHEMPAK tield personnel are automatically accepted by RES Facilities
under a generic stream numher. There are no pre-approval requIr;:menls trom the RES facilities
if CHEMPAK personnel are packaging City of Vernon's waste.

Actual cost may vary and will be assessed according to the rates <.kscribed in the CHEMPAK Proposal. This
Proposal does not include disposal of the mercury compounds. Regulatory changes occurring on May 8, 1992. do
not allow fur landfill of any mercury centaining wastes, and thus CHEMPAK regretfully declines to dispose of this
material until the new regulations are clarified.
We cannot accept mercury salts, radioactives. or explosive A materials for disposal at this time. Any materials
containing dioxins or dioxin intermediates are not acceptable for ultimate disposal in any U.S. facility as of this date.
Therefore, Rollins CHEMP AK regretfully declines to handle, package, transport, or dispose of this type of material.
