A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF A SERVICE AGREEMENT WITH PACIFICORP UNDER
FERC ELECTRIC TARIFF VOLUME NO. 3 SERVICE
SCHEDULE PPL-3

WHEREAS, Resolution No. 5327 adopted by the City Council

of the City of Vernon on September 16, 1986, approved and
authorized the execution of a Service Agreement (Schedules Utah-1B
8

and Utah-1C) between the City of Vernon and Utah Power and Light
Company for the purchase of nonfirm energy; and
WHEREAS, Utah Power and Light Company was acquired by
PacifiCorp several years ago; and
WHEREAS, the City of Vernon and PacifiCorp desire to
enter into an agreement superseding the existing agreement with

the former Utah Power and Light Company for the purchase of power
and energy.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:

SECTION 1: That the City Council of the City of Vernon

does hereby find and determine that the recitals contained
hereinabove are true and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Service Agreement with Pacificorp Under FERC Electric
Tariff Volume No. 3 Service Schedule PPL-3, a copy of which has

been presented to the City Council concurrently with this
resolution, and the City Council hereby orders said Agreement to
be received and filed by the City Clerk.

SECTION 3: The City Council of the City of Vernon hereby

authorizes the Mayor and City Clerk to execute said Agreement for,

and on behalf of, the City of Vernon.

SECTION 4: The City Clerk of the city of Vernon shall
certify to the passage of this resolution and thereupon and
thereafter the same shall be in full force and effect.

QUANTITIES:
As agreed from time to time between
Purchaser and PacifiCorp.

Year-to-year until terminated in
writing by either party.
EFFECTIVE DATE:
Upon execution.
CONTINUITY OF SERVICE:
PacifiCorp shall be excused from
delivering scheduled power and
energy to the extent it is prevented
from making such power and energy
available and Purchaser shall be
excused from paying for such power
and energy.
SPECIAL CONDITIONS:
Purchaser shall designate and
authorize (if applicable) a third
party to act in its behalf as
transferring and receiving agent
(Agent) for all power and energy
scheduled by PacifiCorp to its Agent
for Purchaser's account. Purchaser
shall be responsible for all
transfer and ultimate delivery
arrangements, including transfer
charges and losses incurred beyond

FIRM POWER AND ENERGY FOR RESALE (SF SERVICE)
NON-FIRM ENERGY FOR RESALE (OS SERVICE)
Aoolication:
This Service Schedule is applicable to any electric utility for
the purchase of power and energy or energy only for resale from
PacifiCorp at transmission voltage either directly or through the
transmission system of a third party acting on behalf of the
purchaser as a transferring or receiving agent. A Service
Agreement in the form specified in this Service Schedule shall be
executed prior to any delivery. Each such Service Agreement shall
be filed with the Federal Energy Regulatory Commisslon either
executed or unexecuted.
Deliverv Point:
Power and energy or energy only will be made available at the
point(s) of interconnection between PacifiCorp and Purchaser or
Purchaser's transferring or receiving agent.
Schedulina:
To the extent that PacifiCorp determines that power and energy or
energy only will be made available, Purchaser shall schedule all
deliveries in advance and such deliveries shall be deemed to be
received during the hours and in the amounts scheduled. provided
that if such deliveries are interrupted as a result of
uncontrollable forces, the schedules of power and energy shall be
adjusted to reflect such interruption.
Billina:
PacifiCorp shall invoice Purchaser each month for power and energy
or energy only scheduled and made available during the preceding
month under this Service Schedule and Purchaser shall pay
PacifiCorp within fifteen (15) days after receipt of such invoice.
payments received after the due date shall bear interest at the
rate of .04l percent per day (15 percent per year) until received
by PacifiCorp. Wheeling costs or losses incurred by PacifiCorp on
other systems as a result of services provided under this Tariff
will be passed through to Purchaser.

Rate Chanaes:
Nothing contained herein shall be construed as affecting ln any
way the right of any party furnishing service under this rate
schedule to unilaterally make application to the Federal Energy
Regulatory Commission for a change in rates, under Section 205 of
the Federal Power Act and pursuant to the Commission's Rules and
Regulations promulgated thereunder.
TYnes of Service Available:
SF Service. AS specified ln FERC Form 1, page 310, SF
Service refers to short-term firm service with a duration of
one year or less made available from PacifiCorp's own
resources.
OS Service. As specified in FERC Form 1, page 310, OS
Service refers to other services. For the purpose of this
Tariff. OS Service shall refer to non-firm service made
available from PacifiCorp's own resources and/or pacifiCorp's
purchases from third parties.
Rates:
Capacity with energy, capacity only or energy only scheduled
and/or made available under this Service Schedule shall be
provided at the rates. term and conditions agreed upon by
PacifiCorp and the Purchaser at the time the transaction is agreed
upon subject to the price caps described below, provided, however
that the rates charged at any time to any purchaser shall be the
same rates charged to all other purchasers under this Tariff
receiving service under similar terms and conditions.
SF Service (CaDacitv with Enerav) :
The energy charge for SF Service (Capacity with Energy) shall not
be greater than 13.66 mills per kilowatt-hour.
The capacity charge for SF Service (Capacity with Energy) shall be
based on the duration of the sale and shall:
l. Not be greater than $230.14 per kilowatt per year; or
2. Not be greater than $19.18 per kilowatt per month; or
3. Not be greater than $4.43 per kilowatt per week; or
4. Not be greater than $0.89 per kilowatt per day and
limited to. $4.43 per kilowatt per week; or

5. Not be greater than SO.055 per kilowatt per hour and
limited to SO.89 per kilowatt per day and S4.43 per
kilowatt per week.
The above rates shall also have a combined minimum rate equal to
PacifiCorp's actual incremental cost at the time the transaction
is agreed upon plus 1.0 mill per kilowatt-hour.
SF Service (Canacitv Only) :
There shall be no energy charge for SF Service (Capacity Only) .
All energy scheduled to the Purchaser under a capacity only
transaction shall be returned to PacifiCorp by the Purchaser or
for the account of the Purchaser by a third party.
The capacity charge for SF Service (Capaclty Only) shall be based
on the duration of the sale dnd shall:
1. Not be greater than S230.14 per kilowatt per year; or
2. Not be greater than S19.18 per kilowatt per month; or
3 . Not be greater than S4.43 per kilowatt per week; or
4. Not be greater than SO.89 per kilowatt per day and
limited to, $4.43 per kilowatt per week; or
5. Not be greater than SO.055 per kilowatt per hour and
limited to SO.89 per kilowatt per day and S4.43 per
kilowatt per week.
OS Service:
The charge for energy delivered as OS Service shall be based on
the duration of the sale and may, at PacifiCorp's sole discretion,
be based on the purchase power price PacifiCorp pays to a third
party for purchases of capacity and/or energy coincidentally with
sales of OS Service energy under this Tariff.
1. For OS Service provided from PacifiCorp's own resources such
charge shall:
a.
Not be greater than 68.98 mills per kilowatt-hour for
deliveries of energy limited to no more than 16 hours
per day and 80 hours per week; or
b.
Not be greater than 50.54 mills per kilowatt-hour for
deliveries of energy limited to no more than 120 hours
per week; or

c. Not be greater than 39.93 mills per kilowatt-hour for
unlimited deliveries of energy.
2. For OS Service provided from PacifiCorp's purchases of
capacity and/or energy from third parties coincidentally with
sales of OS Service energy under this Tariff such charge
shall be less than or equal to:
The greater of (1) the charge utilizing PacifiCorp's own
resource pricing as described in 1 above or (2) the
purchase power price in mills per kilowatt-hour which
pacifiCorp pays to a third party for purchases of
capacity and/or energy coincidentally with sales of OS
Service energy under this Tariff ~ an adder equal to:
a. 8.5 mills per kilowatt-hour for deliveries of
energy limited to no more than 16 hours per day and
80 hours per week: or
b. 6.0 mills per kilowatt-hour for deliveries of
energy limited to no more than 120 hours per week:
or
c. 4.6 mills per kilowatt-hour for unlimited
deliveries of energy.
The above rates shall also have a combined minimum rate equal to
PacifiCorp's actual incremental cost at the time the transaction
is agreed upon plus 1.0 mill per kilowatt-hour.
