RESOLUTION NO. 6382
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF AN AGREEMENT TO PAVE THE ATLANTIC BOULEVARD
BRIDGE BY AND BETWEEN THE CITY OF VERNON AND
THE CITY OF BELL
WHEREAS, the City of Bell proposes to repave the Atlantic
Bridge (hereinafter "project"); and

WHEREAS, the Project includes the installation of rubber
pads at the two railroad crossings on both sides of the bridge, both

of which are in the City of Vernon; and

WHEREAS, the City of Bell has prepared plans and
11
specifications and is willing to inspect and administer the Project
12
with the total cost to Vernon being estimated at $10,451.00 for the
portion of the Project within the City of Vernon and with the
maximum cost limited to $14,000.00; and

WHEREAS, the City of Vernon will furnish and pay for the
construction survey of the Project; and
WHEREAS, the City of Vernon has reviewed the plans and
specifications and will issue a no-fee permit to the City of Bell
for the Project.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the city of Vernon hereby
23
finds and determines that the recitals contained hereinabove are
24
true and correct.

SECTION 2: The City Council of the City of Vernon hereby
approves the Agreement to Pave Atlantic Boulevard Bridge, a copy of
27
which has been presented to the city Council concurrently with this
28

resolution, and the City Council hereby orders said Agreement to be

received and filed by the City Clerk.
SECTION 3: The City Council of the City of Vernon hereby

authorizes the Mayor and the City Clerk to execute said Agreement
5
6
for, and on behalf of, the City of Vernon.
SECTION 4: The City Clerk of the City of Vernon shall
7
certify to the passage of this resolution,
and thereupon and
8
thereafter the same shall be in full force and effect.

AGREEMENT TO PAVE ATLANTIC BOULEVARD BRIDGE
THIS AGREEMENT, is made and entered into and executed
in duplicate originals, either copy of which may be
considered and used as the original hereof for all purposes,
this 14th
day of February
, 1994.

THE CITY OF VERNON

(hereinafter referred
to as "Vernon")
AND
THE CITY OF BELL, a
municipal corporation
of the state of
California, whose city
Hall address is 6330 pine
Avenue, Bell, California,
90201-1291 (hereinafter
referred to as "Bell")
16 RECITALS
17 WHEREAS, Bell proposes to repave the Atlantic Boulevard
18 Bridge including portions of Atlantic Boulevard just north
19 and south of the bridge, and construct rubber pads at two
20 railroad crossings between the Long Beach Freeway and
21 District Boulevard hereinafter referred to as the "Project";
22 and
23 WHEREAS, Bell has prepared plans and specifications and
24 is willing to inspect and administer the Project with the
25 total cost to Vernon being estimated at Ten Thousand Four
26 Hundred Fifty-one Dollars ($10,451.00) for the portion of
27 the Project which is within the City of Vernon; and
28 WHEREAS, Vernon is willing to fund only the

1 construction of that portion of the Project contained in the
2 estimate attached as Exhibit "A", and provide construction
3 survey for the entire project; and
4 WHEREAS, Vernon has reviewed and approved the plans and
5 specifications submitted concurrently herewith and will
6 issue a no-fee permit for the Project.
7 NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS:
8 SECTION 1: The foregoing recitals are true and correct
9 and constitute valid consideration for this agreement.
10 SECTION 2: Bell agrees:
11 a. To furnish and pay the following costs of the
12 proj ect:
13 (1) Preparation of such plans, specifications and
14 construction cost estimates.
15 (2) Inspection
16 (3) Contract administration
17 b. To advertise the Project for construction bids, to
18 award the contract to the lowest responsible bidder, to do
19 all things necessary and properly to complete the Project,
20 and to act on behalf of Vernon in all negotiations
21 pertaining thereto.
22 c. To have the Project constructed substantially in
23 compliance with the plans and specifications as approved by
24 the City of Vernon.
25 d. To notify Vernon of any unforeseen circumstances
26 that may occur during the course of construction and obtain
27 the Vernon City Engineer's concurrence on any significant
28 departure from ordinary contract administration

requirements.
e. To hold Vernon harmless to the maximum extent
permitted by law, with respect to any and all claims for
personal injury, property damage, or any other claim
whatsoever which may arise as a result of the construction
of the Project.
f. After completion of the project, to maintain that
portion of Atlantic Boulevard in Bell.
SECTION 3: Vernon agrees:
a. To issue a no fee permit for the Project.
b. Upon completion of the Project, to pay for
construction as specified in Exhibit "A".
c. To furnish and pay for the construction survey.
d. After completion of the Project, to maintain that
portion of Atlantic Boulevard within the City of Vernon.
SECTION 4: The parties agree:
a. That if the costs for Vernon's share exceeds the
estimated construction cost as shown in Exhibit "A" by more
than ten percent, any changes or extra work shall be
submitted to the City of Vernon for approval by the city
Engineer. Such approval shall not be unreasonably withheld.
In no case shall Vernon's share exceed $14,000.00.
b. That before any work is performed on the contract,
the contractor shall furnish to the City of Vernon:
(1) A certificate of liability insurance in the
minimum amounts given in the specifications.
(2) A certified endorsement showing the city of
Vernon as a named insured on said policy or

policies including a provision for 30-day
notice of cancellation or reduction in
coverage.
IN WITNESS WHEREOF, the parties hereto have caused this
Agreement to be executed or caused to be executed by their
respective officers, duly authorized, as of this date, month
and year first written above.
