A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF A LIMITED POWER OF ATTORNEY AND AN AGREEMENT
BETWEEN THE CITY OF VERNON AND WAYNE SEMINOFF
COMPANY TO COLLECT UNCLAIMED FUNDS

WHEREAS, the Wayne Seminoff Company has informed the City
of Vernon of unclaimed funds in the amount of $2610.61 owing to

Energy Services, Inc., as contractor for the Vernon Electric System;
and

WHEREAS, the City of Vernon desires to recover such funds
l2 by entering into an agreement and a limited power of attorney with
l3 Wayne Seminoff Company based on a recovery fee of forty percent
l4 (40%).
l5 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
l6 CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the city of Vernon hereby
l8 finds and determines that the recitals contained hereinabove are
19 true and correct.

SECTION 2: The City Council of the City of Vernon hereby
2l approves the Agreement and the Limited Power of Attorney, copies of
22 which have been presented to the City Council concurrently with this
23 resolution, and the City Council hereby orders said Agreement and
24 said Power of Attorney to be received and filed by the city Clerk.

SECTION 3: The City Council of the City of Vernon hereby
26 authorizes the Mayor and the City Clerk to execute said Agreement
27 and said Power of Attorney for, and on behalf of, the city of
28 Vernon.

SECTION 4: The City Clerk of the city of Vernon shall

certify to the passage of this resolution, and thereupon and
3 thereafter the same shall be in full force and effect.

FEE MEMORANDUM
In consideration of Wayne Seminoff Company's successful efforts to notify us of dormant
assets in the amount of $2610.61 to which we, City of Vernon, may be entitled, and Wayne
Seminoff Company's promise to direct our claim into proper channels, we hereby assign to
you, Wayne Seminoff Company Forty percent of the total collection. It is understood:
1. City of Vernon will cooperate by executing documents to complete the claim.
2. Unless a collection is made there will be no charge to City of Vernon whatsoever.
3. If City of Vernon is actively trying to collect the funds already, then no fee will
be charged. Documentation of recovery attempt dated prior to this agreement
must be provided to Wayne Seminoff Company.
4, All recovery costs incurred will be paid by the Wayne Seminoff Company.
