A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF AN AMENDMENT NO. 3 TO THE INFORMATION
MANAGEMENT AND SOFTWARE MAINTENANCE AGREEMENT BY
AND BETWEEN THE CITY OF VERNON AND FLAIR DATA
SERVICES, INC.

WHEREAS, the City of Vernon previously executed an
8
Information Management and Software Maintenance Agreement with
9
Flair Data Services, Inc. (Flair) pursuant to Resolution No. 5981,

which was approved by the City Council on September 3, 1991; and
WHEREAS, the City Council of the City of Vernon has

approved amendments to said Agreement extending the term of the
l3
Agreement pursuant to Resolution Nos. 6135 and 6273, which were
l4
adopted on July 21, 1992 and June 15, 1993, respectively; and
l5
WHEREAS, the City of Vernon and Flair desire to amend
l6
said Agreement to extend the term of the Agreement from July 1,
l7
1994 through June 30, 1995.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the City of Vernon does

hereby find and determine that the recitals contained hereinabove
22

are true and correct.
SECTION 2: The City Council of the City of Vernon hereby
24
approves Amendment No. 3 to the Information Management and
25
Software Maintenance Agreement, a copy of which has been presented
26 to the City Council concurrently with this resolution, and the
27 City Council hereby orders said Amendment to be received and filed
28 by the City Clerk.

SECTION 3: The City Council of the City of Vernon hereby
2 authorizes the Mayor and City Clerk to execute said Amendment for,
3 and on behalf of, the City of Vernon.
4
SECTION 4: The City Clerk of the City of Vernon shall
5 certify to the passage of this resolution and thereupon and
6 thereafter the same shall be in full force and effect.

5 THIS AMENDMENT NO.3 to the Information~Management and
6 Software Maintenance Agreement (hereinafter "Anlendment") is made
7 and entered into this 21st day of June 1994

THE CITY OF VERNON, a Municipal
Corporation, hereinafter referred to
as "CITY",
8 BY AND BETWEEN

FLAIR DATA SERVICES, INC., a
corporation, hereinafter referred to
as "FLAIR".

WIT N E SSE T H:

WHEREAS, CITY and FLAIR entered into The Information
l5 Management and Software Maintenance Agreement ("Agreement") on
16 September 3, 1991, with an effective date of July 1, 1991, which
l7 provided for expiration on June 30, 1992; and
l8 WHEREAS, CITY and FLAIR entered into an Amendment No. 1
19 to the Agreement on July 21, 1992, which provided for an extension
20 of said Agreement through and including June 30, 1993; and
2l WHEREAS, CITY and FLAIR entered into an Amendment No. 2
22 to the Agreement on June 15, 1993, which provided for an extension
23 of said Agreement through and including June 30, 1994; and
24 WHEREAS, CITY and FLAIR desire to extend said Agreement
25 through and including June 30, 1995.

NOW, THEREFORE, FOR AND IN CONSIDERATION OF THE MUTUAL
27 PROMISES, COVENANTS AND CONDITIONS HEREIN CONTAINED, IT IS
28 MUTUALLY AGREED BY AND BETWEEN THE PARTIES HERETO TO AMEND THE

1 AGREEMENT AS FOLLOWS:

SECTION 1: Paragraph 12.1 of said Agreement shall be
3 amended as follows:

12.1 This Agreement shall continue for an additional
5 one-year term, from July 1, 1994 through and including June 30,
6 1995, unless otherwise terminated as provided herein, but shall be
7 renewable at the end of said additional one-year term for another
8 one-year term unless, prior to ninety (90) days before the end of
9 the term, either party gives written notice to the other that the
lO Agreement shall not be renewed.

SECTION 2: Except as expressly modified herein, all
l2 provisions of the Agreement remain in effect.

IN WITNESS WHEREOF, the parties hereto have caused this
l4 Amendment to be executed on the month, day and year first written
l5 above, with an effective date of July 1, 1994.
