A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF A FIRM WHOLESALE POWER AGREEMENT NO. 2 BY AND
BETWEEN THE CITY OF VERNON AND SALT RIVER
PROJECT AGRICULTURAL IMPROVEMENT AND POWER
DISTRICT

WHEREAS, the City Council of the City of Vernon adopted
8
Resolution No. 5933 on June 4, 1991, which approved a Firm Power
9
Sale Agreement with Salt River Project Agricultural Improvement
and Power District ("SRP"); and

WHEREAS, the city Council of the City of Vernon adopted
12 Resolution No. 6244 on April 27, 1993, which approved Amendment
No. 1 to the Firm Power Sale Agreement with SRP; and

WHEREAS, SRP has been selling capacity and energy to the
15
city of Vernon pursuant to the Firm Power Salt Agreement as
l6 amended which terminates on December 31, 1994; and

WHEREAS, SRP and Vernon desire to enter into a similar
18
agreement effective January 1, 1995 through December 31,1997; and
WHEREAS, SRP has ownership entitlement in the Mead-
19
Phoenix Project and Vernon has ownership entitlement in the Mead-
20
2l Adelanto Project which are both expected to be completed and
22 operational by January 1, 1996, and which will establish an
23
electrical interconnection between SRP and Vernon which will allow
24 SRP to schedule and deliver capacity and associated energy to
25 Vernon; and
26
WHEREAS, SRP desires to sell to Vernon from resources
27 available to SRP, and Vernon desires to purchase from SRP, firm
28 capacity and associated energy in accordance with the terms and

1 conditions set forth in the Firm Wholesale Power Agreement NO.2;
2 and
3 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
4 CITY OF VERNON AS FOLLOWS:

SECTION 1: The city Council of the city of Vernon does
6 hereby find and determine that the recitals contained hereinabove
7 are true and correct.

SECTION 2: The City council of the city of Vernon hereby
9 approves the Firm Wholesale Power Agreement No.2, a copy of which
10 has been presented to the City council concurrently with this
11 resolution, and the City Council hereby orders said Agreement to
12 be received and filed by the City Clerk.

SECTION 3: The City Council of the City of Vernon hereby
14 authorizes the Mayor and the City Clerk to execute said Agreement
15 for, and on behalf of, the City of Vernon.
16
SECTION 4: The city Clerk of the City of Vernon shall
17 certify to the passage of this resolution and thereupon and
18 thereafter the same shall be in full force and effect.
