A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF A MODIFIED FIRM WHOLESALE POWER AGREEMENT NO.
2 BY AND BETWEEN THE CITY OF VERNON AND SALT
RIVER PROJECT AGRICULTURAL IMPROVEMENT AND POWER
DISTRICT PREVIOUSLY APPROVED BY RESOLUTION NO.

WHEREAS, the City Council of the city of Vernon adopted
8 Resolution No. 6541 on November 1, 1994, which approved Firm
9 Wholesale Power Agreement No. 2 with Salt River Project
10 Agricultural Improvement and Power District ("SRP") effective
11 January 1, 1995 through December 31, 1997; and
12
WHEREAS, SRP modified certain provisions of said
13 Agreement when it approved and executed said Agreement; and
14
WHEREAS, the City Council desires to approve the
15 Agreement as modified by SRP.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
17 CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the city of Vernon does
19 hereby find and determine that the recitals contained hereinabove
20 are true and correct.
21
SECTION 2: The City Council of the City of Vernon hereby
22 approves the Firm Wholesale Power Agreement No.2, as modified, a
23
copy of which has been presented to the City Council concurrently
24 with this resolution, and the city Council hereby orders said
25 Agreement to be received and filed by the City Clerk.

SECTION 3: The City Council of the City of Vernon hereby
27 authorizes the Mayor and the City Clerk to execute said Agreement

and initial the provisions which have been modified by SRP for,

and on behalf of, the City of Vernon.
SECTION 4: The City Clerk of the City of Vernon shall

certify to the passage of this resolution and thereupon and
5
6
thereafter the same shall be in full force and effect.

APPROVED AND ADOPTED the 20th day of December, 1994.
