A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF VERNON APPROVING AND AUTHORIZING THE
EXECUTION OF THE JOINT PLANNING AGREEMENT FOR
THE CENTRAL CALIFORNIA-DESERT SOUTHWEST
TRANSMISSION PROJECT AMONG TANC, APS, CDWR,
NPC, PACIFICORP, SMUD, SRP, SSJVPA, WESTERN,
AND THE CITIES OF GLENDALE AND VERNON

WHEREAS, Vernon, along with other parties, are
8
interested in studying the feasibility of providing a transmission
9
path from Central California to the Desert Southwest; and
10
II
WHEREAS, alternative routes either through the San Joaquin Valley
or across the Sierra Nevada and through Nevada have been proposed
12
and need to be evaluated; and
13
WHEREAS, all or some of the following entities will
14
become parties to the agreement:
Transmission Agency of Northern
15
California (TANC); Arizona Public Service Company (APS); the
California Department of Water Resources (CDWR); the City of
16
17

Glendale (Glendale); Nevada Power Company (NPC); Salt River
Project Agricultural Improvement and Power District (SRP); the
Southern San Joaquin Valley Power Authority SSJVPA); the City of
19
20
Vernon (Vernon); and the Western Area Power Administration
21
(Western); and
22
WHEREAS, by executing the Joint Planning Agreement,
23
Vernon and the other parties intend to (i) pursue the Joint
24
Planning Work Plan for the Project at a total cost not to exceed
$20,000.00 of which the city of Vernon will pay a pro rata share
and (ii) reserve rights to participate in the ownership of the
25

Project in the manner provided for in said Agreement.

1 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
2 THE CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the city of Vernon
4 hereby finds and determines that the recitals contained
5 hereinabove are true and correct.
6
SECTION 2: The City Council of the city of Vernon
7 hereby approves the Joint Planning Agreement for the Central
8 California-Desert Southwest Transmission Project, a copy of which
9 has been presented to the City Council concurrently with this
10 resolution, and the City Council hereby orders said Agreement to
II be received and filed by the City Clerk.

SECTION 3: The City Council of the City of Vernon
13 hereby authorizes the Mayor Pro Tem and the City Clerk to execute
14 said Agreement for, and on behalf of, the City of Vernon.
15
SECTION 4: The City Clerk of the City of Vernon shall
16 certify to the passage of this resolution, and thereupon and
17 thereafter the same shall be in full force and effect.

, 1995, is entered into by and among the
9 Tr~mission Agency of Northern California (TANC), a joint powers agency created pursuant to
10 'the laws of the State of California; Arizona Public Service Company (APS), an Arizona Corporation;
11 the California Department of Water Resources (CDWR), a utility engaged in the operation of the
12 State Water Project pursuant to the State Water Resources Development System as defined in
13 Section 12931 of the Water Code of the State of California; the City of Glendale (Glendale), a
14 municipal corporation existing under the laws of the State of California; Nevada Power Company
15 (NPC), a Nevada Corporation; PacifiCorp (PacifiCorp); the Sacramento Municipal Utility District
16 (SMUD), a California Municipal Utility District; Salt River Project Agricultural Improvement and
17 Power District (SRP), an agricultural improvement district organized and existing under the laws
18 of the State of Arizona; the Southern San Joaquin Valley Power Authority (SSJVPA), a joint powers
19 agency created pursuant to the laws of the State of California; the City of Vernon (Vernon), a
20 municipal corporation of the State of California; and the Western Area Power Administration
21 (Western), Department of Energy (hereinafter referred to individually as Planning Participant and
22 collectively as Planning Participants).
23 RECITALS: This Agreement is made with reference to the following facts:
24

The Planning Participants have agreed to engage in joint planning work as more
25
fully set forth in the Joint Planning Work Plan attached hereto as Exhibit A and
26

made a part hereof by this reference for the Central California-Desert Southwest
Transmission Project (Project or CCDSW), and;
B. The Planning Participants desire to create a mechanism to share in the costs of the
Joint Planning Work, and to secure an option to participate in the Project if its
ultimate completion is determined by the Planning Participants to be desirable; and
C. The Planning Participants are not committed by this Agreement to any construction
costs for the Project.

D. The Planning Participants desire to enter into this Agreement to set forth, among
other things, (i) the planning work tasks to be accomplished during the term of this
Agreement, (ii) the obligations of the Planning Participants with respect to Project
costs, and (iii) the rights of the Planning Participants to participate in future
12 development of the Project.
13 AGREEMENT
14 The Planning Participants agree as follows:

1.
Proiect Coordinator. TANC shall be the Project Coordinator and shall be responsible
16 for the overall coordination and completion of all Joint Planning Work Tasks and shall carry out
17 that responsibility in accordance with this Agreement.

2.
Term and Termination. This Agreement shall become effective as of ( date) when
19 executed on behalf of all of the Planning Participants, and shall expire upon completion of all Joint
20 Planning Work Tasks or March 31, 1996, whichever is earlier. CDWR's participation in this
21 Agreement shall become effective when it is signed by CDWR and approved by the California
22 Department of General Services. This Agreement may be terminated by approval of the
23 Coordinating Committee in accordance with Paragraph 6. Upon such expiration or earlier
24
termination, all rights and liabilities arising hereunder, except for rights relating to the participation
in future Project agreements, as described in Paragraph 7 and any liability relating to the payment
of obligations under this Agreement, shall cease.

Toint Planning Work. Subject to the terms and conditions set forth herein, TANC
2 shall perform or cause to be performed the Joint Planning Work Tasks described in the Joint
3 Planning Work Plan attached hereto as Exhibit A and made a part hereof by this reference, with
4 such changes thereto as may from time to time be agreed upon in writing by the Coordinating
5 Committee; provided, however, the total costs incurred in the performance of said tasks ("Joint
6 Planning Work Costs"), and for which the Planning Participants shall be liable, shall in no event

7 exceed $20,000. ' The Project Coordinator shall provide to the TANC Controller, and to any

8 Planning Participant upon request, supporting documentation for all Joint Planning Work Costs.
9 All of the input information used in, and reports and other material resulting from, the Joint
10 'Planning Work shall be made available to the Planning Participants as specified in Paragraph 4.

4.
Payment of Toint Planning Work Costs. Each Planning Participant, except for
12 PacifiCorp which is providing work in kind services as described in Task 3 of Exhibit A, attached
13 hereto, shall be responsible for paying an equal share of the costs of Joint Planning Work Costs.
14 The Project Coordinator shall bill each Planning Participant for their share of the Joint Planning
15 Work Costs upon completion of the Joint Planning Work Tasks as described in Exhibit A, attached
16 hereto. Payment of a Planning Participant's share of Joint Planning Work Costs and compliance
17 with the other terms of this Agreement shall entitle a Planning Participant to receive the results
18 of all studies and pertinent data which are generated or developed in accordance with this
19 Agreement.

5.
Coordinating Committee. As a means of securing effective cooperation and
21 interchange of information, and of providing consultation on a prompt and orderly basis among
22 the Planning Participants in connection with the various technical matters which may arise from
23 time to time with respect to the conceptual planning of the Project, the Planning Participants
24 hereby provide for the establishment of a Coordinating Committee. The Coordinating Committee
25 may, as described in Paragraphs 2 and 3, respectively, terminate this Agreement or modify the
26 Joint Planning Work Plan but cannot modify any provisions of this Agreement. The Chairman of

1 the T ANC Planning and Environmental Committee, or his designee, shall be the chairman of the
2 Coordinating Committee. The initial meeting of the Coordinating Committee shall be held as soon
3 as practicable after execution of this Agreement and subsequent meetings of the Committee shall
4 be held at a time and location determined by them at previously held meetings. Special meetings
5 of the Coordinating Committee shall be held at the request of the Project Coordinator or any
6 Planning Participant. Each Planning Participant shall have the right to appoint a member and

7 alter:nate member(s) to serve on the Coordinating Committee. Such appointments shall be

8 communicated in writing to the Project Coordinator.

6.
Approvals. Each Planning Participant shall have one vote in on the Coordinating
10 Committee. A 2/3 vote of all Committee members shall be required for approval of items by the
11 Coordinating Committee.

7.
Right to Participate in Proiect. This Agreement shall not bind any Planning
13 Participant to participate in any future development of the Project nor shall it be precedential in
14 establishing future cost allocation structures. The Planning Participants contemplate that a
15 subsequent agreement or agreements will be entered into which will define, among other things,
16 the entitlement rights and cost sharing responsibilities among Project participants. The Planning
17 Participants expressly acknowledge and agree that (as partial consideration for this Agreement)
18 each Planning Participant shall have the right to participate in ownership of the Project and that
19 any Project transfer capability in excess of that subscribed for by the Planning Participants shall
20 be offered to other parties.

8.
Counterparts. This Agreement may be executed in several counterparts, each of
22 which shall be deemed to be an original and all of which, when taken together, shall constitute a
23 single agreement.

9.
State Law. Each Participant, to the extent applicable to such Participant, agrees to
25
comply with the laws of the State of California with regard to nondiscrimination, workers'
26
compensation, and drug-free work place.

10.
Governing Law. This Agreement is made and entered into in the State of California.
2 Interpretation of this Agreement, and performance and enforcement thereof, shall be determined
3 in accordance with California law or federal law as applicable.

11.
Notices. Any notice, demand, or request in accordance with this Agreement shall
5
be in writing and shall be delivered in person or sent by first class United States mail, postage
6
prepaid, or by prepaid commercial courier service to the Project Coordinator or a member of the
7

Coordinating Committee. Each Planning Participant shall provide the Project Coordinator with

the name and address of its designated Coordinating Committee representative upon execution
of .this Agreement and shall notify the Project Coordinator of any subsequent changes in its
'designated representative or address during the term of this Agreement so as to maintain a

current, accurate listing for the purposes of this section.

12.
Relationship of the Parties. Except to the extent otherwise provided herein, the
13 covenants, obligations and liabilities of the Parties are intended to be several and not joint or
14 collective, and nothing herein contained shall ever be construed to create an association, joint
15 venture, trust or partnership, or to impose a trust or partnership covenant, obligation or liability
16 on or with regard to any of the Parties. Each party shall be responsible for its own covenants,
17 obligations and liabilities as herein provided. No party shall be under the control of or shall be
18 deemed to control any other Party. No Party shall be the agent of or have a right or power to bind
19 any other Party without its express written consent, except as expressly provided in this
20 Agreement. Except as provided herein, no provision of this Agreement is intended to, or shall be
21 for the benefit of, or construed to create rights in, or grant remedies to, any person or entity not
22 a party hereto.

13.
Waivers. No delay in exercising any right or remedy shall constitute a waiver unless
24 such right or remedy is waived in a writing signed by the waiving Party. The waiver by any Party
25 of any right or remedy hereunder shall not be construed as a waiver of any other right or remedy,
26 whether pursuant to the same or a different term, condition or covenant.

Signature. In witness hereof, the Planning Participants have caused this Agreement

JOINT PLANNING WORK PLAN
I. INTRODUCTION AND BACKGROUND
..
l(.uring late 1993 and the first four months of 1994, the Transmission Agency of
Northern California (TANC), the Pacific Gas and Electric Company (PG&E), the
Southern Californi? Edison Company (Edison), and the Los Angeles Department of
-Water and Power (LADWP) conducted planning-level studies of certain alternative
transmission projects that could increase the firm transfer capability between Central
California and Southern California and/or the Desert Southwest (Southern Nevada).
These Coordinated Planning Studies resulted in the identification of several alternatives
or options which have been generally referred to as the Central California-Desert
Southwest Transmission Project (CCDSW) and which could:
· Increasel1,e transfer capability between Northern/Central California and
Southern California and/or the Desert Southwest by the development of new
transmission facilities.
· Increase the transfer capability of the Los Banos-Gates-Midway path by building
new transmission facilities and/or upgrading existing facilities.
· Increase the transfer capability between Midway and the Adelanto area by
building new transmission facilities.
· Increase the transfer capability between the Adelanto area and the Marketplace
area by upgrading existing transmission facilities or facilities presently under
construction.
· Increase the transfer capability between Vincent and Lugo by the addition of
certain transmission system reinforcements.

The results of these Coordinated Planning Studies indicated that development and
operation of several CCDSW alternative projects appear to be feasible and could
provide substantial systems operation and power market benefits.
During the Coordinated Planning Studies, TANC along with PG&E, LADWP, and SCE,
discussed the CCDSW with numerous other parties. More recently, TANC has
discussed the alternatives evaluated by TANC with various other parties. Several of
these other parties expressed a significant level of interest in new transmission system
capacity along various segments of the CCDSW alternative projects.

~arly in the CCDSW planning, the most interest was expressed in a Central California
to Marketplace path through the Central Valley of California. As studies and planning
-progressed increasing interest was expressed in a potential Central or Northern
, ; California (Tracy area or Redding area) path across the Sierra Nevada north of Lake
Tahoe ("trans-Sierra") to the Reno area and on to Marketplace. In addition, subsequent
discussions indicated potential interest in the joint development of a segment between
the Reno area and Central Nevada and on to Marketplace ("trans-Nevada") with the
Southwest Intertie Project (SWIP) participants and/or other parties which could replace
a facility from the Reno area to Marketplace. As a result of these discussions
concerning the joint development of a "trans-Sierra/trans-Nevada" project, TANC has
completed additional routing studit:3 regarding the potential feasibility of a trans-Sierra
route.
As of late 1994, the CCDSW studies are at a point where interested participants need
additional information regarding the potential alternative projects prior to the selection
of one specific alternative for detailed planning and evaluation. Specifically, the parties
believe that completion of the following activities is required:
· Estimating the remaining capability of the existing transmission system between
major substations.
· Identifying commercial terms for the use of any capacity remaining in the
existing transmission system.
· Refining existing information on the location of bottlenecks on the existing
transmission system (the interconnected system as it will exist when projects
presently under construction are completed).

Estimating the duration of bottlenecks (i.e., during which seasons and for how
many hours do they occur).

Confirming and, as necessary, refining proposed methods of mitigating the
transmission bottlenecks found.

Identifying potential resources or resource needs on either side of the
constrained path(s).

Identifying the benefits associated with mitigating the noted transmission
bottlenecks.

Identifying those parties that could potentially benefit from mitigation as well
as those parties potentially harmed by such mitigation.

II. J OINT PLANNING WORK TASKS
This work plan discusses the activities which will be undertaken by the Planning
Participants to meet the goals defined above and presents a schedule and budget for
accomplishing these activities. The intent of these activities is to provide the Planning
Participants and other potential participants with additional information which CM be
used to determine if a project (transmission system reinforcements, upgrades, and/or
new facilities) has been identified that meets their respective goals and objectives and
that should be pursued further.
Specific activities will consist of:
Task 1:
Project Coordination
The activities associated with subsequent tasks will require oversight, management, and
coordination between the involved entities so as to complete the various activities as
scheduled. Specific project activities to be provided by TANC will include: (1)
coordinating the activities described in subsequent tasks; (2) distributing information
to the Planning Participants and coordinating the subsequent review of these materials;
(3) coordinating discussions to develop consensus on a potential project to pursue; and
(4) invoicing the involved entities for each party's share of costs incurred under this
Joint Planning Work Plan.

It is anticipated that a committee will be established to coordinate project-related
activities between the involved parties. T ANC will support the committee in the
performance of its responsibilities. It is assumed that the committee will meet on an
as-required basis to provide guidance and oversight in the completion of project work.
Task 2:
Develop Annual LoadlResource Information for 2000 and 2005
In order to meet certain of the goals outlined in Section I, it will be necessary that
updated loads and resource information for the WSCC area be available in a concise,

u.seable fashion. Specifically, such information will be used in: (1) identifying potential

resources or resource needs on either side of the constrained path(s) identified; and (2)
identifying the benefits associated with mitigating the noted transmission bottlenecks.
, , Preliminary information has been collected and tabulated by T ANC and has been made
available to the other Planning Participants for comment. TANC will receive one round
of comments from the other Planning Participants so as to update the tabulation to
include data for the year 2005.
Task 3:
Regional Transmission Planning and Economic Studies
Transmi...sion planning and economic studies are required in order to: (1) determine the
remaining capability of the existing system; (2) determine or refine existing information
on the location of bottlenecks on the transmission system; (3) quantify the duration of
bottlenecks; (4) identify new or confirm proposed methods of mitigating the
transmission bottlenecks found; (5) identify the benefits associated with mitigating the
noted transmission bottlenecks.
A. Transmission Planning Studies
The transmission planning studies done by TANC and the other parties during the
CCDSW Coordinated Planning Studies consisted of the more traditional study methods
(power flow and stability) and determined: (1) benchmark transfer capabilities over the
constrained path between Central and Southern California; (2) identified methods by
which the transfer capability of this path could be increased; and (3) identified methods
by which the transfer capability between other areas of the western portion of the
WSCC area could be increased.

The Planning Participants have agreed that these studies would likely be sufficient to
provide information on the system reinforcements/additions that could be used to
mitigate the various constraints identified. Therefore, no additional study work, using
the more traditional methods is anticipated. TANC will send a copy of the reports
documenting the results of previous system studies to those Planning Participants that
do not already have such information and will make the data files used in these studies
available in the event a party wanted to do additional study work and share the results
of such with the Planning Participants.

B. Economic Studies
t.
The studies done to date by TANC and the other parties have not quantified the
-probable duration of bottlenecks and such quantification is one of several factors in
determining if proposed fixes are financially attractive. Therefore, in this subtask,
additional studies will be done using a Transmission Oriented Production Simulation
(TOPS) model to develop information on the estimated duration of bottlenecks.
The economic impacts of bottlenecks and the benefits of mitigating such constraints are
also factors in determining the feasibility of system modifications / additions. Therefore
the TOPS model will also be used to: (1) provide information on the estimated economic
impacts of bottlenecks on existing paths to those parties de~iring to transfer power over
the path(s); and (2) provide information on estimated economic benefits associated with
actions that would mitigate these bottlenecks.
These TOPS studies will be performed and coordinated by PacifiCorp with the active
participation of the other Planning Participants as to assumptions and data used in the
TOPS modeling and in the analysis of results. The proposed procedure to be used by
PacifiCorp in these studies will include: (1) an early review of the study assumptions
by the Planning Participants, (2) preparing and submitting a data request to the
Planning Participants requesting the data required to update the PacifiCorp Multi-Area
Production Simulation (MAPS) data base to represent the system in the year 2000, (3)
updating the MAPS data base utilizing information received, (4) preparing and .

impact the progress of these studies with regards to costs and schedule as shown in

, , Task 4:
Summary Report
In Task 4, TANC will prepare a management level report summarizing the results of
the above activities. The results of the above analyses will serve as appendices to the
summary report and will be utilized in developing the summary report. One draft of
the summary report will be made available to the Planning Participants and comments
received will be incorporated into a final report. The report can then be used by the
Planning Participants for presentation to their respective managements to determine
their company's potential interest in pursuit of potential projects, described in the report.
Task 5:
Development of "Consensus" Project
Task 5 will focus on attempting to develop a project that has the support of a sufficient
number of Planning Participants to move the project into subsequent stages of
development including additional regional planning activities and the eventual start of
CEQA/NEP A activities. Two meetings will be held to facilitate discussions among the
Planning Participants for the purposes of developing a consensus project and consensus
business terms for the selected project.
III. JOINT PLANNING WORK COSTS AND SCHEDULE
The estimated Joint Planning Work Costs and schedule for the Joint Planning Work
Tasks described above are presented in Table 1 and Figure I, respectively.

Re: DESTRUCTION OF RECORDS
We have just completed a review of the boxes that have been
placed in storage in one of the basement storage rooms.
Based on the retention schedule as approved by City Council, we
have identified all the files that can be destroyed. Attached
hereto is a list of the boxes and files which (in accordance with
the retention schedule) I would like to request the City
Council's approval to destroy at this time.
Secondly, I have researched costs pertaining to obtaining the
services of a document destruction company to destroy these
documents once we receive Council approval. The cost of their on
site services would be approximately $1,000. The Records Manager
in Huntington Beach advised that he uses the city's tree
shredder. I check with Kevin Wilson, Acting Director of
Community Services, on the possibility of using our tree
shredder, and he advised that it would not be a problem, and that
the shredding could be done in four hours or less.
Please advise me on the following:
1. May we proceed to request City Council approval to
destroy the records on the attached list?
2. Should we retain the service of a destruction company
for on-site destruction at a cost of approximately
$1,000 or use our equipment at no additional cost
other than staff time?
