A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF AN AMENDMENT NO. 1 TO THE EDISON-VERNON
INTERRUPTIBLE TRANSMISSION SERVICE AGREEMENT

WHEREAS, the City Council of the city of Vernon adopted
7
Resolution No. 6289 on July 6, 1993, which approved and authorized
the execution of an Edison-Vernon 1993 Settlement Agreement by and
8
9
between the City of Vernon ("Vernon") and Southern California
Edison Company ("Edison"); and
WHEREAS, on July 8, 1993, Vernon and Edison executed said

Edison-Vernon 1993 Settlement Agreement and the Interruptible
Transmission Service Agreement (Appendix C to the 1993
Settlement); and

WHEREAS, Vernon and Edison were unable to reach agreement
on procedures for prescheduling in accordance with said Agreement;
and

WHEREAS, on July 1, 1994, Edison filed procedures with
19
the Federal Energy Regulatory Commission in FERC Docket No. ER94-
20
21
1421, and Vernon protested and intervened in Edison's filing; and
WHEREAS, Vernon and Edison desire to enter into an
22
23

Amendment No. 1 to the Edison-Vernon Interruptible Transmission
Service Agreement as part of a settlement agreement which is being
executed concurrently with this Amendment to resolve the dispute.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the city of Vernon does
28 hereby find and determine that the recitals contained hereinabove

are true and correct.

SECTION 2: The City Council of the City of Vernon hereby
3
approves the Amendment No. 1 to the Edison-Vernon Interruptible
4
Transmission Service Agreement, a copy of which has been presented
5
to the City Council concurrently with this resolution, and the
6
City Council hereby orders said Amendment No. 1 to be received and
7
filed by the City Clerk.
SECTION 3: The City Council of the City of Vernon hereby
8
9 authorizes the Mayor Pro Tem and the City Clerk to execute said
10 Amendment No.1 for, and on behalf of, the city of Vernon.

SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution and thereupon and
13
thereafter the same shall be in full force and effect.

APPROVED AND ADOPTED this 28th day of March, 1995.
